THIS FIRST AMENDMENT ("First Amendment") is effective as of the l' duy
ot 1)yp{ ,2016 by and between CARE Equity, a Colorado limited liability company
1tt.r.inffi-.r *Conitant" or "Contractor") and Eagle County, Colorado, a body corporate and
politic (hereinafter "Count5r").
RECITALS
WHEREAS' County and Consultant entered into an agreement dated the29th day of January,
2016, for certain Services (the "Original Agreement"); and
WHEREAS, the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $10,000; and
WHEREAS, County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit A-1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit A-1 shall not exceed
$5,000 or a total maximum compensation under the Original Agreement and this First
Amendment of $15,000.
3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
5. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.

Exhibit A-1
Scope of Services
1. Meet with the WorkWell Collaborative core team, including Eagle County staff and
Health Links Colorado, in order to provide guidance on the best approach for
incorporating health equity in to the Project. Meetings may take place in person or by
phone.
2. Understanding Employee Perspectives: Conduct outreach with employees that are
considered a "vulnerable population" as defined by the WorkWell Collaborative project
team. The intent of the outreach will be to understand how to best capture employee
perspectives and how to frame questions that are easily understood and meaningful to
employees and.ior employers in other phases of this project. How this outreach is
conducted will be determined by the Contractor and Eagle County staff. A brief
summary report of the results of the outreach efforts will be provided.
3. Focus group/discussion with WorkWell Advisory Committee on Health Equity: Plan and
lead a facilitated discussion on health equity with the WorkWell Collaborative Advisory
Committee to gain their insight about bringing a health equity lens to worksite wellness
and the WorkWell Collaborative Project. A brief summary report of this discussion will
be provided (may be combined with the semi-structured interview report).
4. Present results from the semi-structured interviews back to the WorkWell Collaborative
Advisory Committee at a future meeting, preferably in-person (or by phone if needed).
5. Provide guidance on other health equity initiatives by Eagle County Public Health and
Environment via phone consultation; may require advance review of provided
documents.
Fees:
The Contractor will submit an invoice by the 2nd of each month. The invoice will include all
costs associated with the Project as defined above. The compensation shall not exceed $5,000 for
the Services described in this Exhibit A-1. The hourly rate paid to the Contractor shall be $125
per hour.
