COLORADO ANIi MARY EZEQUELLE, LCSW PC THIS SECOND AMENDMENT ("Second Amendmenf') is effective as of the 1|lOuV of ,2016 by and between Mary Ezequelle, LCSW, PC a Colorado professional corporadon (hereinafter "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter "County"). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 96 day of April, 2014, for certain Services (the "Original Agreemenf'); and WI{EREAS, by the First Amendment dated May 1,2015, the term of the Original Agreement was extended to May 3I,2016; and WHEREAS, the term of the Original Agreement expires on the 3l" day of May, 2016 and the parties desire to extend the term of the Original Agreement for an additional year on the same terms and conditions as set forth in the Original Agreement; and WI{EREAS, the parties desire to modiff the compensation rate as set forth below. SECOND AMENDMENT NOW TI{EREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to extend the term to the 31" day of May, 2017. 2, The Payment and Fee Schedule in Exhibit A of the Original Agreement is hereby amended to read as follows: "County will compensate Contractor for performance of services as follows: (l) Face to face contact with the client or family for individual and family counseling - $85 per hour for In Office services, $95 per hour for bilingual, In Office services or English, In Home/Off Site services, $100 per hour for Spanish, In Home services (2) Case management services - $35 per hour. The maximum contract amount is not to exceed $201000. There shall be no compensation for travel time or travel related expenses." 3. Capitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Second Amendment conflict with modi$ or supplement portions of the Original Agreement, the terms and provisions contained in this Second Amendment shall govern and APfR9TED A9TC FORMey, v\*i-*1 -- ' -EagietountY A'ttcrneY's Office control the rights and obligations ofthe parties. Except as expressly altered, modified and changed in this Second Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof 5. This Second Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns.
