THIS THIRD AMENDMENT ("Third Amendment") is effective as of the Lt day of
/A*l ,20l6by and tetween Celynn McClarrinon, LSW, a sole proprietor
(hereinafter "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter
"County'').
RECITALS
WHEREAS, County and Consultant entered into an agreement dated Ihe25th day of March,
2014, for certain Services (the "Original Agreement"); and
WHEREAS, by the First Amendment dated December 11,2014, County and Consultant
expanded the scope of services as set forth in the Original Agreement; and
WHEREAS, by the Second Amendment dated May 13, 2015, the term of the Original
Agreement was extended to May 31,2016; and
WHEREAS, the term of the Original Agreement expires on the 31't day of May, 2016 and the
parties desire to extend the term of the Original Agreement for an additional year on the same
terms and conditions as set forth in the Original Agreement; and
WHEREAS, the parties desire to modify the compensation rate as set forth below.
THIRD AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to extend the term to the 3l't day of May,
2017.
2. The Pavment and Fee Schedule in Exhibit A of the Original Agreement is hereby
amended to read as follows:
"County will compensate Contractor for performance of services as follows: (1) Face
to face contact for individual therapy with clients - $85 per hour for In Office services
and $95 per hour for In Home/Off Site services (2) Group therapy services for clients
- $45 per hour (3) Case management services - $35 per hour. The maximum contract
amount is not to exceed $10,000. There shall be no compensation for travel time or
travel related expenses."

Capitalized terms in this Third Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Third
Amendment conflict with modify or supplement portions of the Original Agreement,
the terms and provisions contained in this Third Amendment shall govem and control
the rights and obligations of the parties.
Except as expressly altered, modified and changed in this Third Amendment, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof
This Third Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Third Amendment to the
Original Agreement the day and year first above written.
