COLORADO AND VISION SECURITY, LLC THIS FOURTH AMENDMENT ("Fourth Amendment") tu is effective as of the Z\" dav of ,2016 by and between Vision Security, LLC, alimited liability company (hereinafter "Contractor") and Eagle County, Colorado, a body corporate and politic (hereinafter "County''). RECITALS WHEREAS, County and Contractor entered into an agreement dated the 21't day of May, 2013, for certain Services (the "Original Agreement"); and WHEREAS, County and Contractor entered into a First Amendment dated the 1lth day of March, 2014, expanding the scope of Services and compensation as set forth in the Original Agreement (the "First Amendment"); and WHEREAS, County and Contractor entered into a Second Amendment dated the 14th day of May,2014, extending the term of the Original Agreement to the 2I'r day of May, 2015 (the "Second Amendment"); and WHEREAS, County and Contractor entered into a Third Amendment dated the 5th day of May, 2014, extending the term of the Original Agreement to the 2l"r day of May, 2016 (the "second Amendment"); and WHEREAS, the Original Agreement contemplated that the Contractor would perform certain Services with compensation in an amount not to exceed $26,699.00 and the First Amendment contemplated that the Contractor would perform additional Services with compensation in an amount not to exceed $10,000.00; and WHEREAS, the County desires to have Contractor perform additional Services for additional compensation as set forth below; and WHEREAS, the term of the Original Agreement expires on the 2l"t day of May, 2016, and the parties desire to extend the term for an additional year. FOURTH AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include the identification and replacement of monitoring devices that are outside of the useful life and operation recommendations. zu 6 co u t1-" nt iJs i o n e rs' of f i ce C16-176 2.The compensation for the additional Services shall not exceed $30,000 or a total maximum compensation under the Original Agreement, First Amendment and this Fourth Amendment of $66.699.00. The term of the Original Agreement is hereby extended to the 2l"r day of May, 2017. Capitalized terms in this Fourth Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Fourth Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Fourth Amendment shall govern and control the rights and obligations of the parties. Except as expressly altered, modified and changed in this Fourth Amendment, all terms and provisions of the Original Agreement shall remain in fuIl force and effect, and are hereby ratified and confirmed in all respects as of the date hereof.
