AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN
EAGLE COUNTY AIR TERMINAL CORPORATION
AND
RS&H,Inc.
THIS AGREEMENT("Agreement") is effective as of the day of Wei 1 ,2015 by and
between RS&H,Inc.,a Florida corporation,(hereinafter"Consultant"or"Contractor")and Eagle County
Air Terminal Corporation a Colorado non-profit corporation(hereinafter"ECAT").
RECITALS
WHEREAS,ECAT desires terminal and landside planning and design services(the"Project")for
terminal and landside improvements located at 217 Eldon Wilson Road,Gypsum,CO 81637 (the
"Property");and
WHEREAS,Consultant is authorized to do business in the State of Colorado and has the time, skill,
expertise,and experience necessary to provide the Services as defined below in paragraph 1 hereof;and
WHEREAS,this Agreement shall govern the relationship between Consultant and ECAT in connection
with the services.
AGREEMENT
NOW,THEREFORE,in consideration of the foregoing,Consultant and ECAT agree as follows:
1. Services. Consultant agrees to diligently provide all services,labor,personnel and materials
necessary to perform and complete the services described in Exhibit A("Services")which is attached
hereto and incorporated herein by reference.The Services shall be performed in accordance with the
provisions and conditions of this Agreement.
a. Consultant agrees to furnish the Services no later than November 20,2015 and in
accordance with the schedule established in Exhibit A. If no completion date is specified in Exhibit A,
then Consultant agrees to furnish the Services in a timely and expeditious manner consistent with the
applicable standard of care. By signing below Consultant represents that it has the expertise and
personnel necessary to properly and timely perform the Services.
b. In the event of any conflict or inconsistency between the terms and conditions set forth in
Exhibit A and the terms and conditions set forth in this Agreement,the terms and conditions set forth in
this Agreement shall prevail.
c. Consultant agrees that it will not enter into any consulting or other arrangements with
third parties that will conflict in any manner with the Services.

2. ECAT's Representative. The Aviation Director's designee shall be Consultant's contact with
respect to this Agreement and performance of the Services.
3. 1Term of the Agreement. This Agreement shall commence upon the date first written above,and
subject to the provisions of paragraph 12 hereof,shall continue in full force and effect through project
completion.
4. Extension or Modification. This Agreement may not be amended or supplemented,nor may any
obligations hereunder be waived,except by agreement signed by both parties.No additional services or
work performed by Consultant shall be the basis for additional compensation unless and until Consultant
has obtained written authorization and acknowledgement by ECAT for such additional services in
accordance with ECAT's internal policies. Accordingly,no course of conduct or dealings between the
parties,nor verbal change orders,express or implied acceptance of alterations or additions to the Services,
and no claim that ECAT has been unjustly enriched by any additional services,whether or not there is in
fact any such unjust enrichment,shall be the basis of any increase in the compensation payable hereunder.
In the event that written authorization and acknowledgment by ECAT for such additional services is not
timely executed and issued in strict accordance with this Agreement, Consultant's rights with respect to
such additional services shall be deemed waived and such failure shall result in non-payment for such
additional services or work performed.
5. Compensation. ECAT shall compensate Consultant for the performance of the Services in a sum
computed and payable as set forth in Exhibit A. The performance of the Services under this Agreement
shall not exceed$529,500. Consultant shall not be entitled to bill at overtime and/or double time rates
for work done outside of normal business hours unless specifically authorized in writing by ECAT.
a. Payment will be made for Services satisfactorily performed within thirty(30)days of
receipt of a proper and accurate invoice from Consultant. All invoices shall include detail regarding the
hours spent,tasks performed,who performed each task and such other detail as ECAT may request.
b. Any out-of-pocket expenses to be incurred by Consultant and reimbursed by ECAT shall
be identified on Exhibit A. Out-of-pocket expenses will be reimbursed without any additional mark-up
thereon and are included in the not to exceed contract amount set forth above. Out-of-pocket expenses
shall not include any payment of salaries,bonuses or other compensation to personnel of Consultant.
Consultant shall not be reimbursed for expenses that are not set forth on Exhibit A unless specifically
approved in writing by ECAT.
c. If,at any time during the term or after termination or expiration of this Agreement,
ECAT reasonably determines that any payment made by ECAT to Consultant was improper because the
Services for which payment was made were not performed as set forth in this Agreement,then upon
written notice of such determination and request for reimbursement from ECAT,Consultant shall
forthwith return such payment(s)to ECAT. Upon termination or expiration of this Agreement,
unexpended funds advanced by ECAT,if any,shall forthwith be returned to ECAT.

d. ECAT will not withhold any taxes from monies paid to the Consultant hereunder and
Consultant agrees to be solely responsible for the accurate reporting and payment of any taxes related to
payments made pursuant to the terms of this Agreement.
6. Sub-consultants. Consultant acknowledges that ECAT has entered into this Agreement in
reliance upon the particular reputation and expertise of Consultant. Consultant shall not enter into any
sub-consultant agreements for the performance of any of the Services or additional services without
ECAT's prior written consent,which may be withheld in ECAT's sole discretion. ECAT shall have the
right in its reasonable discretion to approve all personnel assigned to the subject Project during the
performance of this Agreement and no personnel to whom ECAT has an objection,in its reasonable
discretion, shall be assigned to the Project. Consultant shall require each sub-consultant,as approved by
ECAT and to the extent of the Services to be performed by the sub-consultant,to be bound to Consultant
by the terms of this Agreement,and to assume toward Consultant all the obligations and responsibilities
which Consultant,by this Agreement,assumes toward ECAT. ECAT shall have the right(but not the
obligation)to enforce the provisions of this Agreement against any sub-consultant hired by Consultant
and Consultant shall cooperate in such process.The Consultant shall be responsible for the acts and
omissions of its agents,employees and sub-consultants or sub-contractors.
7. Insurance. Consultant agrees to provide and maintain at Consultant's sole cost and expense,the
following insurance coverage with limits of liability not less than those stated below:
a. Types of Insurance.
i. Workers' Compensation insurance as required by law.
ii. Auto coverage with limits of liability not less than$1,000,000 each accident
combined bodily injury and property damage liability insurance,including coverage for owned,hired,and
non-owned vehicles.
iii. Commercial General Liability coverage to include premises and operations,
personal/advertising injury,products/completed operations,broad form property damage with limits of
liability not less than$1,000,000 per occurrence and$2,000,000 aggregate limits.
iv. Professional liability insurance with prior acts coverage for all Services required
hereunder,in a form and with an insurer or insurers satisfactory to ECAT,with limits of liability of not
less than$1,000,000 per claim and$2,000,000 in the aggregate. In the event the professional liability
insurance is on a claims-made basis,Consultant warrants that any retroactive date under the policy shall
precede the effective date of this Agreement. Continuous coverage will be maintained during any
applicable statute of limitations for the Services and Project.
b. Other Requirements.

i. The automobile b le and commercial general liability coverage shall be endorsed to
include ECAT,its associated or affiliated entities,its successors and assigns,elected officials and
emplo es as additional insureds.
ii. Consultant's certificates of insurance shall include sub-consultants as additional
insureds under its policies or Consultant shall furnish to ECAT separate certificates and endorsements for
each sub-consultant. All coverage(s)for sub-consultants shall be subject to the same minimum
requirements identified above. Consultant and sub-consultants,if any, shall maintain the foregoing
coverage in effect until the Services are completed. In addition, all such policies shall be kept in force by
Consultant and its sub-consultants until the applicable statute of limitations for the Project and the
Services has expired.
iii. Insurance shall be placed with insurers duly licensed or authorized to do business
in the State of Colorado and with an"A.M. Best"rating of not less than A-VII.
iv. Consultant's insurance coverage shall be primary and non-contributory with
respect to all other available sources. Consultant's policy shall contain a waiver of subrogation against
ECAT.
v. All policies must contain an endorsement affording an unqualified thirty(30)
days notice of cancellation to ECAT in the event of cancellation of coverage.
vi. All insurers must be licensed or approved to do business within the State of
Coloradb and all policies must be written on a per occurrence basis unless otherwise provided herein.
vii. Consultant's certificate of insurance evidencing all required coverage(s)is
attached hereto as Exhibit B. Upon request,Consultant shall provide a copy of the actual insurance
policy and/or required endorsements required under this Agreement within five(5)business days of a
written request from ECAT, and hereby authorizes Consultant's broker,without further notice or
authorization by Consultant,to immediately comply with any written request of ECAT for a complete
copy of the policy.
viii. Consultant shall advise ECAT in the event the general aggregate or other
aggregate limits are reduced below the required per occurrence limit. Consultant,at its own expense,will
reinstate the aggregate limits to comply with the minimum limits and shall furnish ECAT a new
certificate of insurance showing such coverage.
ix. If Consultant fails to secure and maintain the insurance required by this
Agreement and provide satisfactory evidence thereof to ECAT,ECAT shall be entitled to immediately
terminate this Agreement.
x. The insurance provisions of this Agreement shall survive expiration or
termination hereof.

xi. The parties hereto understand and agree that ECAT is relying on,and does
not waive or intend to waive by any provision of this Agreement,the monetary limitations or rights,
immunities and protections provided by the Colorado Governmental Immunity Act, as from time to time
amended,or otherwise available to ECAT,its affiliated entities,successors or assigns,its elected officials
and employees.
xii. Consultant is not entitled to workers' compensation benefits except as
provided by the Consultant,nor to unemployment insurance benefits unless unemployment compensation
coverage is provided by Consultant or some other entity. The Consultant is obligated to pay all federal
and state income tax on any moneys paid pursuant to this Agreement.
8. Indemnification. The Consultant shall indemnify and hold harmless ECAT,and any of its
officers and employees against any losses,claims,damages or liabilities for which ECAT may become
subject to insofar as any such losses,claims,damages or liabilities arise out of,directly or indirectly,this
Agreement,or are based upon any negligent acts,errors or omissions of Consultant or any of its sub-
consultants hereunder;and Consultant shall reimburse ECAT for reasonable attorney fees and costs,legal
and other expenses incurred by ECAT in connection with investigating or defending any such loss,claim,
damage, liability or action. This indemnification shall not apply to claims by third parties against ECAT
to the extent that ECAT is liable to such third party for such claims without regard to the involvement of
the Consultant. This paragraph shall survive expiration or termination hereof.
9. Ownership of Documents. All documents prepared by Consultant in connection with the Services
shall become property of ECAT. Consultant shall execute written assignments to ECAT of all rights
(including common law,statutory, and other rights,including copyrights)to the same as ECAT shall from
time to time request. Any modification of the documents prepared by Consultant or their reuse on another
project without the prior approval of Consultant shall be at ECAT's sole risk and without liability to
Consultant. For purposes of this paragraph,the term"documents"shall mean and include all reports,
plans, studies,tape or other electronic recordings,drawings,sketches,estimates,data sheets,maps and
work sheets produced,or prepared by or for Consultant(including any employee or subcontractor in
connection with the performance of the Services and additional services under this Agreement).If you
require documents in a particular format insert that information here.
10. Notice. Any notice required by this Agreement shall be deemed properly delivered when(i)
personally delivered,or(ii)when mailed in the United States mail,first class postage prepaid,or(iii)
when delivered by FedEx or other comparable courier service,charges prepaid,to the parties at their
respective addresses listed below,or(iv)when sent via facsimile so long as the sending party can provide
facsimile machine or other confirmation showing the date,time and receiving facsimile number for the
transmission,or(v)when transmitted via e-mail with confirmation of receipt. Either party may change its
address for purposes of this paragraph by giving five(5)days prior written notice of such change to the
other party.

11. coordination. Consultant acknowledges that the development and processing of the Services for
the Project may require close coordination between various consultants and contractors. Consultant shall
coordinate the Services required hereunder with the other consultants and contractors that are identified
by ECAT to Consultant from time to time,and Consultant shall immediately notify such other consultants
or contractors,in writing,of any changes or revisions to Consultant's work product that might affect the
work of Others providing services for the Project and concurrently provide ECAT with a copy of such
notification. Consultant shall not knowingly cause other consultants or contractors extra work without
obtaining prior written approval from ECAT. If such prior approval is not obtained,Consultant shall be
subject to any offset for the costs of such extra work.
12. Termination. ECAT may terminate this Agreement,in whole or in part,at any time and for any
reason,with or without cause,and without penalty therefor with seven(7)calendar days' prior written

notice to the Consultant. Upon termination of this Agreement,Consultant shall immediately provide
ECAT with all documents as defined in paragraph 9 hereof,in such format as ECAT shall direct and shall
return all ECAT owned materials and documents. ECAT shall pay Consultant for Services satisfactorily
performed to the date of termination.
13. Venue,Jurisdiction and Applicable Law. Any and all claims,disputes or controversies related to
this Agreement,or breach thereof,shall be litigated in the District Court for Eagle County,Colorado,
which shall be the sole and exclusive forum for such litigation. This Agreement shall be construed and
interpreted under and shall be governed by the laws of the State of Colorado.
14. Execution by Counterparts;Electronic Signatures. This Agreement may be executed in two or
more counterparts,each of which shall be deemed an original,but all of which shall constitute one and the
same instrument. The parties approve the use of electronic signatures for execution of this Agreement.
Only the following two forms of electronic signatures shall be permitted to bind the parties to this
Agreement: (i) Electronic or facsimile delivery of a fully executed copy of the signature page; (ii) the
image of the signature of an authorized signer inserted onto PDF format documents. All documents must
be properly notarized,if applicable. All use of electronic signatures shall be governed by the Uniform
Electronic Transactions Act, C.R.S. 24-71.3-101 to 121.
15. Other Contract Requirements.
a. Consultant shall be responsible for the completeness and accuracy of the Services,
including all supporting data or other documents prepared or compiled in performance of the Services,
and shall correct,at its sole expense,all significant errors and omissions therein. The fact that ECAT has
accepted or approved the Services shall not relieve Consultant of any of its responsibilities. Consultant
shall perform the Services in a skillful,professional and competent manner and in accordance with the
standard of care,skill and diligence applicable to Consultants performing similar services. Consultant
represents and warrants that it has the expertise and personnel necessary to properly perform the Services
and covenants that its professional personnel are duly licensed to perform the Services within Colorado.
This paragraph shall survive termination of this Agreement.
b. Consultant agrees to work in an expeditious manner,within the sound exercise of its
judgment and professional standards,in the performance of this Agreement. Time is of the essence with
respect to this Agreement.
c. This agreement constitutes an agreement for performance of the Services by Consultant
as an independent contractor and not as an employee of ECAT. Nothing contained in this Agreement
shall be deemed to create a relationship of employer-employee,master-servant,partnership,joint venture
or any other relationship between ECAT and Consultant except that of independent contractor.Consultant
shall have no authority to bind ECAT.
d. Consultant represents and warrants that at all times in the performance of the Services,
Consultant shall comply with any and all applicable laws,codes,rules and regulations.

e. This Agreement contains the entire agreement between the parties with respect to the
subject matter hereof and supersedes all other agreements or understanding between the parties with
respect thereto.
f. Consultant shall not assign any portion of this Agreement without the prior written
consent of ECAT. Any attempt to assign this Agreement without such consent shall be void.
g. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto
and their respective permitted assigns and successors in interest. Enforcement of this Agreement and all
rights and obligations hereunder are reserved solely for the parties,and not to any third party.
h. No failure or delay by either party in the exercise of any right hereunder shall constitute a
waiver thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding
breach.
1. The invalidity,illegality or unenforceability of any provision of this Agreement shall not
affect the validity or enforceability of any other provision hereof.
j. Consultant shall maintain for a minimum of three years,adequate financial and other
records for reporting to ECAT. Consultant shall be subject to financial audit by federal,state or ECAT
auditors or their designees. Consultant authorizes such audits and inspections of records during normal
business hours,upon 48 hours' notice to Consultant. Consultant shall fully cooperate during such audit or
inspections.
l . The signatories to this Agreement aver to their knowledge,no employee of ECAT has
any personal or beneficial interest whatsoever in the Services or Property described in this Agreement.
The Consultant has no beneficial interest,direct or indirect,that would conflict in any manner or degree
with the performance of the Services and Consultant shall not employ any person having such known
interests.
1. The Consultant,if a natural person eighteen(18)years of age or older,hereby swears and
affirms under penalty of perjury that he or she(i)is a citizen or otherwise lawfully present in the United
States pursuant to federal law,(ii)to the extent applicable shall comply with C.R.S. 24-76.5-103 prior to
the effective date of this Agreement.
16. Prohibitions on Contracts.
As used in this Section 16,the term undocumented individual will refer to those individuals from foreign
countries not legally within the United States as set forth in C.R.S. 8-17.5-101,et.seq. If Consultant has
any employees or subcontractors, Consultant shall comply with C.R.S. 8-17.5-101,et.seq.,and this
Agreement. By execution of this Agreement,Consultant certifies that it does not knowingly employ or
contract with an undocumented individual who will perform under this Agreement and that Consultant
will participate in the E-verify Program or other Department of Labor and Employment program

("Department Program") in order to confirm the eligibility of all employees who are newly hired for
employment to perform Services under this Agreement.
a. Consultant shall not:
i. Knowingly employ or contract with an undocumented individual to perform
Services under this Agreement; or
ii. Enter into a subcontract that fails to certify to Consultant that the subcontractor
shall not knowingly employ or contract with an undocumented individual to perform work under the
public contract for services.
b. Consultant has confirmed the employment eligibility of all employees who are newly
hired for employment to perform Services under this Agreement through participation in the E-Verify
Program or Department Program,as administered by the United States Department of Homeland
Security. Information on applying for the E-verify program can be found at:

c. Consultant shall not use either the E-verify program or other Department Program
procedures to undertake pre-employment screening of job applicants while the public contract for services
is being performed.
d. If Consultant obtains actual knowledge that a subcontractor performing work under the
public contract for services knowingly employs or contracts with an undocumented individual, Consultant
shall be required to:
i. Notify the subcontractor and ECAT within three (3) days that Consultant has
actual knowledge that the subcontractor is employing or contracting with an undocumented individual;
and
ii. Terminate the subcontract with the subcontractor if within three days of receiving
the notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop
employing or contracting with the undocumented individual; except that Consultant shall not terminate
the contract with the subcontractor if during such three(3) days the subcontractor provides information to
establish that the subcontractor has not knowingly employed or contracted with an undocumented
individual.
e. Consultant shall comply with any reasonable request by the Department of Labor and
Employment made in the course of an investigation that the department is undertaking pursuant to its
authority established in C.R.S. 8-17.5-102(5).
f. If Consultant violates these prohibitions, ECAT may terminate the Agreement for breach
of contract. If the Agreement is so terminated specifically for breach of this provision of this Agreement,
Consultant shall be liable for actual and consequential damages to ECAT as required by law.

g. ECAT will notify the Colorado Secretary of State if Consultant violates this provision of
this Agreement and ECAT terminates the Agreement for such breach.

SCOPE OF SERVICES
This document describes the professional Terminal Planning Services (Services)to be performed by RS&H
(Consultant)and its team members at Eagle County Regional Airport(EGE)for the Eagle County Air
Terminal Corporation (ECAT).
1.1 PROJECT FORMULATION
1.1.1 Project Scope
The Consultant will prepare a detailed scope of work and man-hour estimate for the Services identified
within this document. This scope will identify major tasks and sub-tasks as well as delineate general
elements of work to be conducted under each of the project activities.The man-hour estimate will define
the estimated time and cost for each task in the scope, as well as define the anticipated reimbursable
costs that may include, but not be limited to;travel, lodging, meals, presentation materials, printing and
graphics,and coordination costs during the course of the various planning activities in the scope of
services.
1.1.2 Deliverables

Tasks 1.2.3 and 1.2.4.

1.3 PLANNING REQUIREMENTS (PHASE I)
1.3.1 Data/Field Collection and Infrastructure Assessment

information to assist in the performance of this task. These data sources will be used in all planning

1.3.1.1 Terminal Building Theme Consultation and Research
The Consultant will use resources such as books and articles by, and discussions with, local historians,
professors, curators, community leaders,tourist and convention industry officials, etc.,to obtain and
document significant regional attributes appropriate for incorporation into the theme statement.
Attributes may include local history, notable buildings, unique geology, ecosystems,and/or sociology,for
instance.
1.3.1.2 Landside/Roadway Field Collection
The Consultant will send one (1)team members and use one(1) site visit.This task establishes the
database for the peak demand studies specified in the RFQ. The geographic limits of the landside analysis
are the public landside facilities related to the commercial air terminal, including roadways and parking
areas forlthe public, commercial transportation, rental cars, employee parking areas,and landside
elements)dedicated to the Vail Valley Jet Center. The Landside/Roadway Field Collection does not include
any off-airport roadways.
During the busier parts of the winter season,the Consultant will collect landside data in 15 minute
incremertts. Specific areas of the collection will include:

» Seven-day automated traffic recorder counts (aka,tube counts)at up to 10 locations on EGE.
These counts will be done up-front, and used to plan the logistics of the manual count program.
Of these 10 locations, two will be located at the entry points off of Cooley Mesa Rd. Two count
stations will also be operational during the time when the manual data is collected.
100%vehicle classification counts of the terminal curb roadway,for three hours (11:00 AM-2:00
PM)on the busiest day of the week(Saturday). These are manual counts where the person
collecting the data notes what service the vehicle provides (taxi, limo, mountain carrier, hotel
shuttle, etc.) based on how the vehicle is "labeled".
» Pedestrian counts (by direction)for the same hours of the classification counts, at each crosswalk.
» Counts of vehicles in/out of the commercial vehicle drop off and pick up areas.
» Dwell time measurements for all vehicles that stop at the curb to drop off or pick up passengers.
This includes the two areas reserved for the commercial vehicles.
» Intersection turning movement counts at the two portals for EGE.
» Parking occupancy counts (number of occupied spaces)and counts of cars in the three rental car
areas—the ready lot,the return lot,and the service area. These will be counted at most four
times per hour for the same three-hour period as the rest of the manual counts.
In support of these manual counts, EGE will request actual originations and terminations from the airlines
for the day of the manual counts. The passenger data will be used to establish the relationship between
forecasted passenger activity and the resultant landside demand forecast to be associated with that level
of activity.
1.3.1.3 Validate As-Built Conditions
The Consultant will send three(3)team members (Project Manager,Architecture/Structural, and
Mechanical, Electrical, Plumbing)to conduct one(1) site visit in order to conduct an Infrastructure
Assessment at the onset of this project. As part of the Infrastructure Assessment the Consultant will
conduct an on-site review,validate and modify existing condition drawings to the extent necessary to
execute this terminal planning study. Included will be a cursory review and validation of existing building
systems (electrical, mechanical,structural, security, fire protection, baggage), and existing utilities within
the vicinity of the terminal building (sanitary,storm, electrical-high mast lighting, pavement markings).
The capacity of the storm drainage and sanitary systems will not be evaluated as part of this project.
1.3.1.4 Terminal Area Functionality Assessment
As part of the Infrastructure Assessment the Consultant will perform an on-site functionality assessment
of all airport terminal facilities as related to an industry established (IATA, FAA, etc.) order of magnitude
Level of Service(LOS). Findings and LOS determinations will be reviewed by Airport Staff for concurrence.
Included in this assessment will be an analysis of the capacity and LOS of the terminal curbside roadway
and the on-airport circulation roadways. This assessment will identify existing "choke points"that force
the facility to operate at a low LOS.

1.3.1.5 Terminal Building Capacity
The Consultant will analyze the size and distribution of spaces within the existing terminal building,
including passenger areas, airline related spaces, public spaces, concession areas,administrative use, and
other areas. A matrix of existing space utilization will be prepared for later use during the remaining
tasks. Gate positions will be quantified and their capability to accommodate commuter aircraft, regional
jets, anc. larger aircraft will be defined.
1.3.1.6 Terminal Building Regulatory Assessment
The Consultant will consider the extent of compliance, or lack thereof, relative to basic building code
issues. A general building code and regulatory review will be conducted in the existing terminal building
to determine the building's ability to expand or be modified, and identify the limitations and/or capital
requirements necessitated as a result of code deficiencies. This assessment will extend to the terminal
curb relative to ADA requirements for passenger loading/unloading areas. An exhaustive code and
regulatory analysis will not be conducted.
1.3.1.7 Existing Conditions Report
Report that summarizes the condition of the existing terminal building and the terminal area vicinity,
identifying any potential deficiencies based on system inadequacies,code, capacity, and Level of Service.
1.3.2 Environmental Considerations
The Consultant will review and validate environmental data from the 2013 Airport Master Plan as an aid in
identifying known constraints that could have an effect on the development alternatives for EGE. The
Consultant will compare the data collected to the resource categories defined FAA Order 1050.1E,Policies
and Prodedures for Considering Environmental Impacts, and 5050.48, National Environmental Policy Act
(NEPA Implementing Instructions for Airports)and 5050.48, as it applies to the environs surrounding the
Passenger Terminal and provide a summary table of potentially impacted categories
1.3.3 Peak Hour and Baseline Passenger/Vehicular Forecast Requirements
This task provides a comparison of existing Airport facilities against the projected level of demand to
identify what, if any,additional or new facilities are needed for EGE to meet the foreseen level of demand.
It should be noted that in some instances the current level of demand may have already exceeded the
capability of a particular facility.In some cases the size of a facility may not be the determining factor.
Location, age, and performance can also be issues that trigger the need for new or additional facilities.
The projections of total passengers, aircraft operations,and peak hour activity will be used to prepare
estimates of the current and future demand for passenger terminal and terminal area facilities.These
demands will be used to identify the level of activity at which the facility needs are required or triggered
as expre¢sed in passenger volumes and peak hour operational levels.This task will be conducted
simultaneously with other tasks in this element and result in estimates of overall terminal and terminal-
area facility requirements.

1.3.3.1 Current Forecast and Flight Schedules
The Consultant will review the Airport Master Plan aviation forecasts and design year recommendations.
Discussions with Airport Staff will be conducted to secure and confirm the flight schedule information
(2015 January schedule)to be used in the study. Consideration will be given to airline service changes
and mergers. Forecast data and design year recommendations will be vetted by Airport Staff prior to
application to ensure concurrence between the planning parameter basis in historical data and "reality".
Flight schedule information will be used to develop a ramp chart for baseline scenario development.
1.3.3.2 Establish Baseline Scenario for Terminal Area and Terminal Building Facilities
The Consultant will review the Airport Master Plan facility requirements and compare to the Baseline
Scenario based on current flight schedules, etc. The baseline scenario will be used to expand in detail and
further define requirements for all landside and airside terminal components including primary passenger
processing and landside elements. The baseline scenario will be developed and confirmed on the basis of
quantifiable variables, programming methodologies,and modeling calibrations.
1.3.3.3 Future Peak Hour Determinations
The Consultant will prepare flight schedule-based, peak-hour, air terminal facility requirements using
"top-down"and "bottom-up"static modeling.
» The Top-Down Approach-Peak Hour is generated from the peak Saturday of the peak month,
the anticipated peak days are expected to occur on either December 27th,January 3rd, and March
14th, ,21St and 28th,which is during Christmas and Spring Break as a percent of annual
enplanements
• The Bottom-Up Approach-Peak Hour is generated from a consolidated list of arrivals and
departures (by aircraft type with estimated passenger loads)for the peak Saturday of the peak
month at an appropriate traffic level.
1.3.4 Terminal Building Programmatic Requirements
The terminal building itself, and the terminal area facilities affected as part of the incremental project
growth, including apron,terminal area roadways, curb-front, and parking areas (for rental cars,
commercial vehicles, and the general public)will be considered. The following specific areas and facilities
will be assessed, evaluated and quantified based on where they are located (airside or landside), and how
much space they occupy:
» Aircraft gate positions, and future passenger boarding bridges
>> Ticketing areas (lobby, counters, agent areas, and offices)
» Baggage areas (inbound, outbound, and claim)

1.3.4.1 Building Systems Determinations
The Consultant will prepare an order of magnitude building system requirements (to meet any proposed
building additions/modifications based on generated forecast data), including a system sustainability
assessment, using "top-down"and "bottom-up"static modeling. Building systems within the affected
work areas to be assessed include: roof, building envelope, structural, mechanical, electrical and
communication
1.3.5 Landside/Roadway Requirements
To complete the peak demand studies,the Consultant will analyze landside/roadway data collected in
Task 1.341 to determine the capacity, LOS,and requirements of these landside elements:
» curb roadway: The analysis will utilize a spreadsheet-based analytical technique(compatible with
ACRP Report 401)that has been successfully applied over the past 25 years at more than 40
airports.
» terminal-area roadways: The analysis will utilize the planning-level techniques from ACRP Report
40, or from the Highway Capacity Manual2,as appropriate.
» Commercial vehicle drop-off and pick-up areas: Given that these areas have a defined number of
"stalls",the analysis will utilize a spreadsheet-based, multi-server analytic queuing theory model.
» Parking and rental car areas: the analysis will be based on prior experience at similar airports,
utilizing engineering judgment,and considering input from the parking and rental car operators.
1.3.6 Concession Benchmarking
The ConSultant will review the five years of monthly historical concession sales provided by EGE staff.
Using tha monthly passenger enplanement data,the Consultant will obtain the historical average revenue
per enpinement(RPE)for both food and beverage and news and gift from EGE staff. The Consultant will
also receive the five year historical revenue per square foot(RSF) metric from EGE staff. The Consultant
will compare both of these metrics to other airports of similar size to Eagle County Regional Airport using

adjusted to reflect historical sales data for the concession offerings at EGE,the Consultant will prepare a
concession facility requirement to meet the targeted performance benchmarks for each of the three(3)

1.3.7 Quality Control
The Consultant will conduct in-house quality control reviews of all draft deliverables outlined in this
section, prior to delivery.The Consultant will follow their internal Standard Operations Procedures Section
3.0, Project Management and Quality.
1.3.8 Deliverables -Working Paper No. 1 - Planning Requirements
At the conclusion of this task the Consultant will produce a technical report. The purpose of the report is
to establish the quantitative basis for the definition of issues and opportunities, and for the development
and evaluation (in the next task) of concepts to address them. This report will be called Working Paper 1

which provides the organizational basis for the terminal plan esthetic expression.The process is a
collaborative one that involves staff, stakeholders and community, as directed by EGE staff, and is
anticipated to occur at:

1.4.2 Terminal Building Alternatives
The Consultant will develop a series (not to exceed three(3)) of preliminary terminal alternatives to be
presented for consideration. In conjunction with EGE Staff,the Consultant will identify potential
operatidnal impacts of each terminal building alternative. This will begin to identify potential, enabling
projects,the preliminary phasing and sequencing stages. An estimate of Rough Order of Magnitude
(ROM)construction costs for each alternative will be generated to establish the relative value of the
project components and evaluate each alternative's conformance to the overall project budget.
1.4.2.1 Architecture/Structural Alternatives
Up to three(3) alternatives will be provided identifying options for the aesthetic design considerations for
function, massing, exterior and interior appearances for the project.
1.4.2.2 MEP and Fire protection Alternatives
These alternatives will focus on sustainability and adaptability to the terminal's seasonal operations.
Alternatives will be discussed with the EGE team to achieve a consensus approach for moving forward
with the MEP-FP systems and sustainable features to be incorporated into the project.
1.4.3 Landside/Roadway Alternatives
The Consultant will develop a series (not to exceed three(3)) of preliminary landside/roadway alternatives
that complement the Terminal Building Alternatives to be presented for consideration. An estimate of
Rough Order of Magnitude(ROM)construction costs for each alternative will be generated to establish
the relative value of the project components and evaluate each alternative's conformance to the overall
project budget. As well,for each alternative,the implications for potential,enabling projects will be
noted.
1.4.4 Cost Estimate Budget Development
The Consultant will estimate the probable construction cost of the concept level documents to establish
the relative value of the project components and its conformance to the overall project budget.The ROM
estimate will be based on a square footage analysis for the new and renovated construction.

1.4 5 Phasing and Scheduling
The Consultant will develop conceptual phasing and design/construction schedules, considering both
short-range and long-range implementation. In addition, preliminary ROM cost phasing plans(aligned

1.4.6 Evaluations of Alternatives
The Consultant will evaluate the terminal and terminal area alternatives by conducting a space-by-space
analysis of the individual component areas to achieve a unified and balanced whole without waste or
ineffective areas. Phasing, constructability, ROM cost, and operational impacts will be considered during
this analysis. An evaluation criteria matrix will be developed to rank refined concepts and to lead to the
preferred alternative. The criteria will include the ability to meet short-and long-range facility
requirements, ability to resolve current issues, ease of implementation, operating and capital costs,
flexibility and future expansion potential, ability to support commercial development, public and tenant
operational impacts, passenger and vehicular level of service(LOS) impacts, and potential environmental
issues.

1.4.7 Preferred Terminal Area Concept

Short-term budget estimates of development costs, including construction and professional fees,will be
developed for the Preferred Terminal Area Concept in greater detail than were developed for the
evaluation of alternatives.The cost estimates will consider the phasing of development and project
eligibility for FAA AIP grants and PFC revenue. A short-term,year-by-year,the capital expenditure table
will be developed from the schedule and eligibility analysis above.
1.4,8 Quality Control

and general material types. EGE staff discussions will result in the recommendation of a single concept
theme for inclusion in the Program Criteria Document.
» The Consultant will present the report at Stakeholder/Tenant,Airport Staff, Technical Workshop
No.5. During this presentation of Architectural Theme Refinement,the Consultant will present
refined conceptual theming documents to EGE staff for approval and direction for further use in
conceptual architectural design for the remaining parts of Task 1.5.
1.5.2 Preferred Terminal Building Refinement
The Consultant will continue to refine the preferred terminal building concept based on reviews and input
from EGE staff, combining the best features of those concepts previously presented. These components
will include the following:
1.5.2.1 Passenger Experience Planning
The Consultant will develop a Preliminary Airport Comprehensive Plan diagram,focused on passenger
experience. This task will include opportunities for the location of public art, concessions, and EGE Theme.
1.5.2.2 Overall Floor Plan and Passenger Circulation
In the form of plans, sections, elevations and massing modeling,the Consultant will further refine a
conceptual floor plan for cost estimating,tenant coordination, and presentations to and from EGE staff.
Major elements to be considered include:

The Consultant will study the building systems (Structural, Baggage, Security, Mechanical, Plumbing,
Electrical, and Communications)to determine the expansion feasibility of floor elevations, ramping,
clearances,capabilities, selective demolition, construction sequencing, and implementation. Relative
physical, operational, and cost impacts will be evaluated to assess optimum solutions. Major elements to
be considered include:
» Structural interface with existing elevations and ramp.

» Structural boarding elevations.
• Structural ability of the new terminal end expansion.
» New vertical circulation structural components.
» Ground service equipment storage and maintenance areas within terminal structure.
» Expandability analysis of security system equipment and infrastructure.
• Relocation of mechanical and plumbing systems associated with the cooling towers.
» Expansion of mechanical and plumbing systems associated with the chiller plant.
• Mechanical and plumbing accessibility to east side.
» Sustainability and energy efficiency to meet reduced carbon emissions
» Evaluation of BAS control system expandability.
• Reliability and redundancy plan associated with the electrical and communications systems
essential for a public facility.
» Location and capacity of existing and future terminal electrical generators.
1.5.3 Airside Components
The Consultant will develop and incorporate modifications to the airside components, limited to the
immediate ramp area,to facilitate the Preferred Terminal Area Concept. Potential elements include:
• Apron layout
• Aircraft parking
» GSE routing.
1.5.4 Landside/Roadway Refinements
The Consultant will develop and incorporate modifications to the landside components to facilitate the
Preferred Terminal Area Concept. The focus will be on a seamless passenger experience from terminal to
landside(for arriving passengers) and from landside to terminal (for departing passengers).
1.5.5 Cost Estimate Budget Refinements
The Consultant will refine the previously developed cost estimate, probable construction cost of the
concept level documents to establish the relative value of each project component and its conformance to
the overall project budget. The ROM estimates will be based on a square footage analysis for the new
and renovated construction.
1.5.6 Phasing and Schedule Refinements
The Consultant will refine the previously developed conceptual phasing and design/construction
schedule,considering both short-range and long-range implementation. In addition, refined ROM cost
phasing plans (aligned with the phasing and scheduling)will be developed.

1.5 7 Quality Control
The Consultant conduct in-house quality control reviews of all draft deliverables outlined in this section,
prior to delivery.The Consultant will follow their internal Standard Operations Procedures Section 3.0,
Project Management and Quality.
1.5.8 Deliverable - Program Criteria Document
At the conclusion of this task the final technical report will be produced.This report will be called the
Program Criteria Document and will include the necessary documentation to begin the next level of
design.This report will include the necessary documentation to complete Phase III-Project
Implementation. During this task the Consultant will generate 3D models and advanced prototyping of
the preferred Terminal Area. To the maximum extent possible, distribute deliverables as electronic
documents via email, or CD/DVD media.All deliverables will be provided in electronic Portable Document
Format(.pdf) and AutoCAD (.dwg)file formats. Distribution of paper copies will be minimized.
» The Consultant will present the report at Stakeholder/Tenant,Airport Staff, Technical Workshop
No.6, and Govern Meeting No.3
1.5,9 Integration to eALP
The Consultant will integrate the new planimetrics and data developed as part of this project into an EGE's
GIS database and the FAA AGIS database.In addition,the Consultant will provide new planimetrics in
AutoCAD(.dwg)file format for EGE staff to integrate the new planimetrics into their Airport Layout Plan
drawing set.
1.5.10 Meeting Summary
The Consultant will send three(3)team members and utilize two (2)site visits to conduct meetings and
on-site assessments that were described within Task 1.4 Project Implementation. Below is a summary of
those meetings and site visits:

1.6 PIROJECT MANAGEMENT AND COORDINATION
1.61 Project Management and Administration
The Consultant will manage the project in a professional manner,will assign and oversee qualified
individuals or sub consultants to the project,and will complete efforts within the published schedule.
Project chedule, scope, and budget adherence will be of primary concern as part of each task. Ongoing
tasks will include monthly progress reports to EGE staff, preparation and coordination of periodic
meetings, including the development of meeting minutes,task element setup and oversight, and overall
daily administration to conduct the project. This project is anticipated to be Lump Sum and Invoiced as a
percentage of completion of the tasks identified within this Scope of Services. The Consultant will utilize
the following tools to ensure that the scope, schedule, and budget adherence goals are met:

» Project budget maintenance
» Direct client coordination
• Subconsultant coordination
» Project status/schedule updates
» Status Updates
1.6.2 Project Coordination
The Consultant will oversee scheduling, resource allocation, monitoring, oversight, direction and control
