HomeMy WebLinkAboutECAT11-010 Landscape Technology Group FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY AIR TERMINAL CORPORATION AND LANDSCAPE TECHNOLOGY GROUP THIS FIRST AMENDMENT ( "Amendment ") is made and entered into this Z day of H , 2011, between Eagle County Air Terminal Corporation ( "ECAT ") and Landscape Technology Group, a Colorado Corporation with its principal place of business at 3288 Cooley Mesa Road, Al, Gypsum, Colorado 81637 ( "Contractor "). WHEREAS, ECAT and Contractor entered into an Agreement dated October 11, 2011 for irrigation system troubleshooting and services at the Eagle County Regional Airport ( "Original Agreement "); and WHEREAS, ECAT and Contractor wish to amend the terms ofthe Original Agreement to extend the scope of work and compensation provisions. NOW, THEREFORE, ECAT and Contractor agree that the Original Agreement will be amended as follows: 1. Article 1 - Work — shall be amended by the addition of the following language to be included as Paragraph 1.2: Contractor further agrees to use its expertise and skill to provide all services, labor, personnel and materials to perform and complete the services set forth in Contractor's proposal dated November 1, 2011, attached hereto as Exhibit C and incorporated herein by this reference (also hereinafter referred to as "Services" or "Work "). In the event of any conflict between the contents of this Agreement and Exhibit C, this Agreement shall control. The parties agree that time is of the essence for completion of the Services to be provided under Exhibit C and therefore, Contractor commits to complete those Services no later than fourteen (14) days after execution of this First Amendment by both parties. Notwithstanding the foregoing, ECAT acknowledges that inclement weather may cause unforeseen delays in completion of the Work. If Contractor anticipates that the Services to be provided under Exhibit C cannot practicably be completed within the timeframe provided herein, Contractor shall, without delay, contact the Airport Terminal Manager to arrange for a new timeline for completion of the Work. In the event that the parties agree that completion of the Work cannot be accomplished before the end of November, Contractor shall, at its own expense, provide backfill services and restore any disturbed property to its original condition pending completion ofthe Work at a mutually agreed future date. 2. Article 4 — Compensation — shall be amended by the addition of the following p Y language to be included as Paragraph 4.5: 01 I k For the Services to be provided under Exhibit C, ECAT will pay Contractor for materials, labor and equipment in the amounts provided in Exhibit C. The maximum amount of compensation for Services to be provided under Exhibit C shall not exceed seventeen thousand two hundred twenty three dollars and twenty four cents ($17,223.24) without an amendment to this Agreement signed by both parties. 3. ECAT and Contractor agree that, except as expressly altered, modified and changed in this Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect during the modified term, and hereby are ratified and confirmed in all respects as of the date hereof. 4. This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. 5. If any conflict exists between the provisions of this Amendment and the Original Agreement, the provisions this Amendment shall control. The scope of work included in each proposal is listed below. Airport — Finish Finding Manline and Wires At New Road Cut and Concrete This proposal includes completing the discovery portion of the work in the west island where a new road cut and concrete construction has occurred. The previous construction in these areas has damaged and destroyed portions of the system and supply lines in these areas. Airport — Irrigation Mainline Connections To Islands This proposal includes connecting the new mainline and wires to the individual islands: - Install connections from the new irrigation mainline to the planter islands using existing sleeves under the road in 4 locations. - Install new control wiring to the planter islands using existing sleeves under the road in 4 locations. - Installing new irrigation mainline and control wires to Island B on the west end of the lot. This includes trenching and running new mainline and control wires from a sleeve location in Island D all the way to west end of Island D. Also included is an asphalt cut between Island D and C and the installation of a sleeve under the asphalt. Patching the asphalt cut is not included in this proposal and is considered to be by others. - Install new irrigation mainline and control wires under the new road cut in the middle of Island B. This includes trenching and running new mainline and control wires from the south side of the new road cut to the north side of the new road cut where the mainline and wires were cut during road construction. Also included is an asphalt cut across the road cut and the installation of a sleeve under the asphalt. Patching the asphalt cut is not included in this proposal and is considered to be by others. - Installing a quick coupler and valves at the north end of Island D where the former mainline exits the sleeve under the road and terminal. The mainline will be capped off and this will become an end point on the new mainline. Airport — Controller.
