Home My WebLink AboutECAT11-008 Shaw Constructrion First Amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY AIR TERMINAL CORPORATION AND SHAW CONSTRUCTION APPROVING THE GUARANTEED MAXIMUM PRICE, BUDGET, AND CONSTRUCTION SCHEDULE FOR IMPROVEMENTS AT THE EAGLE COUNTY REGIONAL AIRPORT THIS FIRST AMENDMENT is made and entered into this day of October, 2011 between the Eagle County Air Terminal Corporation, acting by and through its Board of Directors ( "ECAT ") and Shaw Construction (hereinafter referred to as "Contractor "). Together all shall be referred to as "Parties." WHEREAS, ECAT and Contractor entered into a Preconstruction and Construction Agreement for Improvements at the Eagle County Regional Airport dated September 20, 2011 ( "Original Agreement ") and the Parties desire to amend the Original Agreement as follows; and WHEREAS, the Original Agreement called for the provision by Contractor of a proposed Guaranteed Maximum Price (hereinafter referred to as "GMP "), detailed budget and construction schedule to the County; and WHEREAS, the GMP, budget and construction schedule must be approved by the Eagle County Project Manager and ECAT before Contractor may be authorized to commence construction services; and WHEREAS, the 100% Design Documents and Specifications, attached hereto as Exhibit D, have been completed and presented to the Contractor; and WHEREAS, Contractor has presented to the County Project Manager the GMP, detailed budget and construction schedule, attached hereto as Exhibit E; and WHERAS, the Eagle County Project Manager and ECAT wish to approve the GMP, detailed budget and construction schedule as conditioned herein and authorize the issuance of a Notice to Proceed with Construction Services. In consideration of the terms and conditions of the Original Agreement, the sufficiency of which is hereby acknowledged, ECAT and Contractor hereby agree to the following: THAT, the 100% Design Documents and Specifications, the GMP, detailed budget and construction schedules attached hereto are hereby accepted by the undersigned and incorporated into the Contract Documents as defined in Article 12 of the Original Agreement. THAT, Article 12 of the Original Agreement shall be modified with the addition and incorporation of the following Contract Documents: "Article 12.6. Exhibit "D ": 100% Design Documents and Specifications, "New Checked Baggage Inspection System" dated September 1, 2011 as issued by BNP Associates on September 2, 2011. "Article 12.7. Exhibit "E ": Guaranteed Maximum Price, (GMP), Budget and Construction Schedule, including attached exhibits, for the Eagle County Regional Airport dated September 27, 2011." THAT, Contractor is hereby designated as the Construction Manager /General Contractor for • the construction of the Eagle County Regional Airport Improvements, New Checked Baggage Inspection System. THAT, the Eagle County Project Manager is authorized to issue a Notice to Proceed to Contractor to perform those Construction Services set forth in the Original Agreement. ECAT and Contractor agree that, except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. This First Amendment shall be binding on the Parties hereto, their heirs, executors, successors, and assigns.
