AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES
BETWEEN EAGLE COUNTY MR TERMINAL CORPORATION AND
BNP ASSOCIATES, INC. FOR DESIGN SERVICES AND CONSTRUCTION
MANAGEMENT RELATED TO EAGLE COUNTY REGIONAL AIRPORT CHECKED
BAGGAGE INSPECTION SYSTEM

BNP Associates, Inc. "Consultant" and Eagle County Air Terminal Corporation "Owner ",
"Corporation" or "ECAT" are parties to an agreement dated the 24th day of August, 2010
( "Agreement ") and wish to amend the Agreement as follows:
A. Consultant has agreed to request and subcontract with M. Arthur Gensler Jr. & Associates,
Inc. to subcontract with, Swanson Rink and Jviation Engineering & Planning ("sub -
consultants") to perform the following Additional Services:
o Provide engineering and design services to upgrade the existing current electrical
service which does not have the correct voltage or the amperage capacity to power
the new Inline Explosive Detection System and the new Baggage Handling System
(BHS).
o Provide calculations and electrical design for the interface for a new generator into
the existing electrical system.
o Provide specification documents and drawings for inclusion in the construction
documents to decommission the existing generator and install a new generator.
o Coordination of the exact requirements for the generator with the owner, and site
coordination of the exact location for the placement of the new generator with
owner and design team.
o Provide engineering and design services for a weatherproof enclosure to house the
new generator; the engineering and design services will include, exhaust muffler,
vibration isolators, an above ground UL 142 certified tank, and an underground
feeder from the generator to the building to feed a generator.
o Provide a remote enunciator panel, and underground power from the new 100A,
120 /208V, HVAC panel to the generator to feed the battery charger, jacket heaters,
and battery warmers.
o Provide a 1600A/4 -pole service entrance automatic transfer switch.
o Civil design and coordination for a new trenching for 5 new 4" conduits from the
generator to the transfer switch will be required.
o Provide civil /electrical /fire alarm services and management coordination for this
design and engineering effort.

level while it selects a GC to develop design from 70% to 100% design will cause delay in
schedule. The Services are currently paused at the 70% design level. Owner will issue a
Notice to Proceed with design coordination once Owner has selected a general
contractor and any required feedback has been received from TSA. Once the Notice to
Proceed is issued Consultant shall have fourteen (14) days to complete design
coordination and complete 100% Design Drawings. The Schedule attached to the
Agreement and as Appendix B to the OTA shall be extended by the number of days
associated with this delay.
C. The compensation for said Additional Services in this Change Order Number 2 shall
be billed in monthly progress payments to a maximum of $30,160, as stated in the below.

No Out -of Pocket expenses shall be charged to Owner in addition to the Additional Services
Amount set forth above. All Out -of- Pocket expenses (including, but not limited to travel, copies,
courier services) associated with the Additional Services identified in this Change Order Number 2
are included in the Additional Services Amount set forth above.
D. ECAT hereby consents to the Additional Services as set forth in this Change Order Number
2 to be performed by BNP Associates, Inc. and the sub - consultants to BNP Associates, Inc.
Any sub - consultant shall be bound by the terms of the Agreement in all respects. In the event
of any inconsistency between the terms and conditions in the Agreement and any agreement
between Consultant and sub- consultant(s), the Agreement between ECAT and Consultant
shall control. Consultant shall be responsible for the completeness and accuracy of the
Services and any Additional Services, and shall correct, at its sole expense, all errors or
omissions therein. Further, any sub - consultant shall be bound by the terms of the Other
Transaction Agreement between Department of Homeland Security and ECAT relating to
Eagle County Regional Airport Checked Baggage Screening Project
E. Any individual or entity performing Services or Additional Services shall be considered
subconsultants for purposes of the Agreement and this Change Order Number 2.
