INVESTMENT
PROFESSIONAL SERVICES AGREEMENT
AMENDMENTAND RENEWAL
THIS AMENDMENT AND RENEWAL, effective as of January I,20t6, between Cutwater Investor Services Corp. (formerly
known as MBIA Municipal lnvestors Services Corporation and now doing business as lnsight Investment) ("Advisor")
and Eagle County ("Client") shall further amend the Professional Services Agreement entered into by the parties as of
December 20,2OOO (together with all prior amendments thereto, the '?greement"). All capitalized terms used but not
defined herein shall have the meanings set forth in the Agreement.
WHEREAS, the parties wish to renew the term of the Agreement for an additional L year period and amend
certain provisions of the Agreement.
NOW, THEREFORE, the parties hereto agree as follows:
1. Account Management Section of the Agreement is hereby
that section:
amended to include the following at the end of
"Advisor will not file proofs of claim relating to the securities comprising the Account or any other
matter and will not notifli the Client or the Custodian of class action settlements or bankruptcies
related to the Account."
The Advisor and the Client hereby agree to extend the Term of the Agreement for an additional one-year
period, ending December 31, 2016.
Other than as provided herein, the Agreement shall remain in full force and effect.
lN WITNESS WHEREOF, the parties hereto have caused this Amendment and Renewal to be duly executed
and delivered by their proper and duly authorized officers, with effect as of the day first above written.
