TIIIS EXTENSION TO AGREEMENT FOR EARLY HEAD START SERVICES
(hereinafter "Extension") is effective as of the 28b day of February, 2A16 by and between
Clayton Early Learning, Trustee of the George W. Clayton Trust, a not-for-profit
corporation licensed and authorized to do business in the State of Colorado, whose address is
3801 Martin Luther King Boulevard, Denver, Colorado 80205 (hereinafter, "Clayton Early
Leaming"), and Eagle County, a body corporate and politic of the State of Colorado, whose
address is 500 Broadway, PO Box 850 Eagle, CO 81631 (hereinaftero "Contractor").
WHEREAS, the parties entered into a written Agreement dated July 1,2lls(hereinafter
the'i4,greemento'), whereby the Confractor agreed to provide certain services to Clayton Early
Learning; and
WHEREAS, the parties nowdesire to extend the terms and provisions of their
Agreement
NOW THEREFORE, for good and valuable consideration as set forth herein" the
parties agree to the following changes:
1. The written Agreement dated July 1,2015 is hereby amended as follows:
A. The first paragraph in Compensation is amended to read:
"Clayton Early Learning agrees to pay the Conhactor, and the Contractor agrees
to accept as complete compensation for all services provided under this Agreement for
the period from February 28,2016 througb August 31, 2016, an arnount of seventy nine
thousand thirty six dollars and ninety cents ($79,035.90) for ten (10) Early Head Stan
students. The Contractor will be paid in six (6) equal installments to be paid within the
first ten business days of the month of service . Funds will be tansferred to the Contractor
via Account Transfer. If reporting requireme,nts are not current, ACH payment will be
initiated within five business days of receipt of required reports."
B. The third paragraph in Compensation is amended to read:

"Non-Federal Share is a statutory requirement of the Head Start Act Section
640(b). Administrative requirements are codified in 45 CFR 74.23 and 45 CFR 92.24. As
stated in the Act, the grantee agency must provide 20 percent of the total costs of the
Head Start program unless a waiver has been granted. For purposes of the Agreement,
this amount shall total nineteen thousand seven hundred fifty nine dollars and twenty
three cents ($ 19,759.23)."
C. The term is amended to read:
'T'[otwithstanding the date upon which the parties sign this Extension to the
Agreement, the term of the Extension shall be effective as of FebruW 28,2016 and
proceed to the timely and expeditious completion of the services contemplated hereunder,
but in any event, the services ofthe Conhactor shall be completed and this Agreement
shall expire on August 31,2416."
2. A11 other terms and conditions of the Agreement shall remain in fuIl force and effect. In
the event of any conflict between the terms and conditions of this Extension and the
terms and conditions ofthe Agreement, the terms and conditions of this Extension shall
prevail.
