THIS BILL OF SALE, ACKNOWLEDGMENT AtlD AGREEMENT("Agreernent") is by and between the
Town of Red Cliff, Colorado ("Red Cliff') and Eagle County, Colorado("Eagle County")(iotlectively, the
"Parties").

WHEREAS, Red Cliff desires to exchange with Eagte County the Town's 1995 John Deer Model 5,148 Wheel
Loader, VIN DW5rgEB5345l9, with Eagle County's 2([3 John Deere Loader, Fleet Unit number 8288, VIN
DW644HX587021, which is scheduled to be sold by Eagle County at surplus auction; and
WHEREAS, Eagle County is willing to make such exchange; and
W{EREAS, the two vehicles described herein will collectively be referrcd to as the "Vehicles."
BILL OT SALE
In consideration of the acknowledgnrents and ogreement contained herein, Eagle County hereby trans rs to the
Town of Red Cliff title to the 2(D3 John Deere Loadeq Fleet Unit number 8288, VIN DW644!{X58702 l. The
Town of Red Cliff hereby transfers to Eagle County title to the 1995 John Deer Model 544E Wheel l-oader, VIN
DW544EB534519.
ACKNO1VLEDGMENT AND AGREBMENT
NOW, TI{EREFORE, the Parties acknowledge and agree as follows:
l. That Vehicles are being delivered in "as is- condition. The Parties make no warranties, exprcss or implied, as
to the fitness of the Vehicles for any particular use.
2. Red Cliff has received from Eagle County, maintenance records concerning the Vehicle and understands that
Eagle County makes no representation regarding the completeness of said records.
3. Red Cliff, its successors or assigns, assunr all liability for and shall defend and hotd harmless Eagle County,
and its offltcers, ag€nts, representatives and employees, for all claims, loss, damage, octions, expenses, and
liability resulting from, brought for, or on nccount of, any personal injury, threat of personal injury, or
qrcperty damage received or sustained by any person or pe$ons growing out of, ociuning or ittributabte
directly or indirectly, to the op€ration of the vehicle transferred to Red Cliff hercin.
