THIS ACREEI'IENT ("Agreernent") is effeciive as of the Jtu^, of firv#4r', 2016 by and betwee n
Walking Mountains Science Ccnter, a Colorado non-proiit corporalion (hereinafter "Consulmnt" or "Contracror")
and Eagle County, Colorado, a body corporate and politic (hercinafter "County").
RECITALS
WHEREAS, County dcsircs 10 support thc ongoing grorvth and development of the Actively Green Sustainablc
Busincss Training and Ccrtification Program as more fully set forth bclorv (the "Prdect"); and
WHEREAS, Consultant. is authorized to do husiness in the Srarc of Colorado and has thc timc, skill, cxpcrtise, and
cxpericnce nccessary to provide the services; and
WHFREAS, this Agrccment shall govern the relationship bclwecn Consultant and County in connection rvith the
scrviccs,

4. Extcnsiqr!.or Modification. This Agreement may not be amended or supplemcnted, nor may any
obligations hcreunder be waived, except by agreement signed by both parties. No additional scrvices or work
pcrformed by Consultant shall be the basis for additional compen.sation unlcss and until Consultant has obtaincd
rvritten authorization and acknorvlcdgement by County for such additional services. Accordingly, no course ol'
conduct or dealings between the parties, nor vcrbal change orders, express or implied acceptance of allerations or
additions lo lhc Services, and no claim thal County has been unjustly enriched by any additional services, whether or
not lhcre is in fact any such unjust enrichment, shlll be the basis ofany increase in the compensation payable
hereunder. ln the event that written authorization and acknowledgment by County lor such additional services is not
timely executed and issued in strict accordance with this Agreemcnt, Consultant's rights with rcspcrct to such
additional services shall be deemcd waivcd and such lailure shall result in non-paymcnt for such additional serviccs
or work performed.
5. Cgmnensation. County shall compensate Contractor for thc pcrlormance of the Services in a sum
compute d and payablc as set lorth in Exhibit A. The performance of the Services undcr this Agrcemenr shall not
exceed $24,000.00. Contractor shall not be entitled to bill at overtime and/or doublc rime rares lbr work done
outsidc ol'normal business hours unless specifically authorized in writing by County.
a. Payment will bc madc flor Services satist'actorily performed within thirty (30) days of
receipt of a proper and accurate invoice from Contraclor. All invoices shall include detail regarding the
hours spent, tasks pcrformcd, who performed cach task and such other dstail as County may rcquest.
County shall compensate Contractor from the Environmental Sustainability budget.
b. If, at any time after or during lhe term or after termination or expiration of this
Agreemenl, County reasonably tlelcrminss that any paymeni therctolbre paid by County to Consultanl wa.s
improper bccause the Services lbr rvhich payment was made rvere not perlormed as set lbrth in this
Agreement, then upon written notice of such dercrmination and requesl lclr rcimbursement from CounLy,
Consultant shall lbrthwith return .such paymcnl(s) to County, Upon termination or expiration ol'this
Agrcement, unexpended funds advanced by County, ifany, shall lorthwith bc returned ro County.
c. All funds receivcd by Consultant under this Agreement shall be or havc been expended
solely lbr the purpose tbr which granted, and any l'unds not so expended, including l'unds losr or cliverted
for othcr purposes, shall bc returned to County.
d. Nolwithstanding anything to the contrary contained in thi.s Agrcement, County shall have
no obligations under this Agrcement alier, nor shall any payments bc made to Consultant in respect of any
pcriod alier Decemtrcr 3 | o[ any ye ar, withoul an appropriation thcrefor by Counry in accorclance with a
budget adopted by thc Board of County Commissioners in compliance with Articlc 25, ritle 30 of thc
Colorado Revised Statutes, the Local Governmcnt Budget Law (C.R.S. 29-l-l0l cr. scq.) ancl the TABOR
Amendment (Colorado Con.stitution, Arriclc X, Scc. 20).
6. S-ub-consultants. Consultana acknowledges that County has entcred into rhis Agreeme nt in reliancc upon
thc particular reputation and expertise of Consultant. The Consultant.shall nol enter into any sub-consultant
agrccments for thc perforntance of any of the Scrvices clr additionol services without County's prior written conscnl,
which may be withheld in County's solc discretion. County shall have the right in its reasonable cliscretion to
approve all personnel assigned to thc subjec( project during thc performance ofthis Agreernenl and no personnel to
whom County has an objection, in its reasonoble discretion, shall be assigned to the projccl. Consultant shall require
each sub-consultanl, as approvcd by County and to the cxtcnt ofthe Scrvices to be perlormed try the sub-consultant,
to be bound to Consultant by thc rerms of thi.s Agrecment, and to assume roward Con.sultanr all the obligations and
responsibililies which Consultant, by this Agreerne nl, assunrcs torvard County. County shall havc the right (but not
the obligation) to enforce the provisions of this Agreement against any sub-consultant hired by Consultant and
Consultant shall cooperate in such proccss. The Contractor shall be responsible for the acts and omissions of its
agents, cmployees and -sub-consultants or sub-contraclors.
7. lnsurancc. Consultant agrecs to provide and maintain at Consultxnt's sole cost and expense, the follorving

ii. Automobile coverage to be. carried by Con.sultant or ils sub-consultants. as

personalladvertising injury, products/conrpleted operations, broad form propcrty damage rvith lirnits of liability not
less than $1,000,000 per occurence and $2,000,000 aggregatc limits.

associated orafllliatcd entities, its successors and assigns. clected ol'ficials, enrployees, agent.s and volunteers l.s

requirenrcnt is attachcd hereto as Exhibi{ B.

is provided by Consultant or some other cntity. The Consultant is obligated to pay all fecleral and stale income lax
on any moneys paid pursuant to thi.s Agreement.
8. Indem,nification. TheConsultantshall indcnrnify and holcl harmlc.ss County, ancl any of its ofliccrs, agcnrs
and cmployees against any losses, claims, damages or liabilitics for which County may becorne sub.ject to insolar as
an such losses, claints, damages or liabilities arise out ol', dircctly or indircctly, this Agreernent, orare bascd upon
any performance or nonpcrformance by Consultant or any of its sub-consultants hereunclcr inclucling claims for
bodily injury or personal injury including death, or loss or damage to tangible or inrangible property; and Consultont
shall rcimburse County lor reasonable attorney fces ancl costs, legnl and other expenses incurrecl by County in
connection with investigating or dcfending any such loss, claim, damage, liability or action. This indemnil'ication
shall not appty to claims by third parties against the County lo the cxtent that County is liable to such third parry for
such claims without regard to the involvement of the Consultant. This paragraph shall survive expiralion or
termination hereof.
9. Ownership ol'Documents. All documents preparcd by Consultant in connection with the Services shall
becomc property of County. Consultant shall e xecute writlen tssignments to County ol'all rights (including
common law, statutory, and other righls, including copyrights) ro rhe same as County shall from timc to time
rcquesL. Forpurposeso{'thisparagraph,theterm"documents"shall meanandincludeall reports,plans,studies,
tapc or other electronic rccordings, drawings, sketches, cstimates, data shee8, ntaps and rvork sheets procluced, or
prepurctl by or fol Consultant (including any employee or subcontraclor in connection with the performancc of the
Services and additional services under this Asreement).
10. Notice. Any notice required by this Agreement shall bc dcemed propcrly delivered when (i) pe'rsonally
de livercd, or (ii) when mailecl in the United States mail, first class posroge prepaid, or (iii) whe n deliverecl by FeclEx
or ot'hcr comparable courier.service, charges prepaid, (o the partics at their respective aclclresse.s listect below, or (iv)
when sent via lacsimile so long as lhe sending party can provicle facsimile machine or othcr contirmation showing
tlre date, timc and rcceiving facsimile numbcr for the transmission. Either parry may changc its address lbr purposes
ofthis paragraph by giving live (5) days prior writtcn notice ofsuch change to the other party.

with or tviihout cause , and without penalty therefor with seven (7) calendardays' prior written notice to the
Consultant, Upon cxpiration or termination rrf this Agree menr, Consullant shall immediately providc County rvith

orvncd materials and documents. Further, Consultant shall immediately return ro County all unexpe nded l'unds
advanced by County to Consultant.
12. Vi;[ue, ]urisdi.gjion and Applicahle Law. Any and all c,laims. disputcs or conrrovcrsies rclared to rhis
Agreement, or brcach thererol, shall be litigated in the DistrictCourl fcrrEagle County, Colorado, rvlrich shall be rhe
sole and cxclusive forurn for such litigation. This Agreement shall be construed and interpreted under and shall tre
governcd by thc laws of the Statc ol'Colorado.
13. Exccutitrn by Counterparts: Elecaropi-c-"Sisnature.s. This Agrecrnent may be execurcd in two or more
counlcrparts, each clf which shall be dee med an original, but rll of which shall constitulc one and the sanrc
insl.runtcnt. The parties approve the u.se ol'elcctronic signatures lbrexecution of tlris Agreenrent. Only the following
twtl lortns of electronic sigurlures slrall be penrittcd to bind thc partics to this Agrecnrcnr: (i) Electronic or
lacsirniledeliveryofatullycxecutedcopyofthesignaturcpage;(ii) theinrugcofthesignaturcofanauthorizecl

d. Consultant agrecs to work in an expcditious mnnner, within thc sound exercise of its judgment and
prolbssional standards, in thc perlbrmance ol' this Agrecme nt. Time is of the essencc with respect to this
Agreement.
e. This Agrcemcnt constitutes an agrccme nt for performance of the Serviccs by Consultant us an
indcpcnde nt contractor and not as an employce of County. Nothing containcd in this Agrecment shall bs dccmed to
create a relltionship of employerr+mployee, master-servant, partncrship, joint venture or any other relationship
hetween County and Consultant cxcept thal of independent contractor. Consultant shall have no authority to bind
County.
f. Consultant reprcsents and worrants that at all times in the performance ol'the Services, Consultant
shall comply with any and all applicable lcdcral and state laws, codes, rules and regulations.
S. Contractor shall comply with ths Civil Rights Act of 1964 and Scction 504, Rchahilitation Act ol
| 973, conccrning discrirnination on the basis of race, color, sex, agc, religion, political belie[s, national origin or
handicap.
h. This Agreement contains the entire agreement betwcen the parties with respect to the subject
nrutter hereofanrl supcrsedes all other agrcements or understanding betrvee n the parties with respect thereto.
Consultant shall not assign any portion of this Agreement without the prior rvrittcn consent of the
County. Any attempt to assign this Agrecment without such consent shall be void.
This Agreement shall bc binding upon and shall inure to the benefit of the parties hcreto and their
rospective permitted assigns and successors in interest. Enflorcement ol this Agreement and all rights and obligations
hcreunder arc rcservcd solcly lbr the parties, and not to any third party.
k. No lailure or dclay try either party in the exercise of any right hereunder shall constitutc a waiver
thereof. Nowaiverofanybreachshall bedeemedawaiverol'anyprecedingorsucceedingbreach.
l. The invalidity, illegality or uncnforceability o[ any provision of this Agreemcnt shall not affect the
vnlidity or enlbrceability ol any othcr provision hcrcol.
m. Consultant.shall maintain lbr a minimum ol'three ycars, adequale financial and other rccords lbr
reporting to County. Consultant shall be subjcct to financial audil by county auditors or their designecs. Consultanl
aulhorizes such audils and inspections ofrecords during normal business hours, upon 48 hours' notice to Consultant.
Consullant shall fully cooperate during such audit or inspections.
n. The signatories to this Agreement avcr to tlreir knowledgc, no employee ol'the County has any
personal or beneficial intere.st whalsocver in thc Services or Property described in this Agreement. Thc Consultant
has no beneficial intercst, director indirect, (hat would conflict in any manncrordegrce with the pcrformance of rhe
Scrvices and Consultant shall not cmploy any person having such known intercsts.
o. The Consultanl, ifa natural person eightecn (18) ycars ofage or older, hcreby swcars ancl affirms
under pcnalty of perjury that he or she (i) is c citizen or otherwise lawltlly present in the United States pursuant to
fcderal law, (ii) to the extent applicablc shall comply rvith C.R.S. 24-76.5-103 prior to the eflbctive date of this
Arlrcement.
15. Pjohibitions on Government Contracts.
If Consultant has any employees or subconlractors, Consultant shall comply rvitlr C.R.S. 8-17.5-101, et. seq.,
regarding lllegal Aliens- Public Contracts lor Services. and this Agreement. Bv execution of this Agreernent,
Consultant certifies that it docs not knowingly employ or contract rvith an illegal alien rvho will perform under this
Agrccmenl and dtat Consultant rvill participate in the E-verify Program or othcr Department of Labor and
Entployment program ("De partrnent Program") in order to confirm the eligibility of all emplovees who arc nervly
hircd for enrplo,vmenl to perl'orrn Services under this Agreement.
