COLLECTION AGREEMENT
Between The
EAGLE COUNTY REGIONAL TRANSPORTATION AUTHORITY
And The
USDA, FOREST SERVICE
WHITE RIVER NATIONAL FOREST,
EAGLE/HOLY CROSS RANGER DISTRICT
This COLLECTION AGREEMENT is hereby entered into by and between the Eagle County
Regional Transportation Authority, hereinafter referred to as "ECRTA ", and the USDA, Forest
Service, White River National Forest, Eagle/Holy Cross Ranger District, hereinafter referred to
as the "U.S. Forest Service," under the provisions of the Cooperative Funds Act of June 30, 1914
(16 U.S.C. 498 as amended by Pub. L. 104 -127).
Background: The Cooperator, Eagle County Regional Transportation Authority (ECRTA) has
partnered with the U.S. Forest Service to use parking lanes not currently utilized at the Holy
Cross District Office Compound for public transportation, bus parking/customer pick -up and
drop -off. This collection agreement supersedes Collection Agreement No. 06- CO- 1 1021504-
014 which expired December 9, 2010.
Title: ECRTA snow removal contribution and use of U.S. Forest Service parking area.
I. PURPOSE: The purpose of this agreement, and incorporated Financial Plan, is to document
the voluntary contribution of funds from ECTRA to the U.S. Forest Service to contribute one
third cost of the total snow removal costs for the yearly contract at the Holy Cross District
Office and bus stop area as we continue to partner with ECTRA in providing public
transportation needs.
II. THE ECRTA SHALL:
A. LEGAL AUTHORITY. ECRTA shall have the legal authority to enter into this
agreement, and the institutional, managerial, and financial capability to ensure proper
planning, management, and completion of the project, which includes funds sufficient to
pay the nonfederal share of project costs, when applicable.
B. Perform in accordance with the Financial Plan.
C. Upon presentation of a Bill for Collection, deposit with the U.S. Forest Service the
amount agreed to in the Financial Plan.

D. Meet yearly with the U.S. Forest Service to update the Annual Operating and Financial
Plan and address any concerns.
E. Upon termination or expiration of this agreement ECRTA may be asked to remove the
bus shelter and materials associated with the bus shelter.
IILTHE U.S. FOREST SERVICE SHALL:
A. ADVANCE BILLING. The U.S. Forest Service shall bill ECTRA prior to
commencement of work for deposits sufficient to cover the estimated costs (including
overhead) for the specific payment period. Overhead is assessed at the rate of 7.1
percent.
Billing Method: A single lump sum advance bill. The bill for Fiscal Year 2011 will be
waived due to prior year ECTRA funding still being available for use. Advance billing
will commence Fiscal Year 2012.
B. Perform in accordance with the attached Annual Operating and Financial Plan.
C. Billing shall be sent to: Eagle County Regional Transportation Authority

D. Give ECRTA notification if this arrangement cannot be continued and at least 60 days
notification to remove bus shelter and materials associated with the bus shelter.
TV. IT IS MUTUALLY AGREED AND UNDERSTOOD BY AND BETWEEN THE
PARTIES THAT:
A. PRINCIPAL CONTACTS. See Exhibit A, Annual Operating Plan for current contact
information.
B. U.S. FOREST SERVICE LIABILITY. The U.S. Forest Service shall not be liable to
ECTRA or third parties for any damages incident to the performance of this agreement.
C. NON - LIABILITY. The U.S. Forest Service does not assume liability for any third party
claims for damages arising out of this instrument.
D. REFUNDS. Funds collected in advance by the U.S. Forest Service, which are not spent
or obligated for the project(s) approved under this agreement, may be refunded to
ECTRA, authorized for use for a new agreement by ECTRA, or waived by ECTRA. A
DUNS number and registration in the Central Contractor Registry (CCR) by ECTRA
may be necessary to process a refund. Due to processing costs, any balance less than $25
shall not be refunded to ECTRA.

E. FREEDOM OF INFORMATION ACT (FOIA). Public access to agreement records must
not be limited, except when such records must be kept confidential and would have been
exempted from disclosure pursuant to Freedom of Information regulations (5 U.S.C.
552).
F. PARTICIPATION IN SIMILAR ACTIVITIES. This agreement in no way restricts the
U.S. Forest Service or ECTRA from participating in similar activities with other public or
private agencies, organizations, and individuals.
G. ENDORSEMENT. Any of ECTRA's contributions made under this agreement do not by
direct reference or implication convey U.S. Forest Service endorsement of ECTRA's
products or activities.
H. NOTICES. Any communication affecting the operations covered by this agreement by
the U.S. Forest Service or ECTRA will be sufficient only if in writing and delivered in
person, mailed, or transmitted electronically by e-mail or fax, as follows:
To the U.S. Forest Service Program Manager, at the address specified in the
agreement.
To ECTRA, at ECTRA's address shown in the agreement or such other address
designated within the agreement.
Notices are effective when delivered in accordance with this provision, or on the effective
date of the notice, whichever is later.
I. COLLABORATION. The U.S. Forest Service and ECTRA may mutually agree to
collaborate in the review of draft publications, interpretive signs, manuscripts, and other
printed material and audiovisuals prior to completion. This agreement, in and of itself,
does not authorize ECTRA's participation in the project.
TERMINATION FOR COLLECTION AGREEMENTS. Either party, in writing, may
terminate this agreement in whole, or in part, at any time before the date of expiration.
The U.S. Forest Service shall not incur any new obligations for the terminated portion of
this agreement after the effective date of termination and shall cancel as many obligations
as possible. Full credit must be allowed for U.S. Forest Service expenses and all non-
cancelable obligations properly incurred up to the effective date of termination. Excess
funds must be refunded in accordance with the REFUND provision of the agreement.
K. LIABILITIES. The United States, acting by and through the U.S. Forest Service, hereby
agrees to bear any and all liabilities of any kind related to the exercise of the U.S. Forest
Service's rights under the Federal Tort Claims Act (FTCA), 28 U.S.C. 2671 et. seq., or
any other applicable act wherein Congress specifically waived sovereign immunity of the
United States.

L. DEBARMENT AND SUSPENSION. ECRTA shall immediately inform the U.S. Forest
Service if they or any of their principals are presently excluded, debarred, or suspended
from entering into covered transactions with the Federal Government according to the
terms of 2 CFR Part 180. Additionally, should ECTRA or any of their principals receive
a transmittal letter or other official Federal notice of debarment or suspension, then they
shall notify the U.S. Forest Service without undue delay. This applies whether the
exclusion, debarment, or suspension is voluntary or involuntary.
M. MODIFICATIONS. Modifications within the scope of this instrument must be made by
mutual consent of the parties, by the issuance of a written modification signed and dated
by all properly authorized, signatory officials, prior to any changes being performed.
Requests for modification should be made, in writing, at least 30 days prior to
implementation of the requested change.
N. COMMENCEMENT.'EXPIRATION DATE. This instrument is executed as of the date
of the last signature, and will expire in five years from the date of last signature. The
expiration date is the final date for completion of all work activities under this agreement.
O. AUTHORIZED REPRESENTATIVES. By signature below, each party certifies that the
individuals listed in this document as representatives of the individual parties are
authorized to act in their respective areas for matters related to this instrument. In
witness whereof, the parties hereto have executed this instrument as of the last date
written below.

ANNUAL OPERATING PLAN
Scope of Work
GENERAL PROJECT DESCRIPTION: To provide snow removal for the bus stop located at the Holy
Cross Ranger District from November 151h 2010 until April 30th 2011. The Forest Service has a
snow removal contract for the entire parking on the compound in which Eagle County Regional
Transportation Authority (ECRTA) will contribute 1/3 of the cost of services for use of 1/3 portion
of U.S. Forest Service parking lot.
11. PROJECT SPECIFICS
A. U.S. FOREST SERVICE SHALL:
1. Designate ten parking lanes for ECRTA at Holy Cross District Office Compound, 24747 US
HWY 24, Minturn, CO.
2. Provide a staging area for the bus system in the Meadow Mountain area.
3. Waive billing ECRTA for this Annual Operating Plan due to funding being available for use
from last year's agreement. Current funds are to be contributed to the total cost of
snowplowing contract for the bus turnaround at the Holy Cross District Office Compound.
4. Deposit all cash funds received under the terms of this Agreement to a U.S. Forest Service
Cooperative Work Fund to be used for the purpose for which contributed, including related
overhead expenses. See attached Financial Plan,
5. Provide snow removal at and around the bus stop shelter during normal U.S. Forest Service
hours, generally 7:30 a.m. through 4:30 p.m., Monday through Friday.
B. ECRTA SHALL:
1. Provide for public mass transportation at a level that adequately meets visitor demand for
transportation in the Eagle Valley, utilizing U.S. Forest Service parking spaces.
2. Provide appropriate signing for traffic control and access points at U.S. Forest Service
parking area.
3. Provide a waste receptacle at the bus shelter at the U.S. Forest Service parking area, pick up
trash around the bus shelter and empty the waste receptacle on a regular basis.
4. Provide snow removal on evenings, weekends and holidays at and around the bus shelter at
the U.S. Forest Service parking area at ECRTA's own discretion.
5. Upon termination or expiration of this agreement, ECRTA may be asked to remove the bus
shelter and materials associated with the bus shelter.
C. TERM OF ANNUAL OPERATING PLAN: The project work will be completed during the period
starting December 10, 2010 and ending April 30, 2011.
