PURPOSE OF GRANT and SPECIAL CONDITIONS (if any):
RESOLVED, that a grant of$270,000 be made to Eagle County Public Health for the Total Health
Alliance proposal submitted on May 15,2015. This grant will be distributed as follows: $90,000 in
August of 2015, $90,000 in October of 2016 and$90,000 in October of 2017. Second and third year
grant payments are dependent upon submitting required reports in a timely manner and to the
satisfaction of The Denver Foundation. Failure to do so could jeopardize future payments on this grant.
Please refer to the grant contract and rationale for specific information on reporting requirements and/or
evaluation participation requirements.
This grant is awarded by the Colorado Health Access Fund at The Denver Foundation(the"Foundation")to the
Grantee listed above, subject to the following teens and conditions:
1. Tax Status of Grantee: Grantee confirms that it is currently recognized by the Internal Revenue Service(the
"IRS")as a public charity under sections 501(c)(3)and 509(aXl),(2)or(3)of the Internal Revenue Code(the
"Code") or is a local governmental agency. Grantee agrees to inform the Foundation immediately of any
change in,or IRS proposed or actual revocation of,such tax status.
2. Compliance with Grant Contract: Grantee agrees to comply with the terms and conditions of this grant
contract, including any addendurns, and to exercise full control over the grant and the use of grant funds. If
this grant is subject to any Special Conditions noted above, Grantee must provide to the Foundation evidence
of compliance with such conditions prior to receiving additional grant funds from the Foundation.
3. Use of Grant Funds: Grantee agrees to use the grant funds only for the purpose identified above, as further
described in Grantee's grant request to the Foundation and related correspondence. Expenses incurred by
Grantee prior to receipt of the grant or after the grant period ends may not be paid for with this grant,without
the Foundation's prior written approval. Grantee agrees that it will not use the grant funds for any non-
charitable purpose,including for political campaign activities (i.e., activities on behalf of or in opposition to
any candidate for public office).
4. Records: Grantee agrees to maintain accurate accounting records related to the expenditure of the grant funds
and to keep such accounting records for at least two years after the grant period ends. Grantee agrees to
provide promptly such additional information and documents as the Foundation may request,and to allow the
Foundation and its representatives to conduct site visits and to have reasonable access during regular business
hours to files, records, accounts or personnel that are associated with this grant, for the purpose of making
such financial reviews,verifications or program evaluations as may be deemed necessary by the Foundation.

5. Acknowledgement of the Grant: Grantee agrees to acknowledge the Foundation's support in all public
announcements, news features, publications or other media information related to the purpose for which the
grant was provided,and to provide a copy of all such published materials to the Foundation.
6. Foundation's Use of Information:The Foundation may include information regarding this grant,including the
amount and purpose of the grant,and any information or materials about Grantee and its activities provided to
the Foundation,in any written material produced by the Foundation,including on the Foundation's website.
7. Copyrights: Any written documents reporting the results of, or produced by the expenditure of, the grant
funds may be copyrighted by Grantee, or by the author thereof, in accordance with the policies of Grantee;
however,the Foundation reserves a royalty-free license to use such documents.
8. Reports: Grantee must submit a final report by the date specified in Grant Rationale, using the evaluation
model prepared by the Colorado Health Institute. As required the Foundation, the interim reports and final
report must include financial statements, including a balance sheet, income and expense statements for the
years in which the grant was used, and, if the grant was used for a specific program/capital project, income
and expenditure information compared to the approved budget for the program/capital project. The interim
and final grant reports must address in detail any Grant Rationale items marked with an asterisk. The
Foundation reserves the right to require Grantee to submit a Learning and Evaluation plan in lieu of, or in
addition to,a final report.Before submitting any new grant requests to the Foundation,Grantee must submit a
final report on this grant,unless Grantee receives a waiver of this requirement from the Foundation.
9. Reversion of Grant Funds:Grantee agrees to return to the Foundation any grant funds that remain unexpended
t ends. The Foundation reserves the right to discontinue, modify or withhold any
the grant period ds fy y
payments to be made under this grant award or to require a total or partial refund of any grant funds,if,in the
Foundation's sole discretion, such action is necessary: (i) because Grantee has not fully complied with the
terms and conditions of this grant contract; (ii) in the event Grantee loses its tax-exempt status under section
501(c)(3) of the Code or its public charity status under section 509(a)(1), (2) or (3) of the Code; or (iii) to
comply with any law or regulation applicable to Grantee or to the Foundation.
10.Nondiscrimination: Grantee will not discriminate on the basis of race, color, religion(creed), gender, gender
expression, age, national origin (ancestry), disability, marital status, sexual orientation, or military status,
except to serve a historically disadvantaged group.
11.Acceptance: By depositing the grant award check, Grantee agrees to abide by all of the terms and
conditions contained in this grant contract and grant rationale.

RATIONALE FOR GRANT DECISION
The Colorado Health Access Fund(CHAF)provides this rationale so you may better understand the basis
for our approval of your grant proposal.We hope this information is useful for your organization.

Recommendation: RESOLVED,that a grant of$270,000 over three years be made to
Eagle County Government for the collaborative proposal submitted
on May 15,2015.
Grant Period: September 1,2015—August 31,2018
Rationale
1. The Total Health Alliance(THA)is focused on increasing access to behavioral health services for
low-income individuals,as well as those for whom English is a second language.THA is working
to create integrated delivery systems. Individuals will have increased access to behavioral health
services as Law Enforcement will be better able to identify individuals in need and be able to
make immediate referrals.
2. THA will use existing networks and resources to refer and transition clients. Funding for staffing
will allow the collaborative to offer better coordination of care and systems level coordination
for directing and monitoring the progress of the collaborative.
3. This work is grounded in community need and has strong,diverse partnerships across non-
profits,local government,law enforcement,and clinical care.
4. THA will be housed within DHS because it makes more sense given that DHS is likely to have
more direct contact with Eagle County residents with high health care needs.Government is the
lead partner for this collaborative as it is seen as a neutral party by the other key stakeholders.

Evaluation requirements:
1. As a reminder,the grantee will reserve 10-15%of the award to evaluate the proposed work.

This participation is not yet well defined.CHAF staff will keep Grantee informed.

c. As a reminder,Grantee was required to incorporate staff time and related expenses into this

[earnings and partner. Date is to be determined.

Grantee is required to submit all reports prior to applying for the next grant cycle.
