Agency Agreement
Colorado Seminary which owns and operates the University of Denver and its
Graduate School of Social Work ('School") and Eagle County, Colorado, a body
corporate and politic ("Agency") mutually agree that the Agency will provide a field
placement for educational and on-the-job training experiences that would be
beneficial to graduate social work students of the School on the terms and
conditions set forth herein.
A. Responsibilities of School
1. The School will retain ultimate responsibility for the education of its students.
2. The School will instruct all students assigned to the Agency in the
confidentiality of patient/client records, patient/client information imparted during
the training experience, and will ensure that all students complete the School's
training. The School will also instruct all students that the confidentiality
requirements survive the termination or expiration of this Agreement.
3. The School will require all participating students to provide proof of health
insurance. Agency is not responsible for providing insurance or any other
benefits to the student as student is not an employee of Agency. The School will
be responsible for providing workers' compensation and liability coverage for all
students of School participating in the training experience at the Agency.
4. School personnel and students shall be obligated to adhere to the policies,
regulations and procedures of Agency.
5. The School will provide adequate professional liability insurance (minimum
$1,000,000/$3,000,000) covering all individual students and instructors
participating with the Agency.
6. Notwithstanding anything to the contrary herein, the School shall immediately
upon notice from Agency, remove any student from the Agency program under
this Agreement whom Agency determines, in its reasonable discretion, imposes
an unreasonable risk of harm to Agency personnel, clients or property or who
violates Agency policies, regulations or procedures, despite warning.
7. The School shall designate a liaison to be Agency's contact during the term of
this Agreement.
B. Responsibilities of Agency.
1. Agency shall have sole responsibility for establishing the policies, regulations
and procedures applicable to its operations and activities. It shall notify

School and Students of all policies, regulations and procedures which it
expects School's personnel and students to adhere to while on Agency
premises or conducting activities as part of the training experience at the
Agency.
2. Agency shall maintain its facilities in compliance with local, state and federal
laws and regulations.
3. Agency administration and personnel recognize its responsibility to maintain
a learning environment of high quality and shall provide adequate direction
and supervision during the term of this Agreement.
4. Agency shall designate a liaison to be School's contact during the term of this
Agreement.
5. Agency may remove and restrict entry upon its premises by School
personnel or students who it determines, in its reasonable discretion,
imposes an unreasonable risk of harm to Agency personnel, clients or
property, or who violates Agency policies, regulations or procedures, despite
warning. Agency shall exercise reasonable efforts under the circumstances
to notify School of its intent to remove or restrict prior to taking action and
shall notify School in any event, as soon thereafter as is reasonable.
6. During the learning experience, students shall not be employees of Agency
nor shall they be required to perform work for Agency not associated with an
approved learning experience.
7. Agency shall retain ultimate responsibility and control for the care of its
clients.
8. Agency shall keep confidential any student records obtained or created by
Agency in accordance with the requirements of the Family Education Rights
and Privacy Act (20 U.S.C. § 1232 g) ("FERPA") and the rules and
regulations promulgated thereunder.
C. Joint Responsibilities and Terms of Agreement.
1. The Agreement will be in effect as of the date signed by both parties and
will remain in effect for a period of one (1) year. This Agreement will
automatically renew for subsequent one (1) year terms unless earlier
terminated as set forth herein. The Agreement may be terminated by either
party with or without cause upon thirty (30) days' notice. In the event a
student is assigned to the Agency at the time termination would be effective,
the parties shall make best efforts to allow the student to complete his or her
rotation.

2. This agreement does not obligate either party to pay the other or their
respective staffs.
3. During this period of time, the Agency and the School will mutually agree on
the student assignments and the accepted level of academic preparation
required for each student.
4. The Agency and the School mutually agree to follow the standards and
guidelines of field instruction as outlined in the Field Manual of the University
of Denver Graduate School of Social Work at http://www.du.edu/socialwork
/field/ incorporated into this Agreement by reference.
5. Each party agrees that no student in the educational or on-the-job training
experience will be deemed to be an employee of the Agency or of the
School. Each party agrees that the students will be in a learning situation
and that the primary purpose of the placement is for the students' learning.
It is further understood that the student shall not at any time replace or
substitute for any Agency employee.
6. School agrees to indemnify and hold harmless Agency, together with its
officers, directors, employees and agents, from and against any and all
claims, demands, causes of action, damages and other liabilities asserted
against any of them and arising from or proximately caused by the negligent
acts or omissions of School, its students, faculty, administrators, trustees or
officers. The Indemnities provided herein shall extend to payment of
reasonable attorneys' fees and expenses incurred by the indemnified parties
in defending against claims falling within the scope of the indemnification.
Nothing in this Agreement shall be construed to waive, limit, or otherwise
modify any governmental immunity that may be available by law to Agency,
its officials, employees, contractor's or agents. This paragraph shall survive
termination of this Agreement.
7. Each party agrees to comply, at its own expense, with the provisions of all
state, local and federal laws, regulations, ordinances, requirements and
codes which are applicable to this Agreement.
8. Nothing contained in this Agreement shall be construed to create a joint
venture, partnership, agent or employment relationship as between School,
any student or Agency.
9. Neither party has the authority to act for the other party, or to bind the other
party in any respect whatsoever, or to incur any debts or liabilities in the
name of or on behalf of the other party.
10.The parties agree that in the performance of this Agreement there will he
no discrimination against students, employees, or other persons related to

race, color, sex, religion, creed, age, national origin, sexual orientation, or
disability.
11.The person signing for each party below represents that s/he has the proper
signature authority to bind his/her respective party to the terms of this
Agreement.
12.Any notice required under this Agreement may be given at the addresses set
forth below.
