EAGLE COUNTY, COLORADO
AND
CATAPULT SYSTEMS, LLC
THIS FIRST AMENDMENT ("First Amendment") is effective as of the 10th_day of
September, 2015 by and between Catapult Systems, LLC a Texas limited liability company
(hereinafter"Consultant" or"Contractor") and Eagle County, Colorado, a body corporate and
politic (hereinafter"County").
RECITALS
WHEREAS, County and Consultant entered into an agreement dated the 1st day of May 2015,
for certain Services (the "Original Agreement"); and
WHEREAS,the Original Agreement contemplated that the Consultant would perform certain
Services with compensation in an amount not to exceed $2,000; and
WHEREAS, the County desires to have Consultant perform additional Services for additional
compensation as set forth below; and
WHEREAS, the term of the Original Agreement expires on the 31st day of December, 2015, and
the parties desire to extend the term for an additional year.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit A-1, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services shall be at the rate set forth in Exhibit
A-1, in an amount not exceed $15,000.The total maximum compensation under the
Original Agreement and this First Amendment shall not exceed $17,000.
3. The term of the Original Agreement is hereby extended to the 30th day of June, 2016.
Contractor agrees to furnish all Services on or before June 30, 2016.
4. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.

5. Except as expressly altered,modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof.
6. This First Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to the Original

Cloud Engagement
1. Objective
This arrangement for professional services(Arrangement) represents an agreement between
Catapult Systems, LLC(Catapult) and Eagle County(Client).The purpose of this engagement is to
implement the recommendation of the workshop conducted on 06/10/2015.
2. Scope of Services
Catapult will provide one or more consultants to participate in this engagement on a Time and
Materials basis.The following list of activities represents our initial understanding of the work
intended for this engagement.This scope of services may change based on Client direction or
other factors that emerge during the course of the engagement.
Catapult will provide assistance and guidance in setting up, configuring, and best practice strategy
in setting up the framework required for configuring an Azure environment focused on but not
limited to the following:
Part 1:Azure Framework Configuration (estimate time 5-7 days)
• Introduction and overview of the Azure framework
• Assist with creating a Site to Site VPN/Azure Virtual Networking
• Assist with establishing a Domain Controller in Azure
• Assist with setting up Azure Active Directory Sync(AADSync)
• Assist with configure remote access from off-network to a virtual machine in Azure
• Assist with configuring a Windows workstation virtual machine (MSDN Subscription
Benefits Required)
• Demonstrate Virtual Machine Automation utilizing Management Scripts
• Assist with creating a process to put Backup of VMs in Azure
• Review Logging/Syslogs and discuss how to leverage
• Review the Monitoring-Operations and Security Alerts
• Review Failover Options-Azure Site Recovery and Backup Services
• Assist with creating a diagram of the architecture and description of operations.
• Introduction to Azure management console and knowledge transfer to County's team
Part 2:Alternate File Sharing Methods (estimate time 2 days)
• Review the current use of Shared drives
• Map OneDrive for Business Usage/Controls to be used like shared drives
• Review the use of SharePoint Document Libraries and the features as it applies to sharing
documents.
Part 3:Azure Active Directory Premium (estimate time 1 day)
• Review Azure AD as a platform for creating a SSO method for Cloud apps
• Assist with Setup for a Single SaaS application (the Cloud app Innotas)

• Assist with Multi-factor Authentication for the Admin accounts
• Assist with configuring the SSO Portal (MyApps)
• Assist with Create method that allows for Password Reset via the SSO Portal
3. Schedule
The Catapult consultant(s)will begin work on TBD.
We expect to complete the activities listed above in approximately 2 weeks.These services can be
delivered on site or in person and may be divided into different work streams for scheduling
purposes.
4. Professional Service Fees
Catapult Systems will provide the services defined in this Arrangement on a time and materials
basis at an hourly rate of$160.00
Based on the hourly rate and expected duration above,we recommend a minimum budget of
$15000.00 including quality management to cover professional service fees for this engagement.
Catapult Systems will submit invoices for actual hours worked according to the Professional
Services Agreement in effect between Catapult and Client.
These rates and prices are quoted for net 30 payment terms.
By mutual agreement between Client and Catapult Systems, if this engagement requires travel by
any Catapult employee, we will submit the expenses(and applicable receipts) on an invoice
payable by Client as follows, Expense must be submitted to client prior to engagement for
approval:
• Auto mileage: Current standard IRS reimbursement rates apply
• Airfare: Actual cost
• Hotel: Actual cost
• Car Rental: Actual cost
• Meals:Actual Cost
