BETWEEN EAGLE COUNTY, COLORADO
AND
HILL MARKETING & ADVERTISING, INC. d/b /a HILL AEVIUM
THIS AGREEMENT ( "Agreement ") is effective as of the day of 2015 by and between
Hill Marketing & Advertising, Inc., a Colorado corporation d /b /a Hill Aevium (herei after "Contractor ") and Eagle
County, Colorado, a body corporate and politic (hereinafter "County ").
RECITALS
WHEREAS, Eagle County desires to reconstruct and update the flyvail.com website and retain a contractor for
hosting and on -call services, (the "Project "); and
WHEREAS, Contractor is authorized to do business in the State of Colorado and has the time, skill, expertise, and
experience necessary to provide the Services as defined below in paragraph 1 hereof, and
WHEREAS, this Agreement shall govern the relationship between Contractor and County in connection with the
Services.
AGREEMENT
NOW, THEREFORE, in consideration of the foregoing and the following promises Contractor and County agree as
follows:
1. Services or Work. Contractor agrees to diligently provide all services, labor, personnel and materials
necessary to perform and complete the services or work described in Exhibit A ( "Services" or "Work ") which is
attached hereto and incorporated herein by reference. The Services shall be performed in accordance with the
provisions and conditions of this Agreement.
a. Contractor agrees to furnish the Services in a timely and expeditious manner consistent with the
applicable standard of care. By signing below Contractor represents that it has the expertise and personnel
necessary to properly and timely perform the Services.
b. In the event of any conflict or inconsistency between the terms and conditions set forth in Exhibit
A and the terms and conditions set forth in this Agreement, the terms and conditions set forth in this Agreement
shall prevail.
2. County's Representative. The Aviation Director's designee shall be Contractor's contact with respect to
this Agreement and performance of the Services.
3. Term of the Agreement. This Agreement shall commence upon the date first written above, and subject to
the provisions of paragraph 11 hereof, shall continue in full force and effect for a period of one year.
4. Extension or Modification. This Agreement may be extended for up to three additional one year terms
upon written agreement of the parties. Any amendments or modifications shall be in writing signed by both parties.
No additional services or work performed by Contractor shall be the basis for additional compensation unless and
until Contractor has obtained written authorization and acknowledgement by County for such additional services in
accordance with County's internal policies. Accordingly, no course of conduct or dealings between the parties, nor
verbal change orders, express or implied acceptance of alterations or additions to the Services, and no claim that
County has been unjustly enriched by any additional services, whether or not there is in fact any such unjust
enrichment, shall be the basis of any increase in the compensation payable hereunder. In the event that written
authorization and acknowledgment by County for such additional services is not timely executed and issued in strict
accordance with this Agreement, Contractor's rights with respect to such additional services shall be deemed waived
and such failure shall result in non - payment for such additional services or work performed.
5. Compensation. County shall compensate Contractor for the performance of the Services in a sum
computed and payable as set forth in Exhibit A. The performance of the Services under this Agreement shall not
exceed $30,000. Contractor shall not be entitled to bill at overtime and /or double time rates for work done outside
of normal business hours unless specifically authorized in writing by County.
a. Payment will be made for Services satisfactorily performed within thirty (30) days of receipt of a
proper and accurate invoice from Contractor. All invoices shall include detail regarding the hours spent, tasks
performed, who performed each task and such other detail as County may request.
b. If, at any time during the term or after termination or expiration of this Agreement, County
reasonably determines that any payment made by County to Contractor was improper because the Services for
which payment was made were not performed as set forth in this Agreement, then upon written notice of such
determination and request for reimbursement from County, Contractor shall forthwith return such payment(s) to
County. Upon termination or expiration of this Agreement, unexpended funds advanced by County, if any, shall
forthwith be returned to County.
C. County will not withhold any taxes from monies paid to the Contractor hereunder and Contractor
agrees to be solely responsible for the accurate reporting and payment of any taxes related to payments made
pursuant to the terms of this Agreement.
d. Notwithstanding anything to the contrary contained in this Agreement, County shall have no
obligations under this Agreement after, nor shall any payments be made to Contractor in respect of any period after
December 31 of any year, without an appropriation therefor by County in accordance with a budget adopted by the
Board of County Commissioners in compliance with Article 25, title 30 of the Colorado Revised Statutes, the Local
Government Budget Law (C.R.S. 29 -1 -101 et. seq.) and the TABOR Amendment (Colorado Constitution, Article X,
Sec. 20).
6. Subcontractors. Contractor acknowledges that County has entered into this Agreement in reliance upon the
particular reputation and expertise of Contractor. Contractor shall not enter into any subcontractor agreements for
the performance of any of the Services or additional services without County's prior written consent, which may be
withheld in County's sole discretion. County shall have the right in its reasonable discretion to approve all
personnel assigned to the subject Project during the performance of this Agreement and no personnel to whom
County has an objection, in its reasonable discretion, shall be assigned to the Project. Contractor shall require each
subcontractor, as approved by County and to the extent of the Services to be performed by the subcontractor, to be
bound to Contractor by the terms of this Agreement, and to assume toward Contractor all the obligations and
responsibilities which Contractor, by this Agreement, assumes toward County. County shall have the right (but not
the obligation) to enforce the provisions of this Agreement against any subcontractor hired by Contractor and
Contractor shall cooperate in such process. The Contractor shall be responsible for the acts and omissions of its
agents, employees and subcontractors.
7. Insurance. Contractor agrees to provide and maintain at Contractor's sole cost and expense, the following
insurance coverage with limits of liability not less than those stated below:

a. Types of Insurance.
Workers' Compensation insurance as required by law.
ii. Auto coverage with limits of liability not less than $1,000,000 each accident combined
bodily injury and property damage liability insurance, including coverage for owned, hired, and non -owned
vehicles.
iii. Commercial General Liability coverage to include premises and operations,
personal /advertising injury, products /completed operations, broad form property damage with limits of liability not
less than $1,000,000 per occurrence and $1,000,000 aggregate limits.
Other Requirements.
i. The automobile and commercial general liability coverage shall be endorsed to include
Eagle County, its associated or affiliated entities, its successors and assigns, elected officials, employees, agents and
volunteers as additional insureds. A certificate of insurance consistent with the foregoing requirements is attached
hereto as Exhibit B.
ii. Contractor's certificates of insurance shall include subcontractors, if any as additional
insureds under its policies or Contractor shall furnish to County separate certificates and endorsements for each
subcontractor.
iii. The insurance provisions of this Agreement shall survive expiration or
termination hereof.
iv. The parties hereto understand and agree that the County is relying on, and does
not waive or intend to waive by any provision of this Agreement, the monetary limitations or rights, immunities and
protections provided by the Colorado Governmental Immunity Act, as from time to time amended, or otherwise
available to County, its affiliated entities, successors or assigns, its elected officials, employees, agents and
volunteers.
V. Contractor is not entitled to workers' compensation benefits except as
provided by the Contractor, nor to unemployment insurance benefits unless unemployment compensation coverage
is provided by Contractor or some other entity. The Contractor is obligated to pay all federal and state income tax
on any moneys paid pursuant to this Agreement.
8. Indemnification. The Contractor shall indemnify and hold harmless County, and any of its officers, agents
and employees against any losses, claims, damages or liabilities for which County may become subject to insofar as
any such losses, claims, damages or liabilities arise out of, directly or indirectly, this Agreement, or are based upon
any performance or nonperformance by Contractor or any of its subcontractors hereunder; and Contractor shall
reimburse County for reasonable attorney fees and costs, legal and other expenses incurred by County in connection
with investigating or defending any such loss, claim, damage, liability or action. This indemnification shall not
apply to claims by third parties against the County to the extent that County is liable to such third party for such
claims without regard to the involvement of the Contractor. This paragraph shall survive expiration or termination
hereof.

9. Ownership of Documents. All documents (including electronic files) and materials obtained during,
purchased or prepared in the performance of the Services shall remain the property of the County and are to be
delivered to County before final payment is made to Contractor or upon earlier termination of this Agreement.
10. Notice. Any notice required by this Agreement shall be deemed properly delivered when (i) personally
delivered, or (ii) when mailed in the United States mail, first class postage prepaid, or (iii) when delivered by FedEx
or other comparable courier service, charges prepaid, to the parties at their respective addresses listed below, or (iv)
when sent via facsimile so long as the sending party can provide facsimile machine or other confirmation showing
the date, time and receiving facsimile number for the transmission, or (v) when transmitted via e -mail with
confirmation of receipt. Either party may change its address for purposes of this paragraph by giving five (5) days
prior written notice of such change to the other party.

11. Termination. County may terminate this Agreement, in whole or in part, at any time and for any reason,
with or without cause, and without penalty therefor with seven (7) calendar days' prior written notice to the
Contractor. Upon termination of this Agreement, Contractor shall immediately provide County with all documents
as defined in paragraph 9 hereof, in such format as County shall direct and shall return all County owned materials
and documents. County shall pay Contractor for Services satisfactorily performed to the date of termination.
12. Venue Jurisdiction and Applicable Law. Any and all claims, disputes or controversies related to this
Agreement, or breach thereof, shall be litigated in the District Court for Eagle County, Colorado, which shall be the
sole and exclusive forum for such litigation. This Agreement shall be construed and interpreted under and shall be
governed by the laws of the State of Colorado.

13. Execution by Counterparts, Electronic Signatures. This Agreement may be executed in two or more
counterparts, each of which shall be deemed an original, but all of which shall constitute one and the same
instrument. The parties approve the use of electronic signatures for execution of this Agreement. Only the following
two forms of electronic signatures shall be permitted to bind the parties to this Agreement: (i) Electronic or
facsimile delivery of a fully executed copy of the signature page; (ii) the image of the signature of an authorized
signer inserted onto PDF format documents. All documents must be properly notarized, if applicable. All use of
electronic signatures shall be governed by the Uniform Electronic Transactions Act, C.R.S. 24 -71.3 -101 to 121.
14. Other Contract Requirements and Contractor Representations.
a. Contractor has familiarized itself with the nature and extent of the Services to be provided
hereunder and the Property, and with all local conditions, federal, state and local laws, ordinances, rules and
regulations that in any manner affect cost, progress, or performance of the Services.
b. Contractor will make, or cause to be made, examinations, investigations, and tests as he deems
necessary for the performance of the Services.
C. To the extent possible, Contractor has correlated the results of such observations, examinations,
investigations, tests, reports, and data with the terms and conditions of this Agreement.
d. To the extent possible, Contractor has given County written notice of all conflicts, errors, or
discrepancies.
e. Contractor shall be responsible for the completeness and accuracy of the Services and shall
correct, at its sole expense, all significant errors and omissions in performance of the Services. The fact that the
County has accepted or approved the Services shall not relieve Contractor of any of its responsibilities. Contractor
shall perform the Services in a skillful, professional and competent manner and in accordance with the standard of
care, skill and diligence applicable to contractors performing similar services. Contractor represents and warrants
that it has the expertise and personnel necessary to properly perform the Services and shall comply with the highest
standards of customer service to the public. Contractor shall provide appropriate supervision to its employees to
ensure the Services are performed in accordance with this Agreement. This paragraph shall survive termination of
this Agreement.
f. Contractor agrees to work in an expeditious manner, within the sound exercise of its judgment and
professional standards, in the performance of this Agreement. Time is of the essence with respect to this
Agreement.
g. This Agreement constitutes an agreement for performance of the Services by Contractor as an
independent contractor and not as an employee of County. Nothing contained in this Agreement shall be deemed to
create a relationship of employer - employee, master - servant, partnership, joint venture or any other relationship
between County and Contractor except that of independent contractor. Contractor shall have no authority to bind
County.
h. Contractor represents and warrants that at all times in the performance of the Services, Contractor
shall comply with any and all applicable laws, codes, rules and regulations.
i. This Agreement contains the entire agreement between the parties with respect to the subject
matter hereof and supersedes all other agreements or understanding between the parties with respect thereto.

j. Contractor shall not assign any portion of this Agreement without the prior written consent of the
County. Any attempt to assign this Agreement without such consent shall be void.
k. This Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their
respective permitted assigns and successors in interest. Enforcement of this Agreement and all rights and obligations
hereunder are reserved solely for the parties, and not to any third party.
1. No failure or delay by either party in the exercise of any right hereunder shall constitute a waiver
thereof. No waiver of any breach shall be deemed a waiver of any preceding or succeeding breach.
m. The invalidity, illegality or unenforceability of any provision of this Agreement shall not affect the
validity or enforceability of any other provision hereof.
n. The signatories to this Agreement aver to their knowledge no employee of the County has any
personal or beneficial interest whatsoever in the Services or Property described in this Agreement. The Contractor
has no beneficial interest, direct or indirect, that would conflict in any manner or degree with the performance of the
Services and Contractor shall not employ any person having such known interests.
o. The Contractor, if a natural person eighteen (18) years of age or older, hereby swears and affirms
under penalty of perjury that he or she (i) is a citizen or otherwise lawfully present in the United States pursuant to
federal law, (ii) to the extent applicable shall comply with C.R.S. 24- 76.5 -103 prior to the effective date of this
Agreement.
15. Prohibitions on Government Contracts.
As used in this Section 15, the term undocumented individual will refer to those individuals from foreign countries
not legally within the United States as set forth in C.R.S. 8- 17.5 -101, et. seq. If Contractor has any employees or
subcontractors, Contractor shall comply with C.R.S. 8- 17.5 -101, et. seq., and this Agreement. By execution of this
Agreement, Contractor certifies that it does not knowingly employ or contract with an undocumented individual
who will perform under this Agreement and that Contractor will participate in the E- verify Program or other
Department of Labor and Employment program ( "Department Program ") in order to confirm the eligibility of all
employees who are newly hired for employment to perform Services under this Agreement.
a. Contractor shall not:
Knowingly employ or contract with an undocumented individual to perform Services
under this Agreement; or
ii. Enter into a subcontract that fails to certify to Contractor that the subcontractor shall not
knowingly employ or contract with an undocumented individual to perform work under the public contract for
services.
b. Contractor has confirmed the employment eligibility of all employees who are newly hired for
employment to perform Services under this Agreement through participation in the E- Verify Program or Department
Program, as administered by the United States Department of Homeland Security. Information on applying for the

C. Contractor shall not use either the E- verify program or other Department Program procedures to
undertake pre - employment screening of job applicants while the public contract for services is being performed.
d. If Contractor obtains actual knowledge that a subcontractor performing work under the public
contract for services knowingly employs or contracts with an undocumented individual, Contractor shall be required
to:
i. Notify the subcontractor and County within three (3) days that Contractor has actual
knowledge that the subcontractor is employing or contracting with an undocumented individual; and
ii. Terminate the subcontract with the subcontractor if within three days of receiving the
notice required pursuant to subparagraph (i) of the paragraph (d) the subcontractor does not stop employing or
contracting with the undocumented individual; except that Contractor shall not terminate the contract with the
subcontractor if during such three (3) days the subcontractor provides information to establish that the subcontractor
has not knowingly employed or contracted with an undocumented individual.
e. Contractor shall comply with any reasonable request by the Department of Labor and Employment
made in the course of an investigation that the department is undertaking pursuant to its authority established in
C.R.S. 8 -17.5- 102(5).
f. If Contractor violates these prohibitions, County may terminate the Agreement for breach of
contract. If the Agreement is so terminated specifically for breach of this provision of this Agreement, Contractor
shall be liable for actual and consequential damages to County as required by law.
g. County will notify the Colorado Secretary of State if Contractor violates this provision of this
Agreement and County terminates the Agreement for such breach.

Thank you for including us in the RFP process for the redesign and redevelopment of the FlyVail.com
website. We are confident that the redesign and redevelopment will accomplish your goals of a
one -stop site that will represent the brand of FlyVail and provide a more user - friendly interface that
will get visitors through the site quickly and efficiently. Our content management system
recommendation will provide an easy interface and the ability for multiple users to contribute content
under controlled publishing conditions. We have noticed that the current site is not performing to its
potential in organic search. As a result we would like to provide some recommendations for SEO
that would be determined by the goals and objectives of the FlyVail program.
As a brief overview, Hill Aevium is based in Edwards, Colorado. Our agency was founded in 1978
and has been serving clients throughout the Rocky Mountain region for over 35 years. Our
marketing, branding, advertising and website development expertise is fulfilled by our team of 9 full -
time and 4 part -time in -house staff. We have worked with many towns, counties and destination
management organizations throughout Colorado. In addition to these clients we also focus on
serving clients in the hospitality, healthcare, financial and education industries.
We believe we would be a good fit for the FlyVail project due to the following:

Linda will work closely with the FlyVail.com team overseeing the
account with Account Executive, Jill Coyle, and has assembled a
highly trained team of professionals to lead and direct the FlyVail
website development project.
Linda ensures that creative strategies and marketing plans are
backed by solid market research, often developing and
conducting market research strategies where needed.
Philosophically, Linda is adamant about putting the client's best
interest first. She believes in complete transparency, cultivating
effective partnerships with clients based on achieving clearly
stated objectives.
Linda's branding and strategic planning experience has guided
the mix of Hill Aevium clients including municipalities,
communities and counties in Colorado and a number of destination marketing organizations such
as Visit Estes Park. Other clients include the National Institute of Trial Advocacy, Rifle Garfield
County Airport, Colorado State University College of Business, Colorado Mesa University, Mad
Greens, Grand Junction Visitor & Convention Bureau and Glenwood Hot Springs. Out -of -state

As Senior Web Developer, TJ will oversee the
development of your site directing our development team

system for FlyVail.com.
Making the complex simple and easy to use is the
concise way to explain what TJ brings to every project.
However, in order to demonstrate the depth of TJ's
capabilities, consider his accomplishments for Yale
Medical School and the web -based international
language - learning tool, Yolango.
As a lead developer for Yale University, TJ developed
interactions to help transplant patients manage their
rigorous post- operative medication schedules, thereby
reducing the possibility of missed dosages or other errors
that could affect patient success rates. TJ was also responsible for developing Section
508 accessible content and rich media applications for the Yale Center for Emergency
Preparedness and Disaster Response. This content was delivered through a number of
outlets, including FEMA and other government organizations. He went on to become
Webmaster for Manchester Community College prior to moving to the Vail Valley as a lead
tech developer for Prosper Studios.
TJ has developed over 100 websites during his career and has managed the development

Derek will oversee and direct all branding and creative initiatives for
the FlyVail.com project, inspiring our team of designers, copywriters
and interactive producers to assure the development of strong
brand strategy and maintenance of the brand platform for the
website.
Derek brings over a decade of big agency experience to the
mountains. He believes strongly that great advertising
comes from being completely in tune with the client, the
client's industry, and unique insight into the customers.
Facts lead to form, function and fantastic results.
Derek graduated from the University of Chicago but soon
returned home to Colorado to pursue his passions. While at
McClain Finlon Advertising, Derek helped rebrand Qwest,
including helping them launch retail stores and kiosks in

million- and billion - dollar brands for P &G and Miller Coors. He helped Tide launch its Pod
product, and helped Downy launch several new variants. He taught viewers how to
properly taste Killian's Beer through an interactive web site, and helped increase Coors
Light sales over the previous year by almost 10 %. He also worked on customer teams that
produced work for major retailers like Target, Walmart, Kroger and Safeway.
Each client at Hill Aevium receives his brand development expertise and special touch. He
has established the direction for the Grand Junction Visitor & Convention Bureau, Vail
Summit Orthopaedics, Glenwood Hot Springs, Spa of the Rockies and the Town of
Gypsum.
As Creative Director, he leads our team of art directors, designers, copywriters and
interactive developers to ensure that all creative remains on -brand and on- strategy. He also

project as Account Executive working closely with the creative
and web development teams on each stage of the
development process. She will assure that client needs are
taken care of, deadlines are met and budgets adhered to.
Jill brings six years of professional marketing, project
management and public relations experience to Hill
Aevium. She has the ability to balance vision with a
great attention to detail to help guide each client.
A world traveler, with a black belt in karate and
advanced snowboard instructor certification, Jill has the
competitive gusto, intrinsic smarts and creative intuition
to lead clients to success.
A graduate of the University of Nevada, her professional
background in advertising, media relations, marketing,
social media and pr motions helped the success for past clients like E. &J. Gallo Winery
and the Tomato Process Wellness Council. She brings her inspired leadership talents to

Mark can't remember a time when he wasn't drawing.
His father, an electrical engineer who worked for Xerox,
had an endless supply of paper and no shortage of
ideas that took shape at the dinner table. Sketching
was a family affair.
As a first generation American, Mark wanted a college
education that would make his Polish father and
Belgian mother proud. Accounting was his first choice,
but when his spreadsheets filled up with doodles
instead of numbers, he bee -lined it to the Art
Department and declared a new major.
Graphic design was an instant fit. In hindsight, it wasn't
really a choice but just an extension of how Mark has
always seen the wo d: through line, shape and perspective. No surprise then that his five
year old son Bruno would get his first bike with custom graphics designed by his Dad.
Mark has over 10 years experience designing for a wide range of industries, including
outdoor sports and recreation, breweries, automobiles and luxury resort real estate. Spread
his portfolio out on a table, and you'll see that no two projects look alike. Mark is one of
those rare art directors who can express the true essence of a brand as a one -of -a -kind
relationship between a company and its target market. It was this dedication to the brand
that made Mark a na ural choice to lead Hill Aevium's design team.

A graduate of Loyola University with a degree in Biology and
Visual Communications, Ciara entered the field of web design
and development at the right time. She started out with the
needs of the day, mainly graphics and creating interactivity.
Since then she's done virtually everything that clients of today
need, every day.
At Sportvision in Chicago, Ciara established a new standard for
interactivity through template design and navigation. As the
Creative Manager at Huron Consulting, she had many
accomplishments including the creation and production of an
entire brand launch campaign. As Visual Design Manager at
Active Network in Avon, she led the design and implementation
of all B2B website properties. Ciara is an expert in data - driven
design, digital marketing, and interactive strategy.

We significantly improved the functional aspects of the previous website. Our r redesign and redevelopment streamlined the navigation and enhanced the user experience throughout the site,
while bringing the brand position of the organization to the forefront. Our brand strategy for Bravo!
Vail is to celebrate the three things that define the festival: world -class musical performances, a
spectacular mountain setting, and an enthusiastic audience of like- minded friends. As the only
festival in North America to host three of the world's finest orchestras in a single season, the website
was tasked with calling this fact to attention. Each resident orchestra was given a slot in the
homepage animation, as well as an introductory page in the Tickets & Season Info section. The
website also sports a streamlined, 3 -month festival calendar that can expand into a customized
view.
The Drupal powered website provides a straightforward administration system that allows all
members of the Bravo! Vail staff to create and manage content on the website with ease.
Additionally we created full integration with the Tessitura ticketing platform, an advanced calendar
presentation and social media integration with direct YouTube feeds.

As a 14 -year client, our most recent website scope of work included redesign of the
Glenwood Hot Springs /Spa of the Rockies website using responsive design techniques.
The rebranding of Glenwood Hot Springs and its new spa - Spa of the Rockies - portrays
a hot springs resort experience, complete with a full array of health and wellness offerings.
A powerful launch of the two brands was designed to boost awareness and revenue via
lodge visits, pool attendance, spa appointments and retail outlets.
The website brings the brand alive with streamlined navigation an intuitive architecture and
calls to action, all designed with the potential visitor and returning guest in mind. The
backend Content Management System was built using a Drupal platform. It provides the
client the ability to update 99% of the 300 -page website while maintaining the graphic
integrity. The Resort has 10 content contributors who write and upload content for their
specific area. Each contributor has access to only their area and a centralized publishing
feature allows the Director of Marketing to review content before pushing it live.

follow doctors orders so they can return to their active lifestyles. As a result both
orthopedic clinics in the area are top notch, posing the challenge of how to increase market
share in a highly competitive arena.
As a 5 -year client, our most recent website work included a rebranding Vail Summit
Orthopaedics online and bringing the website up to responsive design standards. The
website reflects the overall branding effort developed for the practice. The Drupal powered
content management system features an easy to use interface, the ability for the client to
change up to 99% of the site's content using a WYSIWYG editor and assigns
administrative duties to staff depending on their user role.

Crazy Mountain Brewery crazymountain brewery. com
Crazy Mountain Brewery approached Hill Aevium to redesign their website in preparation
for the launch of their microbrewery to some of the largest distributors in the United States.
This brewery is a testament to the children's book "The Little Engine That Could." Can't is
not in their repertoire and the site had to represent the uniqueness and professionalism that
they bring to the microbrew business.
Hill Aevium built the website using the Drupal 7 platform, providing administrators with a
straightforward user interface to control all of the content on their website, including: forms
and form settings, menus, blog posts and calendar items, and all images and copy. The
site itself is built with HTML5 and CS3, and incorporates the jQuery javascript library.
We have recently provided recommendations to Crazy Mountain Brewery to redesign the
site using responsive design techniques.

It's one thing for an organization like Mesa Verde Country to respond to customer complaints. It's
quite another to turn the number one complaint into the organization's tagline and allow it to drive
the website design. "One Day Just Isn't Enough" became our tagline recommendation, launching us
to push for high visual impact that would deliver on the experience of Mesa Verde Country.
Without reading a word, the scrolling homepage sends a clear and compelling message that there is
more to explore in Mesa Verde Country. The Top Picks quick link gives 10 completely different ways
to spend a day in the area. The secondary navigation on See & Do uses visual tiles to drive our
point home. Copy is kept to a minimum, unless the user rolls over the image for a quick overview.
But as the third click illustrates, this site is content -rich, fulfilling the client's desire to be the most
informative website on the Internet regarding all things Mesa Verde.

The following budget provides more detail to the Exhibit A Pricing Matrix. It includes the
estimated costs for the envisioning, research and discovery, creative, design, copywriting
and coding of the FlyVail website. Our estimate includes all staff time for the above. Hill
Aevium will monitor the progress of the project with a detailed budget spreadsheet that will
show billings by month once the timing of the project is finalized. We are providing the
following breakdown of costs and are recommending that the content management system
be built in Drupal.

Day -to -day account and project management, project flow, scheduling, timing
and estimating as well as client contact and meetings by the account
executive to assure your project stays on time and on budget.
Training on Drupal CMS $ 800 - $1,000
Training of FlyVail team members on the Drupal CMS. Training can occur onsite or via
conference call with screen sharing.

Proposal. Our estimate does not include photography or illustrative acquisition, which we
assume will be supplied along with all other graphic assets by the client.

Hill Aevium provides hosting on our dedicated and private servers that are housed at our
service provider, RackSpace. RackSpace is a global service provider that provides multiple
carriers into its networks and ample mirroring and redundancy. This protects each site we
host on our servers and allows us to provide 99.9% uptime to each of our clients.
Currently we have clients that range from small sites to those achieving visitation of over
1,000,000 visitor sessions per year.
Tech support at RackSpace is 24/7 and we have only experienced marginal down time for
routine server maintenance, which happens during the lowest volume time periods. Usually
2 -4 a.m.
On Call Support /Monthly Maintenance TBD - $500 /month
Hill Aevium provides a variety of monthly maintenance levels. Our basic level, which covers
tech support, security updates, minor site changes and updates, is $500 per month. This
is based on an estimate of 4 hours per month at an hourly rate of $125. In the event that
we may need more hours one month and less the next we review hours allocated on a
quarterly basis reconciling as necessary. Monthly project updates are provided to the
client.
Search Engine Optimization (SEO)
Hill Aevium can provide ongoing SEO to FlyVail should you need these services. Our SEO
packages begin at $800 per month not including set up fees. We can provide a detailed
proposal upon request.

Development Overview
When redesigning and redeveloping a website, we need to have a clear understanding of
all content areas, translating them into the architecture of the site. We have outlined your
current information architecture. This with some of our additional findings from the
Research Phase, will help us provide a comprehensive information architecture (IA) to you
that will show primary, secondary and tertiary content areas. Once the IA is approved, Hill
Aevium will create B &W wire frames to show content display. These would then be
followed by the creative and graphic design developing the responsive design templates.

to meet client requirements.
Drupal is built on the open source resources of PHP and MySQL, making the platform very
maintainable in today's hosting environments. It also has a thriving community of
enthusiastic and competent developers, providing ever - increasing functionality and further
enhancement to the project's long -term sustainability.
Below is a description of some potential Drupal features you may leverage on your site,
however, this list just scratches the surface of Drupal's capabilities.
- Allow for multiple users setting up identified access points and levels
- Built in backup, versioning and rollback capabilities, site's content can be stored
and recalled

Site Approach
Following are a few of the ideas we would like to see occur with the FlyVail website:
- New creative tying to the brand platform and identity standards of FlyVail.com
- Streamline information architecture to eliminate unnecessary clicks and get your
users quickly to the content they need
- Provide the ability to control content with ease including adding, editing or deleting
photos and copy
- Provide an open- source content management system so that the program is not
tied to any one web development firm
- Responsive design (scalability determined by device accessing the site)
- Improve search engine optimization. Currently the site does not perform well in
organic search. We need to understand if organic search is not necessary as
,'most people" would book direct with airlines or OTA's?
- Attach Google Analytics to the new site for tracking visitation, geographic origin,
pathing, type of devise used for access. Train on setting up goals and conversions
to track digital advertising success
- Train FlyVail staff on analytics use to track public relations, advertising, direct
marketing and communication initiatives
- Assure that the needs, goals and objectives of the program are met and exceeded
