SERVICES AT EAGLE COUNTY, COLORADO
(Effective January 1, 2015)
This is the Second Amendment to the Agreement for Innate Health Care Services at Eagle
County, Colorado effective January 1, 2012 through December 31, 2012 and as amended effective
January 1, 2013 (hereinafter "AGREEMENT ") between Correctional Healthcare Companies, Inc.,
(hereinafter "CHC ") and Eagle County, Colorado (hereinafter the "COUNTY ")
NOW THEREFORE, IN CONSIDERATION of the foregoing facts, the mutual covenants
and agreements contained herein and other good and valuable consideration, the receipt and
sufficiency of which are hereby acknowledged, the Parties agree that effective January 1, 2015:
Paragraph 2.0.2 of the AGREEMENT shall be deleted and amended to state as follows:
2.0.2 A total of 33 hours per week of Licensed Practical Nurse (LPN) or Certified
Medical Assistant (CMT) or Emergency Medical Technician (EMT) services to
be assigned by CHC.
2. Paragraphs 8.0 and 9.0 of the AGREEMENT shall be deleted and amended to state as
follows:
8.0 ANNUAL AMOUNT/MONTHLY PAYMENTS. The base annual amount to be
paid by the COUNTY to CHC under this AGREEMENT is Three Hundred Seven
Thousand Three Hundred Six Dollars and thirty -two cents ($307,306.32) for a
period of twelve (12) months. Each monthly payment shall be at Twenty -Five
Thousand Six Hundred Eight Dollars and eight -six cents ($25,608.86), pro -rated
for any partial months and subject to any reconciliations as set forth below. The
first monthly amount is to be paid to CHC on the 1St day of January, 2015 for
services administered in the month of January, 2015. Each monthly payment
thereafter is to be paid by the COUNTY to CHC before or on the 1 st day of the
month of the month of service.
9.0 TERM. The term of this AGREEMENT shall be one (1) year from January 1, 2015
at 12:01 a.m. through December 31, 2015 at 11:59 p.m. This AGREEMENT shall
automatically renew for additional one year periods on January 1St of each
subsequent year with mutually agreed upon increases, unless this AGREEMENT
is terminated or notice of termination is given, as set forth in this Article.

3. The AGREEMENT shall be amended by inserting a new Paragraph 8.1.3, which shall read
as follows:
8.1.3 ADJUSTMENTS FOR CMT /EMT SERVICES. Any services required under
Section 2.02 that are provided by an EMT or CMT shall be charged at the same rate
as an LPN. Notwithstanding the foregoing, however, CHC shall credit to the
COUNTY each month an amount equal to the rate of the LPN, less Eight Dollars
($8.00), multiplied by the number of hours provided by a CMT or an EMT in lieu
of an LPN pursuant to Section 2.0.2 only.
Except for the provisions amended by this document, all other provisions of the
AGREEMENT shall remain in full force and effect and unchanged.
IN WITNESS WHEREOF, the parties have caused this Amendment to be executed in
their names or their official acts by their respective representatives, each of whom is duly
authorized to execute the same.
