HomeMy WebLinkAboutC15-231 True Local Events, LLC First AmendmentFIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND TRUE LOCAL EVENTS, LLC THIS F' ST AMENDMENT ( "First Amendment ") is effective as of the day of 2015 by and between True Local Events, LLC, a Colorado limited liability company ( "True Local Events ") (hereinafter "Consultant" or "Contractor ") and Eagle County, Colora , a body corporate and politic (hereinafter "County "). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 1 st day of June, 2014, for certain Services (the "Original Agreement "); and WHEREAS, the Parties desire to change the venue of the Services to be provided by Contractor from the Edwards Farmers Market to the Avon Farmers Market; and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $1,000; and WHEREAS, the County desires to have Consultant perform additional Services at the 2015 Avon Farmers Market for additional compensation as set forth below; and WHEREAS, the term of the Original Agreement expires on the 1 st day of June, 2015, and the parties desire to extend the term for an additional six (6) months, through December 31, 2015. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include additional Services as described in Exhibit 1, which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $1,000 or a total maximum compensation under the Original Agreement and this First Amendment of $2,000. Contractor shall be entitled to advance payment in the amount of $1,000 for the Services to provide Contractor with sufficient cash flow to operate the Double Value Coupon program at the 2015 Avon Farmers Market, as described in Exhibit 1. 3. Article III, Section 3 of the Original Agreement shall be deleted and replaced in its entirety with the following provision: �-7�1 Should the funds provided by the County not be fully expended by the end of the 2015 Avon Farmers Market season, Contractor shall maintain the balance of the funds in a segregated bank account for use during the following market season (June - September 2016) pursuant to this Agreement. 4. The term of the Original Agreement is hereby extended to the 3151 day of December, 2015. 5. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 6. Except as expressly altered, modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 7. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. The Parties agree to the following tasks for this Agreement: True Local Events will: • Maintain a bank account dedicated to the County funding of SNAP Benefits /DVCs at the 2015 Avon Farmers Market and provide monthly reports detailing the use of the funds during the prior month. Funds will be used to cover Double Value Coupon amounts and $.15 transaction fee (per SNAP customer). • Educate market vendors about SNAP Benefits /DVCs and the associated token system. • Reimburse vendors every week or month (TBD based on True Local Events and vendor relationship) for amounts purchased with tokens for SNAP Benefits /DVCs. • Track produce purchased with SNAP Benefits /DVCs via a system established by the County and keep information updated weekly. • Will assure that SNAP Benefits and DVCs are only redeemed at fresh food vendors (SNAP Benefits and DVCs cannot be used on hot /prepared foods or non -food items). • Assure staff is trained on SNAP /DVC program and is in attendance each market day to administer the program. • Maintain weekly tracking of SNAP /DVC spent; provide final tally of numbers to ECPHE at the end of the market season. .Eagle County, through the ECPHE, will: • Promote that SNAP Benefits can be used at the Avon Farmers Market via iEstoy Sano! collateral materials, in collaboration with Eagle County Economic Services Case Workers, and through other advertising. • Provide funding for the DVC Program and for any costs associated with the EBT machine via a one -time advance payment at the beginning of the market season. • Provide support to educating market vendors about SNAP Benefits and DVC, and to educate consumers /SNAP Benefit recipients through June 30, 2015. • Will train True Local Events staff on SNAP /DVC program to enable True Local events staff to take full responsibility for administering the program during the market. 3 Eagle County Amend Term Scope Comp Final 5/14
