D&D MANZANARES, INC d/b/a SERVICEMASTER COMMERCIAL CLEANING
SOLUTIONS
IS?EECOND AMENDMENT ("Second Amendment") is effective as of the PI fy day of
AT Of ► , 2015 by and between between D&D Manzanares, Inc. a Colorado corporation d/b/a
ServiceMaster Commercial Cleaning Solutions (hereinafter"Contractor") and Eagle County,
Colorado, a body corporate and politic (hereinafter"County").
RECITALS
WHEREAS, County and Contractor entered into an agreement dated the 27th day of December,
2011, for certain Services (the "Original Agreement"); and
WHEREAS,the Original Agreement contemplated that the Contractor would perform certain
duties with compensation in an amount not to exceed $246,057.00; and
WHEREAS, by a First Amendment dated December 30, 2014, the term of the Original
Agreement was extended to October 31, 2015 and increased the total maximum compensation
for 2015 to $283,540; and
WHEREAS, County and Contractor desire by this Second Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit A2, which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit A2 shall not exceed
$15,000 or a total maximum compensation under the Original Agreement and this
Second Amendment of$298,540.
3. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Second
Amendment conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this Second Amendment shall govern and
control the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof
5. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the
Original Agreement the day and year first above written.

EXHIBIT A-2
The scope and compensation for the cleaning of the Freedom Park men's and women's
restrooms are as follows:
1. During each cleaning the floors of both the men's and women's restrooms at Freedom
Park are to be swept and wet mopped,toilets and urinals are to be wiped and cleaned,
sinks, faucets and mirrors are to be wiped down. During the initial one time cleaning to
ready the restrooms for the season(hereinafter the"Initial Cleaning"),the stall dividers
will be wiped down.Thereafter the stall dividers will be wiped down as necessary. Trash
shall be removed and disposed during each cleaning.
2. The cleaning schedule for April,2015 through October,2015 is attached to and is a part
of this Exhibit A-2. The Initial Cleaning will occur on Friday,April 3,2015 to open the
restrooms for the season and will include the Services set forth in paragraph 1 hereof.
After the Initial Cleaning, Contractor shall clean each restroom daily and as set forth in
the schedule and without advance notice from County. For example,the notation 2x in
the calendar means the restrooms will be cleaned twice that day by Contractor and 3x
means the restrooms will be cleaned three times on that day by Contractor. The time of
services will be determined and agreed upon by the parties in advance of the services
being performed.
3. The Services to be performed by Contractor include the cleaning services as set forth in
paragraph 1 hereof,travel time and cleaning supplies. Consumables are to be provided by
Eagle County Facilities Department.
4. Compensation for the Services is as follows:
a. The Initial Cleaning will be billed at the hourly rate of$ 25 - and shall not
exceed$250.
b. The Services identified on the schedule shall be billed at the rate of$49 per
cleaning service which rate includes the cleaning of both the men's and women's
restrooms.
c. In the event County desires to arrange for additional Services the rate shall be$49
per cleaning service scheduled 72 hours in advance and$99 per cleaning service
scheduled within 72 hours.
d. The Services set forth in this Exhibit A-2 shall not exceed fifteen thousand
dollars ($15,000).
