FOR OPERATION OF PARKING FACILITIES
EAGLE COUNTY REGIONAL AIRPORT
THIS AGREEMENT, made and entered into this fTfr day of MJI I�`1/1 , 2015, by
and between Eagle County, Colorado, a body corporate and politic("County") and
Republic Parking System, Inc., a Tennessee corporation ("Operator").
WITNESSETH:
WHEREAS, County owns the parking facilities at the Eagle County Regional
Airport (the "Airport") as shown on the attached Exhibit A, which has a present public
parking capacity of approximately 863 parking spaces (the "Parking Facilities");
WHEREAS, Operator is in the business of operating commercial parking facilities
for motor vehicles; and
WHEREAS, County desires to hire a commercial operator to manage the Parking
Facilities to Operator subject to the terms and conditions hereinafter set forth; and
NOW, THEREFORE, for and in consideration of the premises and the mutual
covenants and considerations herein contained, County and Operator agree as follows:
Article 1
Definitions
Section 1.1 Definitions
The terms and phrases defined in this Article 1 for all purposes of this AGREEMENT
shall have the following meanings:
A. "Airport" shall mean Eagle County Regional Airport.
B. "Auditor" shall mean the County's designated auditor and/or his or her
authorized representative.
C. "Parking Facilities" shall mean the public parking areas, as generally
depicted in Exhibit A as"Short Term 442 Spaces," "Short Term 112 Spaces," "Long
Term 309 Spaces," and "Permit and Tenant Management 48 Spaces." No other parking
spaces at the Airport shall be managed by or under control of the Operator without a
signed amendment to this Agreement.
D. "Operator's Proposal"shall mean the portions of the Proposal
submitted by Operator consisting of Operator's plan of operation (Scope of Services),
which are attached hereto as Exhibit B and incorporated herein by this reference. In the
event the Operator's Proposal and the terms of this Agreement conflict, the terms of this
Agreement shall govern.

E. ""Eagle County" or"County" shall mean Eagle County, Colorado.
F. "Director" shall mean the Aviation Director, designated as such by Eagle
County. The word also means a designee of that official or acting Aviation Director, if
any, of County whenever the Aviation Director is unable to act in such capacity, or the
successor of the Aviation Director in functions, if any.
G "Past Due Interest Rate" shall mean interest accruing at 18% per
annum (compounded annually)commencing on the fifth calendar date after the date
such amount is due and owing until paid to County.
H. "Accounting Period" The initial Accounting Period shall commence on
June 1, 2015 and end on May 31, 2015. Successive Accounting Periods shall
commence on June 1 and end on May 31 each following year throughout the term of this
Agreement.
ARTICLE 2
SCOPE OF WORK AND OPERATION STANDARDS
Section 2.1 Operator Scope of Work.
A. Operator will improve and use the Parking Facilities consistent with and
subject to all the terms and provisions of this Agreement and Operator's Proposal,
attached hereto as Exhibit B and incorporated herein by this reference (the "Services").
In the event of a conflict between the terms of Exhibit B and the terms of this Agreement,
the terms of this Agreement shall control.
B. Operator will begin installation of the Equipment identified in Section 5
herein upon receipt of a Notice to Proceed with Equipment Installation, which shall be
provided no later than May 15, 2015. Upon completion of Equipment installation as
provided herein, Operator shall manage the Parking Facilities in accordance with the
terms of this Agreement. The parties agree that Operator will begin operation of the
Parking Facilities as a public paid-parking lot on or about June 1, 2015.
C. Beginning on June 1, 2015, Operator shall institute revenue control
procedures for the Parking Facilities in accordance with the terms and conditions of this
Agreement and in the manner described in Exhibit B. Operator shall operate the Parking
Facilities in a first-class manner satisfactory to the Aviation Director or his authorized
representative. Service shall be prompt, clean, courteous and efficient. Operator
understands and agrees that it shall not engage in any other business on the Airport
under this Agreement.
D. Collection of Revenue. Operator shall accept all major credit cards as
payment for parking fees charged in accordance with this Agreement.
E. Signs. Other than as specifically identified in Exhibit B, no signs shall be
installed by Operator on or about the Parking Facilities or Airport property without the
prior written approval of the Director. Any allowed signs, other display of advertising

media and all Operator equipment shall be maintained in good working order and
appearance.
F. Hours of Operation. Operator shall have an employee on site at the
dates and times as mutually agreed necessary by Aviation Director and Operator. Said
hours will be coordinated with and approved by the Aviation Director and will not be
changed without the Aviation Director's written consent.
G. County-Reserved Spaces. Notwithstanding anything to the contrary
contained herein, Operator shall reserve up to 24 parking spaces in the Permit Parking
Lot for use by County, at its sole discretion, to offer to Airport tenant employees at no
charge. County shall provide Operator a quarterly statement identifying the number of
Permit Parking Lot Spaces needed for each pending quarter and Operator may rent the
remaining spaces on a month to month basis or as otherwise directed by the Aviation
Director.
H. RATES
Operator shall charge the public for use of the Parking Facilities in accordance with
the following rate schedule:
SHORT TERM PARKING LOTS
0-2 hours no charge/free
2-24 hours $8.00
Each additional 24 hours (or portion thereof) $8.00
LONG TERM PARKING LOTS
0-24 hours $6.00
Each additional 24 hours(or portion thereof) $6.00
PERMIT PARKING LOT

Operator Personnel. Operator shall, in the operation of the services
under this Agreement, employ or permit the employment of only such personnel as will
assure a high standard of service to the public. All such personnel, while on duty, shall
be clean, neat in appearance, and courteous at all times and shall be appropriately
attired, with uniforms in such instances as are appropriate. No personnel employed by
Operator while on or about the premises shall use improper language, act in a loud,
boisterous or otherwise improper manner, or be permitted to solicit business in an
inappropriate manner. Operator and its agents and employees shall not engage in
open, notorious, and public disputes, disagreements, or conflicts with visitors, customers
or other Operators.
J. Operator Responsible for Personnel. Operator shall maintain a close
check over attendants and employees to ensure the maintenance of a high standard of

service to the public, the performance of such obligation to be determined at the sole
discretion of County. Operator shall take all proper steps to discipline employees who
participate in acts of misconduct while on duty. Aviation Director shall have the right to
demand the immediate removal from the Airport of any employee who is deemed
dishonest, incompetent, or offensive to patrons of the Airport.
K. Regulation of Parking. County and Operator agree that other than
expressly provided herein, there shall be no free and/or unauthorized/illegal parking in
the Parking Facilities. Airport Agrees to reasonably assist and cooperate with Operator
to prevent any such unauthorized or illegal free parking in the Parking Facilities.
L. Movement of Vehicles. Operator shall not move, relocate or otherwise
deliver a vehicle from any parking facility without the issuance of proper documentation
from the County Sheriffs Department or from the Airport Administration Office.
Movement of a vehicle(s) under emergency conditions shall be made only at the
direction of Airport staff or a Deputy Sheriff.
M. Abandoned Vehicles. Operator will comply with any and all governmental
laws, regulations and statutes regarding abandoned vehicles, including reporting of any
vehicle which is on the Premises more than ninety(90) days, to proper authorities in
compliance with such laws, regulations and statutes. Permanently abandoned vehicles,
if any, will be disposed of in accordance with existing laws. Proceeds from the sale of
any abandoned vehicle will be used to offset parking charges owed and will become part
of gross receipts to the extent of the amount of the parking fees offset and received by
Operator. No abandoned vehicle will be disposed of without the prior approval of the
Aviation Director.
N. Vending Machines. No amusement or vending machines or other
machines operated by coins, tokens or credit cards shall be installed or maintained in or
upon the Parking Facilities except with the written permission of the Director or his
authorized representative. This prohibition includes, but not by way of limitation, sales
from vending machines of such items as cigarettes, candy, maps, coffee, soft drinks,
newspapers, stamps and insurance policies; telephones; dispensation of cash, money
orders and checks; and operation of mechanical or electronic game devices, electronic
video games, and entertainment devices. All Equipment listed in Section 5 related to
parking operations are hereby authorized for installation and maintenance at the Parking
Faculties.
Section 2.2 Repair and Maintenance
A. Operator shall, at its expense, keep all parking revenue control
equipment, gates, parking lot signs and improvements on the Parking Facilities in good
repair and operating condition. Damaged or inoperative equipment shall be repaired or
replaced as soon as possible, but no longer than ten (10) working days, at Operator's
sole cost and expense. Operator shall also keep the Parking Facilities and area
immediately surrounding such Parking Facilities clean and free from all trash and debris.

B. County shall, at its expense be responsible for repair, maintenance and
replacement of any equipment and improvements installed under the provisions of
Section 6 (utilities) herein. County will also be responsible for pavement maintenance
including seal coating, crack sealing and paint striping, and shall be responsible for snow
removal within the priority system established by the Airport. If the County and the
Operator mutually agree and Operator is required to contract snow removal services out
to an outside vendor the cost shall be deducted from the Gross Revenue due the County
after calculation of the Management Percentage Fee by Operator under this Agreement
and County shall pay the amount, if any, remaining to be paid after said deduction from
the Gross Revenue due to the County.
Section 2.3 Compliance with all laws and Regulations. Operator agrees not to use
or permit the Parking Facilities to be used for any purpose prohibited by the laws of the
United States or the State of Colorado or the resolutions or ordinances of Eagle County
or Airport rules and regulations, minimum standards, and development standards as
amended from time to time, and not otherwise authorized hereunder, and it further
agrees that it will use the Parking Facilities in accordance with all applicable federal,
state and local laws, ordinances, resolutions and all rules and regulations adopted by the
County for the management, operation and control of the Airport, either promulgated by
Eagle County on its own initiative, the Eagle County Air Terminal Corporation or in
compliance with regulations or actions of the Federal Aviation Administration or other
authorized federal agency including the Transportation Security Administration.
Operator further agrees to submit any report or reports or information which the County
is required by law or regulation to obtain from Operator or which Director may request
relating to Operator's operations.
Section 2.4 Compliance with Environmental Requirements. Operator, in
conducting any activity on the Parking Facilities, shall comply with all applicable local,
state or federal environmental rules, regulations, statutes, laws or orders(collectively
"Environmental Regulations"), including but not limited to Environmental Requirements
regarding the storage, use and disposal of Hazardous Materials or Special Wastes to the
Environment. Operator shall acquire all necessary federal, state, and local
environmental permits and comply with all applicable federal and state environmental
permit requirements.
Section 2.5 Accessibility. Operator shall not do or permit to be done anything which
might interfere with the effectiveness or accessibility of utilities serving the Parking
Facilities, nor do or permit to be done anything which may interfere with free access and
passage in roadways serving the Airport, or hinder police, firefighting or other
emergency personnel in the discharge of their duties.
Section 2.6 No Auction. Operator agrees not to allow or permit any sale by auction
or hawking on the Parking Facilities.
Section 2.7 Rights Not Exclusive. County reserves the right, in its sole discretion, to
use other parking areas at the Airport as it deems fit. Notwithstanding the foregoing,
during the Initial Term and any Renewal Term under this Agreement(as defined herein),
Operator will be the exclusive operator authorized to charge the public for parking at

county-operated airport facilities.
Section 2.8 Right of Entry. County retains the full right of entry in and to the Parking
Facilities for any purpose, incidental to or in connection with its obligations hereunder, or
in the exercise of its functions, or for the purpose of making any inspection it deems
necessary.
ARTICLE 3
TERM
Section 3.1 Term.
A. This Agreement shall become effective at 12:01 a.m. local time upon full
execution of this Agreement by the Parties(hereinafter called the "Effective Date") and
shall remain in effect for a period of five (5)years from the date operations are planned
to begin on June 1, 2015, expiring at 11:59 p.m. on May 31, 2020, unless otherwise
terminated in accordance with the provisions of Article 8 hereof(the "Initial Term").
B. The Term of this Agreement may be renewed for up two (2)additional
three (3)-year periods following the end of the Initial Term, upon written approval of
County, in its sole and exclusive discretion (each referred to herein as a"Renewal
Term"). The Initial Term and any Renewal Terms may collectively be referred to herein
as the Term. In order to renew this Agreement, Operator must send written notice of
intent to renew to the Eagle County Aviation Director no later than one hundred eighty
(180) days prior to the end of the Initial Term, or any subsequent renewal term. County
shall inform Operator in writing of its determination to renew or not renew the Agreement
no more than sixty(60)days after receipt of such intent to renew notice.
Section 3.2 Surrender of Parking Facilities. Upon the expiration or earlier
termination of this Agreement or on the date specified in any termination for Default by
Operator, Operator covenants and agrees to surrender possession of the Parking
Facilities to County in the same condition as when first occupied, ordinary wear and tear
expected.
Section 3.3 Holding Over. If Operator continues to operate the Parking Facilities
after the expiration of this Agreement without any written renewal thereof complying with
the requirements of this Agreement, the Agreement shall be deemed to be renewed on a
month to month basis, which renewal may be terminated at any time by Operator or
County upon thirty(30)days written notice to the other party. Such renewal shall
otherwise be upon the same terms and conditions as set forth in this Agreement and at
the same management percentage fees as set forth for year three of this Agreement.
Section 3.4 Termination. County may terminate this Agreement, in whole or in part,
at any time and for any reason, with or without cause, and without penalty therefor with
thirty (30) calendar days' prior written notice to the Operator. Upon termination of this
Agreement, Contractor shall immediately provide County with all documents as defined
in Article 4 hereof, in such format as County shall direct and shall return all County
owned materials and documents. If for any reason (except for the default by Operator or

Operator's abandonment of the Parking Facilities) such termination is effected before the
end of the Initial Term, County shall reimburse Operator for the unamortized value of the
capital expenditures made by Operator hereunder. Such reimbursement, by the County,
shall be made within thirty (30) days after receipt by County of a statement from
Operator indicating the determination of such amount due and owing Operator, which
amount shall be determined, based upon 8% cost of capital and a 60 month amortization
or depreciation term and the number of months Operator has operated under the terms
of this Agreement. The amortization schedule for the equipment is illustrated in the
attached Exhibit C. The Parties agree that the initial capital investment for the
Equipment (with an 8% cost of capital) was Ninety-nine thousand two hundred seventy
three and 31/100 dollars ($99,273.31). The parties agree that the County's payment
requirement calculation under this Section 3.4 would be the "principal balance" amount
shown on Exhibit C for the corresponding month of termination identified therein.
ARTICLE 4
Compensation and Accounting Records
Section 4.1 Management Percentage Fees.
For the Services provided hereunder, County shall pay to Operator, beginning on the
Effective Date for the Initial Term and during each designated renewal term thereafter,
the Management Percentage Fees, as follows:
A. Management Percentage Fees shall be computed as a percentage of
annual gross receipts:
70% of the gross revenue in excess of$0.00 up to $160,000, plus;
35% of the gross revenue in excess of$160,000 up to$400,000,
plus;
15% of the gross revenue in excess of$400,000.
As used herein, the term "Gross Revenue" shall mean, as determined in the reasonable
discretion of the County, all amounts charged by Operator for or in connection with its
operations and business at the Airport, regardless of whether such amounts are actually
paid to or received by Operator, from the use of space for the parking of vehicles
whether on an hourly, daily, weekly or monthly basis, including without limitation, funds
collected by way of parking meters, parking attendants or paid directly to Operator for
the Accounting Period.
B. The term "Gross Revenue" shall include anything and everything that is
not specifically excluded. The only exclusion from Gross Revenue permitted under this
Agreement shall be the specific exclusion set forth below:
1. Federal, state, county, city or municipal sales, use or excise taxes, now or
hereafter levied or imposed and collected from customers of Operator without markup;
and

2. Refunds, discounts, and allowances made by Operator(all of which must be
approved by the County, in its discretion, in order to be deducted as set forth herein),
which amounts shall be deducted prior to calculating the Management percentage fees
above; and
3. Any credit card discount or fess associated with acceptance of credit
cards, which amounts shall be deducted prior to calculating the percentage concession
fees above.
Section 4.2 Payment and Quarterly Statement of Gross Revenue.
Beginning on September 30, 2015, and continuing throughout the Term hereof, each
December 31, March 31, June 30 and September 31, Operator shall, without demand,
provide County with a statement of Gross Revenue and remit the full amount of Gross
Revenue due to County less the applicable Management Percentage Fee and any other
allowable deduction for the previous quarter. In accordance with the Accounting Period
for each term, the quarters shall be defined as follows: Quarter 1: May, June and July;
Quarter 2: August, September and October; Quarter 3: November, December and
January; Quarter 4: February, March and April.
Section 4.3 Title To County's Revenue. Immediately upon Operator's receipt of
monies from the sales of services which it is authorized to sell under the terms of this
Agreement, the percentages of said monies belonging to County shall immediately vest
in and become the property of the County. Operator shall be responsible as trustee for
said monies until the same are delivered to County.
Section 4.4 Interest on Past Due Amounts. Any payments not made to County
when due shall accrue interest at the Past Due Interest Rate, as herein defined.
Section 4.5 Place and Manner of Payments. All sums payable to County hereunder
shall be made without notice at the following:

or at such other place as the Director or his authorized representative may hereafter
designate by notice in writing to Operator. All sums shall be made in legal tender of the
United States. Any check given to the County shall be received by it subject to
collection, and Operator agrees to pay any charges, fees or costs incurred by the County
for such collection, including reasonable attorney's fees.
Section 4.6 Books of Account and Auditing.
A. Operator shall keep true and complete records and accounts of all Gross
Revenues and business transacted. Not later than July 15 for each and every year

during the Term hereof, Operator shall furnish to County a true and accurate statement
of the total of all revenues and business transacted during the preceding Contract Year
(showing the authorized deductions or exclusions in computing the amount of such
Gross Revenues and business transactions). Such statement shall be prepared and
certified to be true and correct by an independent certified public accountant. If the
Operator's audited financial statements do not provide results of specific financial
operating results (revenues) of their operations ONLY at the Airport, then a Review or
Compilation Report regarding ONLY the Airport operations shall be provided as
prepared and certified by an independent CPA. Such statement shall be furnished for
every Accounting Period in which business was transacted under this Agreement during
the whole or part of any year.
B. Operator agrees to maintain records and controls pertaining to the
transactions performed in the Parking Facilities and shall be available for inspection and
examination at all times by County or its duly authorized representative upon forty-eight
(48) hours advance written notice from County. If the records are not available at the
Public Parking Area, Operator agrees to pay all reasonable expenses of auditors who
travel to conduct such audit.
C. Operator agrees to establish and maintain a system of bookkeeping
satisfactory to County's auditor. Such system shall be kept in a manner as to allow each
location of the Operator's operations hereunder to be distinguished from all other
locations or operations of Operator. The Director's authorized representative shall have
access during normal business hours to such books and records upon forty-eight(48)
hours advance written notice from County. Operator shall keep and preserve for at least
three years, or until sooner audited by County, all evidence of Gross Revenues and
business transacted for such period. The County's auditor and Director and their
respective authorized representatives shall have the right at any time, upon forty-eight
(48) hours advance written notice from County to audit all of the books of account, bank
statements, documents, records, returns, papers and files of Operator relating to the
Gross Revenues and business transacted.
D. Operator, upon forty-eight(48) hours written notice, shall make all such
documents available for examination at the Concession Space. If County determines
after an audit for any year that the Gross Revenues and business transacted shown by
Operator's statement for such year was understated by more than 3%, Operator shall
pay to County the cost of such audit and the amount of any deficiency, plus interest on
such amount at 18% per annum from the date due. The County's right to perform such
an audit shall expire three years after Operator's statement for that year has been
delivered to County.
E. Operator expressly agrees that County's Director and auditor and their
authorized representatives may inspect any sales tax return or report and accompanying
schedules and data which Operator may file pursuant to any retail sales tax regulations
and waives any claim of confidentiality which it may have in connection therewith.
Section 4.7 Management Percentage Fee Relief.

A. In the event that the number of enplanements and associated Gross
Revenues at the Airport in any quarter during the Term shall be reduced by fifteen (15%)
percent or more as compared with the number of enplanements and associated Gross
Revenues at the Airport during the same quarter in the prior year, then the actual
Management Percentage Fee due to Operator for such quarter shall be increased by the
same percentage that the number of enplanements and associated Gross Revenues was
reduced.
B. County shall provide to Operator, for comparison purposes, any and all
information that it has regarding the number of enplanements at the Airport during any
given month(s), including the twelve monthly periods prior to the start of the Term.
Operator, when rendering the annual report to County required herein, shall designate any
quarters in which the provisions of this section apply and shall increase the Management
Percentage Fee Payments accordingly.
ARTICLE 5
EQUIPMENT
Section 5.1 Equipment and Improvements
A. Operator shall furnish and install at the Parking Facilities, at Operator's
sole cost and expense, certain equipment and improvements necessary for the proper
operation of the Parking Facilities. Such equipment and improvements shall include the
following, which shall be referred to herein as the "Equipment":

B. Personal property of Operator not identified here may be removed from
the Premises by Operator at the termination or expiration of this Agreement and title to
the Equipment shall vest in County upon termination or expiration of this Agreement.
During the term of this Agreement (including any renewal terms), Operator shall repair,
maintain, improve, and replace the Equipment and all other equipment and
improvements installed or furnished by Operator.
C. Operator shall begin installation of the Equipment identified herein no
sooner than May 1, 2015 but no later than May 15, 2015. Operator shall complete said
installation no later than June 1, 2015.
D. County has the right to request that during this contract the Operator
make additional financial investment in the improvement and repair of the Parking
Facilities. Some items that this investment may be used for are the installation of
additional revenue control equipment, repairs to the pavement and lighting, or any other
mutually agreeable projects. The terms of this additional investment will be negotiated
and mutually agreed upon by both the County and Operator.

ARTICLE 6
UTILITIES AND SERVICES
Section 6.1 Utilities. At County's expense, County shall provide and maintain all
necessary utilities associated with the operation of the Parking Facilities, including water,
sewer, general lighting, electrical power. If Operator requires additional water, lighting,
electrical power, internet access or telephone outlets, such additional improvements or
services shall be subject to the prior written approval of County, and any such
improvements shall be made at Operator's expense.
Section 6.2 Interruption of Services. Operator agrees that County shall not be
liable for failure to supply any utility services. County reserves the right to temporarily
discontinue utility services at such time as may be necessary by reason of accident,
unavailability of employees, repairs, alterations or improvements or whenever by reason
of strikes, lockouts, riots, acts of God or any other happenings beyond the control of the
County, County is unable to furnish such utility services. County shall not be liable for
damages to persons or property for any such discontinuance, nor shall such
discontinuance in any way be construed as cause for abatement of compensation or
operate to release the Operator from any of its obligations hereunder, except as
otherwise provided in the section entitled "Damage, Destruction or Loss."
ARTICLE 7
Indemnity, Insurance and Bonds
Section 7.1 Indemnity. Operator hereby agrees to release and indemnify and save
harmless the Eagle County Air Terminal Corporation (ECAT), the County, its respective
officers, agents and employees from and against any and all loss of or damage to
property, or injuries to or death of any person or persons, including property and
employees or agents of the County, and shall defend, indemnify and save harmless
ECAT and County, its officers, agents and employees from any and all claims, damages,
suits, costs, expense, liability, actions, penalties or proceedings of any kind or nature
whatsoever, including worker's compensation claims, of or by anyone whomsoever, in
any way resulting from, or arising out of, directly or indirectly, its operations in connection
herewith, its construction of the Parking Facilities Improvements, or its use or occupancy
of any portion of the Airport and including acts and omissions of officers, employees,
representatives, suppliers, invitees, contractors, subcontractors, and agents of the
Operator; provided, that the Operator need not release, indemnify or save harmless
ECAT or County, its officers, agents and employees from damages resulting from the
sole negligence of ECAT or County's officers, agents and employees. The minimum
insurance requirements prescribed herein shall not be deemed to limit or define the
obligations of Operator hereunder.
Section 7.2 Insurance.
A. Operator agrees to secure at its own expense, and to keep in force at all
times during the Term hereof, Comprehensive Commercial General Liability Insurance in
the minimum amount of Two Million Dollars ($2,000,000.00) bodily injury and property

damage combined single limit each occurrence. The required insurance coverage also
shall include Personal Injury, Blanket Contractual Coverage for this Agreement, and
Independent Contractors Coverage. Operator shall also maintain in force, during the
term of this Agreement, Automobile Liability Insurance, Comprehensive Form, which
shall insure all Operator's owned or hired vehicles and/or other vehicles used by
Operator at AIRPORT pursuant to this Agreement, in the minimum amount of One
Million Five Hundred Thousand Dollars ($1,500,000.00) Bodily Injury and Property
Damage Combined Single Limit per occurrence. Operator shall also maintain in force
during the term of this Agreement Workers Compensation and Employers Liability
Insurance in accordance with the provisions of Colorado law. The limit of such
insurance coverage shall be for statutory Worker's Compensation benefits, and shall not
be less than One Hundred Thousand Dollars($100,000.00)for employer's liability
insurance.
B. The automobile and commercial general liability coverage shall be
endorsed to include Eagle County, its associated or affiliated entities, its successors and
assigns, elected officials, employees, agents and volunteers as additional insureds. A
certificate of insurance consistent with the foregoing requirements is attached hereto as
Exhibit D.
C. Operator's certificates of insurance shall include subcontractors, if any as
additional insureds under its policies or Contractor shall furnish to County separate
certificates and endorsements for each subcontractor.
D. The insurance provisions of this Agreement shall survive expiration or
termination hereof.
E. Such insurance coverage will not be canceled or reduced without at least
thirty(30)days prior written notice to County. At least ten (10) days prior to the
expiration of said insurance policy or policies, a certificate showing that such insurance
coverage has been renewed or extended shall be filed with County. If such coverage is
canceled or reduced, Operator shall within seven (7) days of notice of cancellation or
reduction, but in any event more than fifteen (15)days before the effective date of said
cancellation or reduction, file with County a certificate showing that the required
insurance has been reinstated in full, or provided through another insurance company or
companies.
F. In the event that Operator shall at any time fail to provide maintain the
insurance required under this section, County may immediately terminate this
Agreement.
G. The insurance carried by the Operator, as required by this Agreement,
shall be primary over any insurance carried by the County its affiliates. A copy of the
insurance representative's license, or other legal proof of his/her authorization to sign the
Certificate of Insurance for and on behalf of the insurance company/companies shown
thereon, must be attached to the Certificate of Insurance. Facsimile stamped signature
on the Certificate will not be accepted. The Certificate must be signed by the insurance
company's authorized representative.

H. The parties understand and agree that should the amount of insurance
required herein become inadequate during the term of this Agreement, Operator agrees
that it will increase the amount of insurance to meet new minimum limits reasonable
established by County.
Section 7.3 Performance Bond.
A. Within thirty(30) days of execution of this Agreement, Operator shall
deliver to the Aviation Director, and maintain in effect at all times throughout the Term, a
valid corporate performance bond, letter of credit or such other acceptable surety as first
approved in writing by County, in an amount of one hundred seventy five thousand
dollars($175,000). Such bond, letter of credit or other acceptable surety, shall be
payable without condition to the County and guarantee to the County full and faithful
performance of all of the terms and provisions of this Agreement by Operator, as said
Agreement may be amended, supplemented or extended.
B. All bonds shall be in forms satisfactory to County, and be executed by
such sureties as are satisfactory to County and (a)are licensed to conduct business in
the State of Colorado, and (b) are named in the current list of"Companies Holding
Certificates of Authority as Acceptable Sureties on Federal Bonds and as Acceptable
Reinsuring Companies" as published in Circular 570 (amended) by the Audit Staff
Bureau of Accounts, U.S. Treasury Department. All bonds signed by an agent must be
accompanied by a certified copy of the authority to act.
C. If the surety on any bond furnished by Operator is declared bankrupt, or
becomes insolvent, or its right to do business in Colorado is terminated, or it ceases to
meet the requirements of clauses (a) and (b)of the preceding paragraph, Operator shall
within five days thereafter substitute another bond and surety, both of which shall be
acceptable to County.
Section 7.4 No Personal Liability. No director, officer or employee of either party
hereto shall be held personally liable under this Agreement or because of its execution
or attempted execution.
Section 7.5 Taxes, Licenses, Liens and Fees. Operator agrees to
promptly pay all taxes, excises, license fees and permit fees of whatever nature
applicable to its operations hereunder and to take out and keep current all municipal,
state or federal licenses required for the conduct of its business at and upon the Parking
Facilities and further agrees not to permit any of said taxes, excises, license fees or
permit fees to become delinquent. Operator also agrees not to permit any mechanic's or
materialman's or any other lien to become attached or be foreclosed upon the Parking
Facilities or improvements thereto, or any part or parcel thereof, by reason of any work
or labor performed or materials furnished by any mechanic or materialman. Operator
agrees to furnish to the Director, upon request, duplicate receipts or other satisfactory
evidence showing the prompt payment by it of Social Security, unemployment insurance
and worker's compensation insurance, and all required licenses and all taxes. Operator
further agrees to promptly pay when due all bills, debts and obligations incurred by it in

connection with its operations hereunder and not to permit the same to become
delinquent and to suffer no lien, mortgage,judgment or execution to be filed against the
Parking Facilities or improvements thereon which will in any way impair the rights of the
County under this Agreement.
ARTICLE 8
DEFAULT AND REMEDIES
Section 8.1 Default. Operator shall be in default under this Agreement if Operator:
A. Fails to timely pay when due to County the Gross Revenue or any other
payment required hereunder; or
B. Is in default under any other Agreement with County or Eagle County; or
C. Becomes insolvent, or takes the benefit of any present or future
insolvency or bankruptcy statute, or makes a general assignment for the benefit of
creditors, or consents to the appointment of a receiver, trustee or liquidator of any or
substantially all of its property; or
D. Transfers its interest under this Agreement, without the prior written
approval of County, by reason of death, operation of law, assignment, sublease or
otherwise, to any other person, entity or corporation; or
E. Fails to timely submit plans and specifications, bonds and other
preconstruction submittals, fails to promptly begin and complete construction of
concession improvements, or fails to occupy and use the Parking Facilities after
construction is completed; or
F. Abandons, deserts or vacates the Concession Space; or
G. Suffers any lien or attachment to be filed against the Parking Facilities ,
the Airport or County's property because of any act or omission of Operator, and such
lien or attachment is not discharged or contested by Operator in good faith by proper
legal proceedings within 20 days after receipt of notice thereof by Operator; or
H. Fails to keep, perform and observe any other promise, covenant or
agreement set forth in this Agreement and such failure continues for a period of more
than 30 days after delivery by Director of a written notice of such breach or default,
except where a shorter period is specified herein, or where fulfillment of its obligation
requires activity over a period of time and Operator within 10 days of notice commences
in good faith to perform whatever may be required to correct its failure to perform and
continues such performance without interruption except for causes beyond its control; or
Gives its permission to any person to use for any illegal purpose any
portion of the Parking Facilities made available to Operator for its use under this
Agreement.

J. No longer holds required Permits, authorities, or licensures to execute the
terms of this Agreement, or fails to meet other requirements as outlined in this
Agreement.
Section 8.2 Remedies. If Operator defaults in any of the covenants, terms and
conditions herein, the County may exercise any one or more of the following remedies:
A. County may elect to allow this Agreement to continue in full force and
effect and to enforce all of County's rights and remedies hereunder, including without
limitation the right to collect compensation as it becomes due together with Past Due
Interest; or
B. County may cancel and terminate this Agreement, with or without process
of law, and without liability for so doing, upon giving 30 days written notice to Operator of
its intention to terminate, at the end of which time all the rights hereunder of the Operator
shall terminate, unless the default, which shall have been stated in such notice, shall
have been cured within such 30 days. Notwithstanding the foregoing, during the Term
herein, Operator shall be allowed only two notices of default hereunder which it may
cure within the time specified in this section. The third notice shall be final and without
opportunity for cure, unless otherwise agreed by County, and County, in its sole
discretion, may elect therein (1)to cancel and terminate all of the rights hereunder of the
Operator, and County may, upon the date specified in such third notice, reenter the
Public Parking Area and remove therefrom all property of the Operator and store the
same at the expense of the Operator, or(2)to proceed under subparagraph C. below.
If County elects to terminate, Operator shall be liable to County for all amounts owing at
the time of termination, including but not limited to Gross Revenue due plus interest
thereon at the Past Due Interest Rate together with any other amount to fully
compensate County for all loss of Gross Revenue, damages, and costs, including
attorney's fees, caused by Operator's failure to perform its obligations hereunder, or
which in the ordinary course would likely result therefrom.
C. County may elect to reenter and take possession of the Parking Facilities
and expel Operator or any person claiming under Operator, and remove all effects as
may be necessary, without prejudice to any remedies for damages or breach. Such
reentry shall not be construed as termination of this Agreement unless a written notice
specifically so states; however, County reserves the right to terminate the Agreement at
any time after reentry. .
Notwithstanding re-entry by County, Operator shall continue to be liable for all amounts
due as Gross Revenue under this Agreement, on the dates specified and in such
amounts as would be payable if default had not occurred.
Section 8.3 Remedies Cumulative. The remedies provided in this Agreement shall
be cumulative and shall in no way affect any other remedy available to County under law
or equity.
Section 8.4 Waivers. No failure of County to insist upon the strict performance of a

term, covenant or agreement contained in this Agreement, no failure by County to
exercise any right or remedy under this Agreement, and no acceptance of full or partial
payment during the continuance of any default by Operator shall constitute a waiver of
any such term, covenant or agreement or a waiver of any such right or remedy or a
waiver of any default by Operator.
Article 9
DAMAGE, DESTRUCTION OR LOSS
Section 9.1 Damage to or Destruction of Concession Space. If the Parking
Facilities, or any portion thereof, is destroyed or damaged to an extent which renders it
unusable, County may rebuild or repair any portions of the building structure destroyed
or damaged, and, if the cause was beyond the control of Operator, the obligation of
Operator to pay the Gross Revenue hereunder shall abate as to such damaged or
destroyed portions during the time they are unusable. If County elects not to proceed
with the rebuilding or repair, it shall give notice of its intent within 90 days after the
destruction or damage. Operator may then, at its option, cancel and terminate this
Agreement.
Section 9.2 Loss or Damage to Property. County shall not be liable for any loss of
property by theft or burglary from the Airport or for any damage to person or property on
the Airport resulting from lightning, or water, rain or snow, which may come into or issue
or flow from any part of the Airport, or from the pipes, plumbing, wiring, gas or sprinklers
thereof or that may be caused by the County's employees or any other cause, and
Operator agrees to make no claim for any such loss or damage at any time, except for
any abatement of Gross revenue or right to insurance proceeds provided for in this
Section.
Section 9.3 Mutual Waiver/Insurance Coverage. County and Operator each waive
any and every claim for recovery from the other for any and all loss of or damage to the
Parking Facilities or to the contents thereof, which loss or damage is covered by valid
and collectible fire and extended insurance policies, to the extent that such loss or
damage is recoverable under such insurance policies. Since this mutual waiver will
preclude the assignment of any such claim by subrogation or otherwise to an insurance
company or any other person, Operator agrees to give to each insurance company
which has issued, or may issue, to the Operator policies of fire and extended coverage
insurance, written notice of the terms of this mutual waiver, and to have such insurance
policies properly endorsed, if necessary, to prevent the invalidation of the insurance
coverage by reason of this waiver.
Article 10
MISCELLANEOUS PROVISIONS
Section 10.1 Agreement Binding Upon Successors. This Agreement, subject to the
provisions of the section entitled "Assignment," shall be binding upon and extend to the
heirs, personal representatives, successors and assigns of the respective parties hereto.
Section 10.2 Agreement Made in Colorado. This Agreement shall be deemed to

have been made in and shall be construed in accordance with the laws of the State of
Colorado.
Section 10.3 Agreement Subordinate to Agreements with "United States." This
Agreement is subject and subordinate to the terms, reservations, restrictions and
conditions of any existing or future agreements between County and the United States,
the execution of which has been or may be required as a condition precedent to the
transfer of federal rights or property to Eagle County for Airport purposes or the
expenditure of federal funds for the development of the Airport or airport system.
Section 10.4 Assignment. Operator shall not assign this Agreement or in any way
transfer or hypothecate any of its interest in this Agreement without first obtaining the
written consent of the County, which consent will not be unreasonably withheld, provided
that Operator acknowledges that County need not consent to any such assignment or
subletting at any time, and to the extent, that County has space available to lease to
ground transportation companies. As used herein, "assignment" means and includes,
but is not limited to, (i)the grant or transfer of any right, title, possession, lien,
encumbrance, security interest or other interest in, on or to five percent(5%)or more of
the stock or other ownership interest of Operator, (ii)grants or transfers to a single
person or entity, including to any other person(s)and entity(ies) directly or indirectly
controlled by it or which directly or indirectly control it, of any right, title, possession, lien,
encumbrance security interest or other interest in, on or to the stock or other ownership
interest which aggregate five percent(5%)or more of the stock or other ownership
interest of Operator, (iii) if Operator is a limited liability company, a change in the chief
operating officer, Director or other person responsible for the day-to-day performance by
Operator of the Agreement, (iv)the grant or transfer of any right, title, lien, encumbrance,
security interest or other interest in, on or to some or all of the income or profits
(however they may be measured or defined, e.g., gross income, gross profit, operating
profit, net profit)of Operator, and (v)the grant or transfer of any right, title, lien,
encumbrance, security interest or other interest in, on or to some or all of the cash flow
(however it may be measured or defined) of Operator. If Operator shall assign or attempt
to assign its interest in the whole or any part of this Agreement in violation of this
section, such assignment shall be void and this Agreement shall thereupon automatically
terminate. County's consent to one assignment shall not be deemed to be a consent to
any subsequent assignment.
Section 10.6 Force Majeure. Neither party hereto shall be liable to the other for any
failure, delay or interruption in the performance of any of the terms, covenants or
conditions of this Agreement due to causes beyond the control of that party, including
without limitation strikes, boycotts, labor disputes, embargoes, shortages of materials,
acts of God, acts of the public enemy, acts of superior governmental authority, weather
conditions, floods, riots, rebellion, sabotage or any other circumstance for which such
party is not responsible or which is not in its power to control.
Section 10.7 Inconvenience During Construction. Operator recognizes that from
time to time during the Term of this Agreement, it may be necessary for County to
commence or complete programs of repaving, resurfacing, expansion, relocation,
maintenance which may inconvenience the Operator in its operation at the Airport.

Operator agrees that no liability shall attach to County, its officers, agents, employees,
contractors, subcontractors and representatives by way of such inconveniences, and
Operator waives any right to claim damages or other consideration therefrom.
Section 10.9 Nondiscrimination.
A. In connection with the performance of its rights, privileges and obligations
under this Agreement, Operator shall not discriminate against any person otherwise
qualified, solely because of race, color, religion, national origin, gender, age, military
status, sexual orientation, marital status, or physical or mental disability. In addition, the
Parties shall use the premises in compliance with all other requirements imposed by or
pursuant to Title 49, Code of Federal Regulations, Department of Transportation,
Subtitle A, Office of the Secretary, Part 21, Nondiscrimination in Federally-Assisted
Programs of the Department of Transportation-Effectuation of Title VI of the Civil Rights
Act of 1964, as said Regulations may be amended.
B. The Operator agrees that it will not discriminate against any business
owner because of the owner's race, color, national origin, or sex in connection with the
award or performance of any concession agreement, management contract, or
subcontract, purchase or lease agreement, or other agreement covered by 49 CFR Part
23.
C. Non-compliance with this provision, after written findings, shall constitute
a material breach thereof and in the event of such non-compliance the County shall have
the right to terminate this Agreement without liability therefore or shall have the right to
judicially enforce said provision
Section 10.10 Not Partnership. Notwithstanding the provisions herein for remittance by
Operator to County of any sums based upon the Gross Revenues, it is expressly
understood and agreed that the County shall not be construed or held to be a partner,
associate or joint venturer of Operator in the conduct of its business. Operator shall at
all times have the status of an independent contractor without the right or authority to
impose tort or contractual liability upon the County.
Section 10.11 Notices. All notices required to be given to County or Operator
hereunder shall be in writing and sent by first class mail, or personal delivery to:

Either party hereto may designate in writing from time to time the address of substitute
or supplementary persons within the State of Colorado to receive such notices. The
effective date of service of any such notice shall be three calendar days after the date
such notice is mailed, the date it is personally delivered or the first business day after
delivery by facsimile.
Section 10.12 Paragraph Headings. The paragraph headings herein are for
convenience in reference only and are not intended to define or limit the scope of any
provision of this Agreement.
Section 10.13 Patents and Trademarks. Operator represents that it is the owner of
or fully authorized to use any and all services, processes, machines, articles, marks,
names or slogans used by it in its operations under this Agreement. Operator agrees to
save and hold harmless County, its officers, employees, agents and representatives
from any loss, liability, expense, suit or claim for damages in connection with any actual
or alleged infringement of any patent, trademark or copyright arising from any alleged or
actual unfair competition or other similar claim arising out of the operations of Operator
under this Agreement.
Section 10.14 Security. Operator shall cause its officers, contractors, agents and
employees to comply with any and all existing and future security regulations or Security
Plan adopted by County or Eagle County pursuant to requirements of the Transportation
Security Administration or Part 107, Federal Air Regulations of the Federal Aviation
Administration, as it may be amended from time to time.
Section 10.15 Severability. If any provision in this Agreement is held by a court to be
invalid, the validity of other provisions herein which are severable shall be unaffected.
Section 10.16 Third Parties. This Agreement does not, and shall not be deemed or
construed to, confer upon or grant to any third party or parties except parties to whom
the Operator may assign this Agreement in accordance with the terms hereof, and
except any successor to County any right to claim damages or to bring any suit, action
or other proceeding against either County or the Operator because of any breach hereof
or because of any of the terms, covenants, agreements and conditions herein.
Section 10.17 Entire Agreement. The parties acknowledge and agree that the
provisions herein constitute the entire agreement and that all representations made by
any officer, agent or employee of the respective parties unless included herein are null

and void and of no effect. No alterations, amendments, changes or modifications,
unless expressly reserved to the Director herein, shall be valid unless executed by an
instrument in writing by all the parties with the same formality as this Agreement.
Section 10.18 Operator's Warranty of Its Ability To Enter Agreement. Operator
represents and warrants, which representation and warranty form a material part of the
consideration of this Agreement without which County would not enter into this
Agreement, that it is authorized to and lawfully able to enter into and perform, and is
under no prohibition against entering into and performing, this Agreement and that
entering into this Agreement and performing pursuant to the terms thereof shall not
constitute or cause a default or breach of any other contract, covenant or duty.

Overview&Recommendations
As you are aware, paid parking can be a key revenue stream for Airports. It is ultimately a revenue
source for the County and helps to offset the funds the community might otherwise be required to
contribute to sustain and improve the Airport and the parking lot. Paid parking is perhaps the fairest
form of"fee for service"—its fee is being paid directly by the user of the parking space rather than the
citizen who is not using the airport or its parking lot and not benefiting directly from its availability. We
think paid parking is an excellent way to add to the economic development Airports create within their
geographic regions.
After looking at Eagle County's physical layout, we have several recommendations regarding your
parking operation and potential improvements.
The following are our recommendations:
Step One: Establish Parking Rates
We have attached a graph of parking rates and a list of incremental parking rates for some of the
Airports located in Colorado and Wyoming that have similar comparisons to Eagle County Regional
Airport.
Suggested Parking Rates
Short Term(Paid) Parking: We recommend free parking for the first two hours in the short term (paid)
parking area (currently the 7 day parking area). We will set aside several spaces in the first row of
parking for the free two hour short term parking. The spaces will be appropriately marked and we will

restrict any overnight use of those spaces. With this rate customers who are using the Airport for short
term business such as pickups and drop offs can easily and conveniently access the Airport terminal.
All other spaces with the short term (paid) lot we recommend a daily parking fee of$8.00. The $8.00
rate will be charged for each 24 hour period of portion of a 24 hour period.
Long Term (Free) Parking: We suggest initially to provide free all the Long term lots (currently the 30
day parking areas) including the area to the West of the terminal. To enhance the revenue capture we
do suggest that the West long term lot be used primarily as overflow but are flexible with this.
Permit Parking Lot: We suggest rates of$100 per month, $500 per 6 months and $800 per 12 months.
These amounts must be paid in advance and we will provide reserved parking for these patrons. These
rates will not be pro-rated.
Employee Lot: In our proposal we have provided for gates and card access system to be installed. The
Airport will have total control over the distribution of the access cards and we will manage the process
for the Airport. It would be strictly up to the Airport if you would like to charge for employee parking.
Jet Center Parking: This area will continue to be reserved for the Jet Center and its patrons. This will
ensure that the Jet Center spaces are freed up for their customers and not being used by patrons not
using their services.
Estimated Annual Parking Revenue
By applying the proposed rates above, we determined estimated annual parking revenue based upon
the number of projected enplanements. The chart below uses 3.0%enplanement growth and assumes
parking transactions of 10% of total enplanements (this is lower than the average at airports because
most of your traffic is leisure). We used an estimate of a 3.0 days average length of stay. This allowed
us to calculate an average transaction cost of$22.76. Given that average, your gross revenue would be
nearly$400,000 in the first year of operation.

Step Two: Identifying Parking Areas
The existing layout and traffic flow make it easy and convenient for your customers to circulate
throughout the lot. To simplify the lots for the customer, we recommend labeling each of the parking
areas as follows: Short Term, Long Term and Permit parking lots. The short term parking area will be
the two lots directly southeast of the terminal, currently labeled 7 day parking. The Long term parking
areas will be the lots currently labeled 30 day parking and the Permit Parking will remain the Permit
Parking Lot.
The Short term lot, being the most convenient will be priced $8.00 daily maximum. The Permit Lot will
be used to sell pre-paid monthly, 6 month and annual spaces. Each of the Short and Long Term lots will
be marked in sections. Under our newly proposed system no space signs or space marking will be
necessary. Customer will simply pay by inputting their license plate into the automated system located
in the terminal entrance.
We will have appropriate signs to remind customers to pay at the main terminal entrance and to
remember their license number.
We recommend specifying approximately 30 spaces as 2 hour free parking only, at the front of the Short
Term lot for customers planning to park less than two hours. We have identified the recommended free
parking space area on the map we included in this proposal. There will provide sufficient signage in all
areas especially in this area designating free parking for customers parking less than two hours.
We realize that you are or will be shortly working on a new sign package for the Airport. We would
like to be involved in that process and create signs for the paid parking that complement the Airport
sign package.
Step Three: Revenue Control System
We would install two (2) Digital Payment Technology-Luke pay station. These pay stations would accept
currency and credit cards. They will also have 24 hour, live, customer service representative access
through the pay units to assist customers as needed. The live service is provided from our hub in
Seattle. With the installed cameras on the units and the intercom, our on-line, live representatives will
be able to assist customers with any questions or issues they may have while paying for their parking.
We propose placing the two units inside the main door of the terminal. The best place to locate the pay
stations is inside the doors leading into the terminal.
Placing the pay stations at the main entrance to the terminal makes sense for a number of reasons:
1. The pay stations will be under cover and out of inclement weather. During the winter months and
the hot summer months your clients will be able to pay for their parking while standing out of the
weather.
2. Everyone who parks in the lot is coming to the terminal. By placing the pay stations at the entrance
to the terminal and having appropriate signs, it will be almost impossible not to see where payment
is to be made.

3. During those rare times when a pay station is down, the second one will be conveniently located
within close proximity.
4. We recommend mounting cameras that will allow us to record all activity that occurs at the pay
station and interact with the customers through our customer assistance desk which is staffed 24
hours per day/365 days per year. This can assist customers when issues arise, such as failure to pay,
operator error,equipment malfunction or vandalism.
5. At the terminal location, typically there is better access to power and communication without
having to trench or dig up the parking area.
6. The pay station is better illuminated closer to the terminal for easy visibility during darker times of
the year.
When a customer approaches the pay station, we would put instructions on how to use the machine
both on the machine and above it on a separate sign. Customers begin by pushing a green button to
awaken the machine. The first message they will see on the screen will be: "Welcome to Eagle County
Regional Airport. Please enter your license plate number". At this time the customer will punch in his
license plate number and hit enter. The next message will be to "Enter in the number of days you wish
to park". Once the customer enters in the days,the amount due will show on the screen. The customer
will be directed to pay the amount due using credit card,debit card or currency.
The screen will direct the customer to take his receipt and keep it with him. Customers will not be
required to walk back to their car to place the receipt in their car. Once they have paid for their parking,
they can proceed into the terminal to check in for their flight.
The receipt the customer receives will show them the amount they paid and when their parking expires.
For instance, if a customer parked at 9:00 AM in the morning and planned to return the next day at
11:30 AM, he would be required to pay for two days of parking. If he paid at 9:00 AM and only paid
$8.00, his parking would expire at 9:00 AM the next day. If the customer failed to pay for a second day,
they would receive a parking due notice from us after 9:00 AM the following day.
The Digital Payment Technology-Luke pay stations should perform credit card transactions in real-time
rather than batching at the end of the day. This is important for two main reasons:
1. Real time transactions will allow for a decline of the credit or debit cards that are over
drawn, expired, stolen or rejected by the bank. When transactions are batched at the end
of the day, all transactions are accepted. It takes the bank two to three days to make
notification of a bad card. When that happens the vendor is in the unfortunate position of
having to chase debt.
2. The fees charged by banks and processors are less for real time transactions, resulting in
lower discount fees and higher gross revenues.

Republic Parking utilizes a computerized hand held system to enforce revenue control in your parking
facility. We also can provide an option for an automated drive by read camera for capture of licenses
plate and checking the lot. In the snow season this will require the operator to get out of the car to
clean off some license plates for accurate reads.
Once the customer has entered his licenses plate number and paid, that record is stored in the pay
station. Prior to the lot being inventoried for payments, the information in the pay station is
downloaded into hand held computers. Employees then walk the lot verifying all cars have paid. If a
customer has failed to pay for their parking, they will be issued a computer generated parking due
notice. Each subsequent day the car remains parked without payment, their parking due amount will be
updated to show the correct amount due. Each time a parking due notice are issued, a picture (that is
time and date stamped) is taken through the hand held unit of the car license and the stall in which they
are parked.
Each parking due notice issued requires the person who has failed to pay for parking to pay within 15
days. If payment has not been received within that time frame, Republic has a software program that
generates a past due notice to the registered owner of the car. The notice spells out the date, time and
space number where the car was parked and requests payment be made.
In the hundreds of locations where we employ this method, a late fee is assessed when the payment is
not made on time. This is not unlike the late fees many municipalities, utilities and retailers charge to
their customers who fail to make timely payments.
Our late fees range from a low of $15 (Yakima Airport) to a high of $30 (Pangborn Airport). For this
location we recommend a late fee of$20.
Our software program will automatically issue a second letter if a person has not paid in an additional 15
days. At this point,the Airport can choose to turn these people over to collection, credit report them,or
simply ignore the outstanding debt. Our recommendation is that you wait until a person has a minimum
of three past due notices before it is pursued further.
Step Four: Customer Communication,Signs, and Direction
A sign package approved by the Airport will be designed and installed to direct all of our customers to
the pay stations. The signs are to guide and to remind all those that park to pay for their parking and
remember their license plate number. The signs should be 30" by 36" and 28"x44" in size. The letters
should be in red on a white background and display the following message:

The signs will be posted to ensure that the customers know that they are required to pay for their
parking. The other signs should be placed strategically throughout the lot notifying your customers of
the requirement to pay for parking and to remember their license plate number.
As the customers approach the terminal there should be pedestal signs directing them to the pay
station. These signs should be used just in case they did not see the other signs we placed around the
interior of the lot. The pedestal signs are mobile and can be used to display a number of different
messages. The goal is to ensure that all customers who park will have every opportunity to pay for their
parking.
Camera and Hub: 24 Hour Human Assistance
The camera and hub is a new component to our service. We are employing it in several cities
throughout the country. As mentioned above, we recommend installing a camera at the pay stations.
Republic Parking System will install an intercom at unit as well that will allow customers to speak directly
to one of our customer service agents at the hub office.
The hub office is located in Seattle, Washington and is staffed 24 hours/7 days per week. If a customer
is having trouble understanding the payment system,they can press a button on the pay station and the
customer service agent will speak with them live to help them through the transaction. Via the
camera, the customer service agent can see the customer, their credit card, and the entire physical
portion of the transaction. This helps them to assist the customer through the transaction creating a
better customer experience.
Staffing/Number of Employees
We will have a customer service representative on duty from 7:00am to 3:00pm seven days a week
during the busy season (Mid-November through Mid-April) and from 7:00am to 10:00am seven days a
week on the slower seasons. This schedule results in a total staff of 2.0 FTE employees as shown below.

Republic parking will install two (2) Digital Payment Technology-Luke pay stations at Eagle County
Regional Airport. These pay stations will accept currency as well as credit and debit cards. Each of
these pay stations is auditable and the money can be touched by only one person.
Each time the pay station is emptied, a "total" receipt is printed. This receipt lists by denomination how
much revenue was taken in as well as how many credit card transactions and the total revenue
collected.
The pay stations will be emptied on a daily basis. The revenue in the pay stations will be counted and
deposited into the bank Monday through Friday. The revenue collected over the weekend will be
deposited on Monday. A copy of the deposit slip is sent into our home office accountants daily where it
is verified to the bank statements. Once verified it is entered into the AS400, our data processing
mainframe, and then reported to you on a monthly basis. A copy of the deposit slip and a daily report
will be delivered to the Airport on each banking business day.

Specifically the way it will work is as follows: All money that is paid into the Digital Payment Technology-
Luke pay station goes into a locked bill acceptor vault. Each transaction is recorded in the machine.
When our manager or supervisor removes the locked money vault they run a total transaction tape.
They replace the full vault with an empty vault. The manager or supervisor will count the money in the
vault and compare it to the total tape. The total tape has a breakdown of the money collected by dollar
denominations. This tape, the validated deposit slip from the bank and the credit card information is
sent to an accountant representative in our home office in Chattanooga daily. The accountant verifies
the deposit with the total tape and the credit card breakdown with the processors report to verify
revenue. Once all the income is verified the amount is entered into our computers.
At the end of the month Eagle County Regional Airport will receive a breakdown of all deposits made on
a daily basis and separated into cash and credit cards. We will also provide a profit and loss statement
showing total gross income and the rent payments.
In our regional offices in Denver and Seattle as well as our home office in Chattanooga,we are able to go
on line and review the payments received versus the payments recorded. We do this on a daily basis to
audit the deposits being recorded. In addition each airport is audited a minimum of two times each
year. The auditors spend a minimum of three days on site and report directly to our airport division
COO. While on site they review the employee appearance and customer service, handhelds, physical
appearance of the facility looking for trip and fall hazards as well as cleanliness, the appearance and
performance of the Digital Payment Technology-Luke pay station and all other aspects of the operation.
Republic Parking will follow Generally Accepted Accounting Procedures with respect to maintaining all
back up materials and documents necessary. Republic Parking will request an on-site storage area to
store records and backup materials. This area does not need to be large and must be secure. It will be
available for inspection by the Airport if required. In addition to the onsite storage, our Corporate Office
also maintains copies of all daily reports, bank deposits, credit card deposits, and other supporting
documents.
Employee Information
The Eagle County Regional Airport parking operation will be under the guidance of our Airport Division
and Bob Linehart, Airport Division COO. He will be assisted by Dana Klein, Republic Parking System
Regional Manager based in Denver. Mr. Klein has 15 years of parking experience. He currently oversees
5 of our airports including Grand Junction, Montrose and Durango.
Republic Parking will select a manager/supervisor in charge of the operation that understands customer
relations and the importance of good customer service. If Republic is awarded the contract, our
supervisor will undergo an intensive three week training program in the use, repair and maintenance of
our systems. This manager/supervisor will be responsible for the hiring and training of the other
employees we will use in the day to day operation and will be the direct day to day contact between
Republic Parking and Eagle County Regional Airport.
Number of Employees - Republic Parking will have one full time manager/supervisor available and on
call 24 hours per day 7 days each week. In addition, we will have up to three part time employees to
help with evenings,weekends and holidays.

Employee Training- Republic Parking System has developed the most effective training materials used
in the parking and transportation management industry. We have the ability to interface with
associates at every level, analyze their jobs and responsibilities, and structure training programs that
ensure the employee has the knowledge and skills to perform at a high level of proficiency. In addition,
we prescribe individual training for those managers who have specific individual needs to ensure they
have all the skills necessary to succeed. Our staff has certified assessment center administrators, as well
as instructors of some of the most prestigious commercial workshops and seminars available to the
business community today.
Republic Parking System takes a "Hands On" approach to training and development, personally
monitoring the progress of each employee and to ensure that they are progressing at the expected level
and covering the required appropriate materials. We will constantly communicate with employees and

undistorted message to them, and provides specific feedback from the users of the program so we can

he is on site as well.

Customer Service Monitoring and Enforcement- Republic Parking System enjoys a reputation of
providing a high level of customer service in the parking industry.All policies are prepared with the goal
of providing strict revenue control while maintaining excellent customer service for parking patrons. At
Republic Parking System we are cognizant that the final and lasting impression of an airport parking
patron will be how professionally the customer was treated by our staff. For that reason, we monitor
and enforce the standards of customer service taught in our training manuals,videos and workshops.
In addition to Republic Parking System's managers and supervisors monitoring customer service every
day by observing employees in real-time customer service situations and by assisting in resolving
problems and providing information to our patrons, quality control programs have been established to

Customer Feedback Surveys - Surveys are periodically distributed to solicit feedback on the parking
operation and the level of customer service. In addition, the surveys are available for customer
comments. The results are compiled and used to correct any deficiency found and to reward good
performance to ensure it will be repeated. The survey is an excellent management tool to measure the
on-going performance of the operation and to ensure a professional parking management system.
Customer/Employee Suggestions - We constantly encourage our customers and employees to make
suggestions to improve the service we provide them. The communication of ideas, comments and
recommendations are a vital part of delivering the service our customers want. Suggestion forms are
conveniently displayed in conspicuous places. When an employee submits a suggestion that is accepted
and implemented, the employee will receive a cash award of from $10.00 to $100.00 depending on the
value of the suggestion.
Customer Relations Policy-Our goal is to provide the highest level of customer service and satisfaction.
All customer inquiries will receive a professional response within 48 hours of their receipt. Customer
inquiries are treated as opportunities to listen to our customers and situations from which we can learn
and improve. These inquiries are investigated by the location manager. He or she must speak with all
appropriate staff members during this investigation and respond back to the affected customer within
48 hours with a copy of the letter to the Airport and the Regional Manager. Positive inquiries or reports
will result in favorable reviews and positive recognition including awards and certificates of recognition.
A monthly report of inquiries is prepared and distributed by the manager to the Airport Director and the
Regional Manager.

Visiting Corporate Personnel - In addition to the above customer service quality control programs,
visiting corporate, regional and field personnel observe, monitor and document the standards of
performance relating to customer service including appearances, attitude and professional demeanor
when dealing with patrons. We like to catch our associates in the act of performing well so we can
positively reinforce their behavior and we can recognize and reward them. By the same token, poor
performance is addressed and the offending employee is counseled and closely monitored to ensure
standards of performance are met. Written reports to the executive staff overseeing the project are
generated; copies are distributed to appropriate field personnel and the Senior Vice President. The
Regional Manager follows up to ensure that deficiencies have been corrected or the employee has been
removed.
By using the above programs and procedures, Republic Parking System can ensure that the quality of
customer service we promise is the quality of customer service we deliver.
Mystery Shopper - Republic Parking System employs a third party firm to conduct mystery shopper
surveys at each of our airport operations every month. The reports generated by these shoppers, who
have no connection to the parking business, give us a customer's view of the job we are doing. They
report to us on the appearance of the facilities, their impressions of the safety of the operation, the
level of service provided by our staff,and their overall satisfaction with our management. Each of these
reports is sent directly to our Corporate Office Manager, who in turn distributes them to our Airport
Division COO. Our staff then distributes them to the Regional Manager who is charged with responding
in regards to any negative comments on the reports. The Regional Manager is also required to share the
report with the location manager. We encourage the location managers to post all of these reports
where they can be seen by the entire staff so that each of them can gauge for themselves how we are
doing in the eyes of the customer.
Negative mystery shopper reports lead to re-training or disciplinary action depending upon the severity
of the issue or whether this is a repeated negative action. Positive shopper reports generate praise from
all levels of the organization and may include rewards. The positive reinforcement of proper customer
service leads to continued best services.
These reports are also copied to you, the landlord, to keep you fully informed. Attached is a copy of a

Lot fees were plainly seen on the signs at the entrances.All signs were in good condition and clearly visible.The lots were pretty full,
about 75%I would say.I saw no vehicles parked in undesignated areas or in an unacceptable fashion,meaning at an angle,on top of a
line taking up two spots,etc.Everybody was parked between the lines in a courteous fashion.

smiled.He kept the transaction quick and smooth and very professional.The gates all worked well,further giving an Impression of a well
maintained fadlity.
Payment Methods and Enforcement
If a customer has failed to pay for their parking, they will be issued a computer generated parking due
notice. Each subsequent day that the car remains parked without payment, their parking due amount
will be updated to show the correct amount due. Each time a parking due notice is issued; a picture is
taken of the car license and the stall in which they are parked.
Each parking due notice we issue requires the person who has failed to pay for parking to pay within 15
days. If we have not received payment within that time frame, our software program generates a past
due notice to the registered owner of the car. The notice spells out the date and time where the car
was parked and requests payment be made.
In the hundreds of locations where we employ this method, a late fee is assessed when the payment is
not made on time. This is not unlike the late fees many municipalities, utilities and retailers charge to
their customers who fail to make timely payments.

The airport will have direct input on instituting a late payment fee. Our late fees range from a low of
$15 (Yakima Airport)to a high of$30(Pangborn Airport). For this location we recommend a late fee of
$20.
Our software program will automatically issue a second letter if a person has not paid in an additional 15
days. At this point, Eagle County Regional Airport may choose to have us turn these people over to
collection, report them to the credit agencies, or simply ignore the outstanding debt. Our
recommendation is that you wait until a person has a minimum of three past due notices before we
pursue it further.
Republic Parking System has selected, installed and operated over sixty-five revenue control systems.
We are experienced in the design and control systems from establishment of accountability down to the
format of the report forms.
Validations
With the 2 hour free parking, restaurant or airport validations will no longer be necessary. This will also
allow for tighter revenue control. By eliminating validations the opportunity to take advantage of the
validation system is eliminated.
With that said, we will have the ability to institute validations into the proposed system if needed.
Republic Parking operates several locations where a Restaurant Validation program is currently in use
and has always been willing to work with restaurant operations to establish a fair and controllable
validation program. We would be very receptive to initiating a validation program for a new restaurant
tenant or any other tenant that may have such a need for a validation program.
Customer Service Enhancements: Marketing Plan&Thanks Again
Republic Parking System works with our Airport clients in researching and creating the most effective
parking marketing programs to meet the Airport's needs, whether it is competing against off-site
operators, promoting a new airline/air service, identifying on-site parking options, establishing the
optimal parking rates, creating an on-site parking incentive program, or simply promoting the on-site
parking. Republic Parking System works with the Airport to develop an effective marketing program
that compliments the marketing and development efforts of the Airport. This is accomplished through
many means including advertising and promotional materials, direct marketing campaigns, website
development, rate and sign survey and reports,customized statistical data collection and assessment.
Republic Parking System will be proactive in our efforts to assist the Eagle County Regional Airport in
promoting and advertising the new paid parking services. We have introduced many new and successful
programs and technologies for our clients to keep the operation on the forefront of customer service
and patron convenience initiatives. Some specific examples of this are the Thanks Again Airline Miles
Reward Program, Reach Local Web Traffic Augmenter, pay by cell phone options, assistance with
development of internet(Facebook,Twitter,etc...) promotions and coupons. We commit to a pro-active
approach of bringing new and innovative ideas to the Airport for use in the operation. Some initial

Republic Parking System can help setup and maintain a communication infrastructure using a
combination of signage, print media, web presence and social media networks. This would further
develop the Airport's web presence.
The social media and web presence will help communicate promotional specials and important updates
on the parking operational and service offerings.

Approximately Five (5) years ago Republic Parking System teamed up with Thanks Again to create a
simple yet effective way to reward our Airport parking patrons while adding value and marketing

Once the patron enrolls they will receive bonus points/miles quarterly, based on spend levels or number
of visits to the parking operation. If a client stays 7 times in a 3 month period they will receive 1,000
miles. This is part of the base program that only Republic Parking System provides for all of our Airport
clients.
This program can and has been expanded to increase the amount of rewards in the parking area (ex. 1
mile per dollar spent) and can even be expended throughout the entire Airport as Park, Shop & Dine
miles reward options. These expansions of the program come with additional cost but Republic Parking
receives the guaranteed lowest prices for the Thanks Again program due to our preferred relationship
and our assistance in developing the program specifically for Airports. No other parking vendor can
bring this program at our rates.
Thanks Again program is now active in over 100 airports and many have expended the program to

Other Pertinent Details
Pay by Cell Phone: Our system will allow customers to pay by cell phone should they choose to use that
option. We team with Verrus, an online payment by cell phone service. Customers sign up and register
with Verrus and then they are able to pay for their parking by simply placing a call. If they so choose,
customers will never need to go near the pay stations. They can park their car, walk into the terminal
and pay for their parking while waiting in line to check in for their flight. It is also convenient to use
should they be delayed in returning.The customer can call up and pay for additional days of parking and
not worry about a ticket.
Republic Parking provides an on line payment system that your customers can use to pay for monthly
parking and for parking due. If a customer receives a parking due notice, they can go on line to
rpnw.com and pay the parking due. It is an easy and convenient way for them to pay
for their parking. We will set up a link on your website directing customers to our website.
Permit Parking: Monthly, 6 month and annual parking permits for the permit parking lot can be
purchased on our website,on a mobile phone or in person at the facility through on of our employees.
Employee Parking: To better control the employee parking area, we have included in our proposal an
investment in control access gates and a card reader system for the employee lot. We will issue
employee parking cards at the written direction of the Airport management.
Additional Capital Investments
Republic Parking System will provide the Eagle County and the Eagle County Municipal Airport with
additional funding for capital projects related to the airport parking facilities upon terms to be
negotiated and mutually agreed upon. With Republic Parking System providing capital for parking
related projects, the Airport can save its money and bonding capacity for projects that allow for
federally matching funds therefore making their investment dollars stretch much farther. Parking is
not currently eligible for federally matching funds.
Republic Parking System is your resource. We will provide Eagle County Regional Airport with
consulting, input and capital on any project as part of our relationship. We will be a partner with the
Airport in all areas that we are called upon including but not limited to the following:
* Development, implementation and financing of new service (i.e. valet parking, car wash &
detailing services, Sky Cap services, Taxi Starter/Ground Transportation management systems,
lot upgrades, luggage carts,terminal curbside patrols,etc...)
* Investment into current parking and related services (i.e. selection & purchase of new PARCS
equipment, resurfacing/improvements to parking facilities, solar canopies, etc...)
* Consulting (parking rate surveys, special reports as requested, LPI statistical data, development
&design of new facilities,signage, etc...)
* Marketing&Customer Loyalty programs
Terms of the capital investment would be based on each individual project but most arrangements
spread the cost of the investment either over the useful life of the improvement or the remaining term
of the Agreement.

The information below illustrates our private/public partnership established with Gulfport-Biloxi
International Airport to provide them a new turnkey parking facility including 1000 surface lot spaces,an
800 car parking structure, a new Exit Plaza, and new revenue control equipment. This project was
originally budgeted for $21,000,000 and to be completed in 18 months. Under our guidance and
partnership we delivered the facilities as designed as agreed upon $3,000,000 under budget and in 9
months.
