HomeMy WebLinkAboutC14-476 Rachael Messerich First Amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND RACHAEL MESSERICH tOW THIS FIRST AMENDMENT ("First Amendment") is effective as of the 1st day of January, 4 by and between Rachael Messerich, a sole proprietor(hereinafter"Consultant"or"Contractor") and Eagle County, Colorado, a body corporate and poli3tic l ereinafter"County"). RECITALS. WHEREAS, County and Consultant entered into an agreement dated 22m1 day of April, 2014, for certain Services (the"Original Agreement"); and WHEREAS,the term of the Original Agreement expires on December 31, 2014 and the parties desire to extend the term as set forth herein. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to extend the term to the 30th day of June, 2015. 2. For the period from January 1, 2015 through June 30, 2015 the compensation for the Services will be computed and payable as set forth in Exhibit A to the Original Agreement but the compensation for this period shall not exceed $20,000. 3. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the First Amendment conflict with,modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 4. Except as expressly altered,modified and changed in this First Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 5. This First Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. The program,named Estoy Sano!, focuses on nutrition education through: filming and disseminating a Spanish-language cooking show, weekly health tips on the local Spanish radio station,nutrition education classes, and increasing access to healthy foods. The iEstoy Sano! Contractor would serve as the community liaison and promoter of the program in a variety of ways, described below. Some tasks are ongoing,while others will take place intermittently. Tasks are summarized below,but may not be limited to this list as needs of the iEstoy Sano! program evolve. Community outreach and promotion • Act as the community liaison with the Spanish speaking community in Eagle County for iEstoy Sano! and topics related to healthy eating and active living. • Promote jEstoy Sano! through having a presence at community events,distributing flyers, networking, etc. • Lead and facilitate a photo voice project among Spanish speaking community members (will most likely entail two series of photo voice, comprised of 3-4 group sessions with approximately six participants). • Serve as at the liaison between other County departments when needed as related to health and the Latino community. Nutrition education and awareness • Provide guidance on cultural relevancy and accuracy of health tips on La Nueva Mix radio station, develop topics and content for nutrition tips segment. Willingness to be the voice of nutrition education tips on the radio,if needed. • Write a bi-monthly column(every-other-month)about healthy eating and active living/promoting iEstoy Sano! for El Montanes newspaper. • Develop and provide iEstoy Sano! nutrition education materials for the Vail Valley Salvation Army. Healthy food access • Facilitate and coordinate the installation of EBT machines(for redemption of SNAP benefits)at one or two summer farmer's markets. • Lead occasional tours of farmer's markets to introduce local community to using SNAP benefits and shopping for produce there. SCHEDULE The Estoy Sano Community Liaison Contractor will work approximately 20 hours per week(more or less as project demands require)through the term of this contract(through June 30, 2015). FEES The Contractor will submit an invoice by the 5th of each month. The invoice will include all costs associated with the grant project as defined above. Contract amount may not exceed$20,000 for the Term of the Term of the Agreement. The hourly rate paid to the contractor will be$40.00 per hour.
