EAGLE COUNTY, COLORADO
AND
THE CONSORTIUM FOR OLDER ADULT WELLNESS
THIS SECOND AMENDMENT ("Second Amendment") is effective as of the Or—day of
,2014 by and between the Consortium for Older Adult Wellness(COAW), a Colorado
non-profit corporation(hereinafter"Consultant" or"Contractor") and Eagle County, Colorado, a
body corporate and politic(hereinafter"County").
RECITALS
WHEREAS,County and Consultant entered into an agreement dated the 7th day of June, 2013
for certain Services (the"Original Agreement"); and
WHEREAS, County and Contractor entered into a First Amendment to the Original Agreement
dated May 1, 2014 ("First Amendment") and expanded the scope of services to be performed and
extended the term of the Original Agreement; and
WHEREAS,the Original Agreement and First Amendment contemplated that the Consultant
would perform certain duties with compensation in an amount not to exceed $18,300; and
WHEREAS, County and Consultant desire by this Second Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement and First Amendment.
SECOND AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement and First Amendment shall be amended to include additional
Services as described in Exhibit 1,which is attached hereto and incorporated herein
by reference.
2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed
$9,100 or a total maximum compensation under the Original Agreement, First
Amendment and this Second Amendment of$27,400.
3. Capitalized terms in this Second Amendment will have the same meaning as in the
Original Agreement and First Amendment. To the extent that the terms and
provisions of the Second Amendment conflict with,modify or supplement portions of
the Original Agreement,the terms and provisions contained in this Second
Amendment shall govern and control the rights and obligations of the parties.
4. Except as expressly altered,modified and changed in this Second Amendment, all
terms and provisions of the Original Agreement and First Amendment shall remain in
full force and effect, and are hereby ratified and confirmed in all respects as of the
date hereof.
5. This Second Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to the
Original Agreement the day and year first above written.

Exhibit 1
Scope of Work Addendum
Project Objective:
COAW and Eagle County Public Health and Environment are partners in a grant with the
Colorado Health Foundation to train, implement, and integrate falls prevention programs and the
Chronic Disease Self-Management Program from Stanford University into the community and
clinics in the process of becoming patient centered medical homes.
This is an addendum to the original contract and First Amendment to include a four-day training
of the Spanish language version of the Chronic Disease Self-Management Program, Tomando
Control, during November, 2014 ($6,100) and a two-day training of Tai Chi for Arthritis during
February, 2015 ($3,000).
Consortium for Older Adult Wellness' Role
COAW will organize, sponsor, and deliver these trainings for Eagle County Public Health and
Environment in Eagle County.
COAW will hire the instructor, send the training materials to recruited students prior to the
training, assemble manuals, make travel arrangements, assist with registrations, order food for
the training, and handle all reimbursements and other financial transactions.
Eagle County Public Health and Environment's Role
ECPHE will recruit all trainees, inform them of the program and the paperwork required. They
will do regular check-ins with the new trainees in the areas of where they will be teaching.
