HomeMy WebLinkAboutC14-370 Victor Mark Donaldson Architects Second Amendment SECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY,COLORADO AND VICTOR MARK DONALDSON ARCHITECTS THIS SECOND AMENDMENT("Second Amendment")is effective as of the ay of September,2014 by and between Victor Mark Donaldson Architects a Colorado corporation (hereinafter"Consultant" or"Contractor")and Eagle County, Colorado, a body corporate and politic (hereinafter"County"). RECITALS WHEREAS,County and Consultant entered into an agreement dated the 17 day of April,2014, for certain Services(the"Original Agreement"); and WHEREAS,the Original Agreement contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed$10,280.00; and WHEREAS, County and Consultant entered into the First Amendment to the Original Agreement(the"First Amendment")dated the 23 day of June,2014,for additional services; and WHEREAS,the First Amendment contemplated that the Consultant would perform certain duties with compensation in an amount not to exceed a total of$14,280.00 under both the Original Agreement and First Amendment; and WHEREAS,County and Consultant desire by this Second Amendment to expand the scope of Services and compensation as set forth in the Original Agreement and First Amendment. SECOND AMENDMENT NOW THEREFORE,in consideration of the foregoing and the mutual rights and obligations as set forth below,the parties agree as follows: 1. The Original Agreement and First Amendment shall be amended to include additional Services as described in Exhibit 1 which is attached hereto and incorporated herein by reference. 2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $3,200.00 or a total maximum compensation under the Original Agreement,the First Amendment and this Second Amendment of$17,480.00 without an amendment agreed to in writing by the parties. 3. Capitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. In the event of any conflict between Exhibit 1 and the Original Agreement, the Original Agreement shall control. 4. Except as expressly altered,modified and changed in this Second Amendment,all terms and provisions of the Original Agreement shall remain in full force and effect,and are hereby ratified and confirmed in all respects as of the date hereof. 5. This Second Amendment shall be binding on the parties hereto,their heirs,executors, successors, and assigns. Best regards, Mark Donaldson, Principal/VMDA List of items to complete the two Eagle shelters. 1) Mirror both sets of plans(all plans and reflected ceiling plans). 2) Standing seam metal(gafvalume)roof with exposed wood dock at underside. 3) Imbed plates with welded column conneotbn(wall details and structural). 4) Slope concrete slabs 2%for drainage and grading issue. b) 2•parl Epoxy paint specification(Tom Cosforewsld to research spec and color), 6) Over-excavate site 24"below slab and fill with gravel to prevent frost heave. 7) Slab dimensions(structural), 8) LED lights on photocell and motion detector.Requires lighting plan and specification. 9) Provide light fixture over slop name to illuminate. 10) Concrete walls to be colored concrete'Yosemite Brown'with Fitzgerald pattern 17000 'Florida Ashlar'form liner. 11) Extend Lexan panels at building ends to underside of roof(slope tube steel,structural). 12) Provide wood blocking between rafters on lop of tube steel beams(structural). 13) Provide option and detail for stone veneer and cap in lieu of concrete form liner. 14) Omit Polygal panels and use Lexan throughout shelters. 16) Issue construction set for Eagle shelters by September 30th. construction to be completed by December 31st.
