THIS NINTH AMENDMENT("Ninth Amendment") is effective as of the day of ,'ML a I , 2014 by and between KRW Consulting,Inc., a Colorado corporation e einafter"Engineer"or"Consultant")and Eagle County, Colorado, a body corporate and politic (hereinafter"County"). RECITALS WHEREAS, County and Consultant entered into a Master Agreement for Professional Engineering Services dated the 20 day of February 2012, for certain Services (the "Original Agreement"); and WHEREAS, County and Consultant entered into a Sixth Amendment to the Master Agreement on December 9, 2013,to modify the scope of Services and the compensation set forth in the Original Agreement for the re-design of the Eagle County Landfill Scale House and scale (the "Scale Project"); and WHEREAS, County and Consultant desire by this Ninth Amendment to expand the scope of Services and compensation as set forth in the Sixth Amendment to the Original Agreement as it relates to the Eagle County Landfill Scale Project. NINTH AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include the additional Services set forth in Exhibit 1,which is attached hereto and incorporated herein by reference. 2. Consultant shall complete the scope of work for the additional Services set forth in Exhibit 1 within eight (8) weeks of receipt a Notice to Proceed from the County's designated Project Manager. 3. The compensation for the additional Services set forth in Exhibit 1 shall be billed in monthly progress payments in accordance with the Original Agreement in an amount not to exceed$35,680.00 or a total maximum compensation under the Original Agreement, as amended, and this Ninth Amendment of$461,949.00. 4. County hereby approves Consultant's engagement of the following sub-consultants for the performance of Services under this Ninth Amendment: Menendez Architects PC. Engineer shall be responsible for the acts and omissions of its agents, employees and sub-consultants or sub-contractors. 5. Capitalized terms in this Ninth Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of this Ninth Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Ninth Amendment shall govern and control the rights and obligations of the parties. 6. Except as expressly altered, modified and changed in this Ninth Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 7. This Ninth Amendment shall be binding on the parties hereto,their heirs, executors, successors, and assigns. Sub-contractors include Menendez Architects pc,(architectural,structural,MEP services). No mark-ups are included within the cost estimate for the sub-contractor services. Proposal Specifics This proposal is based upon relocating the previously completed facility design(scalehouse and scales)to the south where the existing aboveground scale can be incorporated into the overall design precluding the necessity to re-locate this scale as originally proposed. KRW Consulting,Inc.and its subcontractor will provide the following engineering services as outlined below: 1. Construction Re-Design • Project meeting to discuss project options o Excavate test pits to verify depth of fill and/or bedrock at proposed location o Develop overall site grading plans including stormwater diversion structures o Architectural services—structural,MEP,etc.(Menendez) o Project meetings to review ongoing development of project plans o Attend BoCC meeting to provide project status o Finalize design drawings&submit to Project Team 2. Construction Services • Initial survey layout—building,scales,drainages,grading,utilities,etc. • As-built survey,final construction drawings&documents • Ongoing project meetings The attached cost estimate detail is based on the assumptions stated and our understanding of the project requirements and deliverables. The total amount for anticipated re-design services for KRW and associated subcontractors is $35,680.30. This amount is in addition to the amount remaining in the original contract for construction phase services. Please refer to the attached appendix for specifics regarding the sub_contractor services.
