HomeMy WebLinkAboutC14-257 CSU Extension Agreement FIRST AMENDMENT TO MEMORANDUM OF UNDERSTANDING BETWEEN EAGLE COUNTY, COLORADO and THE BOARD OF GOVERNORS OF THE COLORADO STATE UNIVERSITY SYSTEM ACTING BY AND THROUGH COLORADO STATE UNIVERSITY FOR THE BENEFIT OF CSU EXTENSION THIS SECOND AMENDMENT ("Amendment") is made and entered into this 30th day of June, 2014,between Eagle County,by and through its Department of Health and Human Services ("HHS") and The Board of Governors of the Colorado State University System acting by and through Colorado State University for the benefit of CSU Extension ("CSU"). WHEREAS, HHS and CSU entered into a Memorandum of Understanding dated February 13, 2013 (the "MOU") whereby CSU agreed to provide the services set forth below (hereinafter called the "Services" or "Contracting Services"): I. Coordinate ECO-TV Spanish language cooking show a. Develop recipes/themes for each cooking show b. Purchase food for cooking show c. Work with media company to develop script d. Include cooking, technique, and nutrition tips where appropriate e. Work with ECO-TV Communications team to determine best schedule for filming f. Mentor cooking show host in terms of nutrition education, food safety, and technique g. Ensure appropriate equipment is available h. Be on-site to film 12, 30-minute episodes i. Ensure episodes begin airing on ECO TV in January 2013 II. Expanded Food and Nutrition Program ("EFNEP"): a. Ensure EFNEP educators are available b. Provide curriculum and evaluation c. Retain a copy of evaluation materials for Soy Sano's evaluator's purposes III. Produce for Pantries Campaign (A program of the Eagle County Department of Human Services): a. Work with Food Policy Council and Produce for Pantry growers and volunteers to ensure food safety IV. Provide monthly updates to Healthy Communities Unit/Estoy Sano Project Coordinator. V. Develop nutrition tips topics for weekly radio health tips on La Nueva Mix a. Provide talking points and corresponding resources for tips. Eagle County Public Health and Environment will coordinate the recording and airing of the tips. 1 Y WH REAS, HHS and CSU wish to amend the terms of the MOU to change the scope of the Services the term of the MOU and the remuneration paid to CSU for Services performed. NOW, HEREFORE, HHS and CSU agree that the MOU will be amended as follows: 1. Section A, "SERVICES PROVIDED BY CSU", Subsection I, line h, will be deleted and replaced with the following: h. Be on-site to film 20, 30-minute cooking episodes. 2. Section A, "SERVICES PROVIDED BY CSU", Subsection III a., shall be deleted and replaced with the following: a. CSU will provide guidance and expertise on food safety and handling issues related to food donations. 3. Section B, "TERM OF AGREEMENT", shall be deleted and replaced with the following: This MOU shall be effective upon the last date of signature hereto and, unless earlier terminated as set forth herein, shall expire June 30, 2015 (the "Term"). This MOU may be amended or renewed upon mutual written agreement of the parties hereto. This MOU may be terminated by either party, with or without cause, upon fifteen (15) days advance written notice. In the event of such termination, CSU shall be compensated for all Services performed prior to the date of termination. 4. Section C, "COMPENSATION", shall be deleted and replaced with the following: CSU will submit a report and invoice to HHS by the 5th of each month. The invoice will include all costs associated with the OHD grant projects as defined above, and will include sign-in sheets for all EFNEP classes for that month. Contracted amount may not eiceed$17,633 for the Term of the Agreement. Invoices shall include monthly cost with personnel, and operating supplies. Payment will be by internal transfer from Health and Human Services grant funds to the County Finance Department on behalf of CSU Extension. Total contract amount of$17,633 includes the following costs: Personnel: $9,053 EFNEP program supplies: $7,200 ECO-TV Cooking Show raw food and kitchen supplies: $1,380 Reports and Invoices should be submitted to: Katie Haas Eagle County Public Health PO BOX 660 5$1 Broadway, Eagle, CO 81631 5. HHS and CSU agree that, except as expressly altered, modified and changed in this Amendment, all terms and provisions of the MOU shall remain in full force and effect and hereby are ratified and confirmed in all respects as of the date hereof. 7. This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and assigns. 8. If any conflict exists between the provisions of this Amendment and the MOU, the provisions this Amendment shall control.
