HomeMy WebLinkAboutC14-247 NASPA Second Amendment SECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND THE NATIONAL ASSOCIATION OF STUDENT PERSONNEL ADMINISTRATORS 1 , ECOND AMENDMENT'("SecondAmendment") is effective as of the day of N; ,2014 by and between The National Association of Student Personnel Administrators,with a mailing address of 111 K Street NE, 10th Floor, Washington, D.C.20002 ("NASPA" or "Contractor")and Eagle County, Colorado, a body corporate and politic (hereinafter"County"). RECITALS WHEREAS,County and Contractor's predecessor,The Bacchus Network,entered into an agreement dated the 24 day of July, 2013,. for certain Services(the "Original Agreement"); and WHEREAS, County and Contractor entered into a First Amendment to the Original Agreement dated the 8t" day of May, 2014; and WHEREAS,the Original Agreement contemplated that the Contractor would perform certain Services with compensation in an amount not to exceed $8,840.60 and the First Amendment contemplated additional services with compensation not to exceed$4,912.50; and WHEREAS, the County desires to have Contractor perform additional Services for additional compensation as set forth below; and WHEREAS,the term of the Original Agreement expires on the 30thday ofJune, 2014, and the parties desire to extend the term for an additional year. SECONDAMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Contractor will provide the following additional services(hereinafter called "Contracting Services"or"Services")including technical assistance to the Eagle County Health Promotion Coordinator in the form of materials for Colorado Mountain Colleges to display or distribute in order to promote tobacco cessation,education and/or strengthen tobacco related content in curriculum. 2. The compensation for the additional Services shall not exceed $1,000.00. 3. The term of the Original Agreement is hereby extended to the 30thday of June,2015. 4. Capitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Second Amendment conflict with, modify or supplement portions of the Original Agreement or First Amendment, the terms and provisions contained in this Second Amendment shall govern and control the rights and obligations of the parties, 6 2 , 5. Except as expressly altered, modified and changed in this SecondAmendment, all terms and provisions of the Original Agreement and First Amendment shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This SecondAmendment shall be binding on the parties hereto,their heirs, executors, successors, and assigns.
