EAGLE COUNTY, COLORADO
AND
THE CONSORTIUM FOR OLDER ADULT WELLNESS
THIS FIRST AMENDMENT("First Amendment")is effective as of the 1st day of May,2014
by and between the Consortium for Older Adult Wellness (COAW),a Colorado non-profit
. corporation(hereinafter"Consultant"or"Contractor")and Eagle County,Colorado, a body. .
corporate and politic(hereinafter"County").
RECITALS
WHEREAS,County and Consultant entered into an agreement dated the 7th day of June,2013,
for certain Services (the"Original Agreement"); and
WHEREAS,the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed$ 15,000; and
WHEREAS,County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE,in consideration of the foregoing and the mutual rights and obligations as
set forth below,the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit 1,which is attached hereto and incorporated herein by reference.
2. The compensation for the additional Services set forth in Exhibit 1 shall not exceed
$3,300 or a total maximum compensation under the Original Agreement and this First
Amendment of$18,300.
3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
.Amendment conflict with,modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered,modified and changed in this First Amendment,all terms
and provisions of the Original Agreement shall remain in full force and effect,and are
hereby ratified and confirmed in all respects as of the date hereof.
5. This First Amendment shall be binding on the parties hereto,their heirs, executors,
successors, and assigns.

Scope of Work Addendum for the Consortium for Older Adult Wellness
Prolect Obiective:
COAW and Eagle County Public Health are partners in a grant with The Colorado Health Foundation to
train,implement,and integrate falls prevention programs and the Chronic Disease Self-Management
Program from Stanford University into the community and clinics in the process of becoming patient
centered medical homes.
•
This is an addendum to the original contract to include a 2 day Tai Chi training in May of 2014 at the
5unnyside Retirement Center in Glenwood Springs,Colorado.
Consortium for Older Adult Wellness's role:
COAW will organize,sponsor,and deliver this training for the Well and Wise Program in Eagle County.
COAW will hire the instructor,send DVOs to all recruited students prior to the training,assemble
manuals,make travel arrangements,take registrations,order snacks/drinks for training,and handle all
reimbursements for instructor.
Eagle County Public Health-Well and Wise Program's role:
Eagle County Public Health will recruit all trainees,inform them of the Well and Wise Program and all
paperwork required. They will also do regular check-ins with the new trainees in the areas of where
they will be teaching.

Payment and Billing Schedule:
The cost of the training is$3,300 to include:
• 7 trainees
• 1 Certified Tai Chi Instructor stipend
• Travel for instructor and training coordinator
• 7 DVDs plus shipping
• 7 Tai Chi manuals
• 4 nights in hotel for instructor and training coordinator
• Snacks and drinks for training •
• Staff organizing time
Signature of Responsible Par#v:
I understand and agree to the above stated activities and the responsibilities stated therein. If at any
point in time I am not able to fulfill my responsibilities,I will immediately notify the Eagle County Public
Health,Well and Wise Program staff. As a Contractor,I understand and agree to all deliverables stated
above,as well as the deliverable date. As a Contractor,I agree to this as an addendum to our already
signed contract.
