HomeMy WebLinkAboutC14-172 Campbell-Hill Aviation Group LLC Second Amendment SECOND AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND CAMPBELL-HILL AVIATION GROUP, LLC THIS SECOND AMENDMENT ("Second Amendment") is effective as of the 27th day of March, 2014 by and between Campbell-Hill Aviation Group, LLC (hereinafter "Consultant") and Eagle County, Colorado, a body corporate and politic (hereinafter"County"). RECITALS WHEREAS, County and Consultant entered into an agreement dated the 26th day of March, 2013, for certain Services (the "Original Agreement"); and WHEREAS, the Original Agreement contemplated that the Consultant would perform certain Services with compensation in an amount not to exceed $50,000.00; and WHEREAS, County and Consultant expanded the scope of Services and compensation under a First Amendment to the Original Agreement, dated the 3`d day of March, 2014, with compensation in an amount not to exceed $20,000.00, for total compensation under the Original Agreement and the First Amendment in an amount not to exceed $70,000.00; and WHEREAS, the parties desire to extend the term of the Original Agreement for an additional year as set forth herein so that Consultant can complete the Services under the First Amendment, and perform the Services described herein. SECOND AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The term of the Original Agreement is hereby extended to the 26th day of March, 2015 (the "Renewal Term"). 2. The Services to be performed during the Renewal Term are described on Exhibit A, attached hereto and incorporated herein by reference. 3. The compensation for the Services set forth in Exhibit A shall not exceed $50,000.00. 4. Capitalized terms in this Second Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of the Second Amendment conflict with, modify or supplement portions of the Original Agreement, the terms and provisions contained in this Second Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered,modified and changed in this Second Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This Second Amendment shall be binding on the parties hereto,their heirs, executors, successors, and assigns. Project Tasks Task 1: EGE International Air Service Feasibility Study This task will produce a text based document that includes the following: • Analytical review for EGE, ASE and both airports combined o International O&D passengers, fares and revenues o Routings to international destinations o Top O&D markets by airport, country and region for full year and individual quarters o Peer benchmarks on multiple air service criteria • Review and incorporation of data from both Vail Resorts and the Aspen Skiing Company • Identification of top international passenger source markets from non-aviation data sources • Identification and analysis of opportunities for new international air service • Collaboration with EGE financial consultant to determine financial feasibility of multiple scenarios for potential new international air service requiring customs facility Task 2: Airline Business Case Evaluation and Route Forecasts Based on the results of the domestic and international air service studies, discussions with the Airport and community stakeholders and airline interest, certain new air service opportunities will be further analyze and researched. A more comprehensive business case will be developed and route forecast will be produced for presentation to candidate airlines. The route forecast(s) will include a specific schedule and aircraft type, routing, identification of connecting markets, QSI-based calculation of share in local and connecting markets, onboard load factor and projected onboard revenue. Task 3: Ad-hoc Research and Analysis Campbell-Hill will respond to Airport requests for ad-hoc air service related research and analysis. Potential services could include, but are not limited to: A-1 • Participation and presentation development for air service development conferences including but not limited to ACI-NA JumpStart, World Routes and Routes Americas • Schedules analysis and benchmarking • Load factor reports • O&D passenger reports • Talking/bullet points for community speeches, presentations or press releases • Route or service maps for internal EGE use • Discussion of industry developments and potential impact at EGE (e.g., airline mergers, fleet acquisitions or retirements, bilateral or open skies discussions, etc.) • Air service related presentations at Airport, County or community meetings • Any additional services or data requests not previously identified B.
