HomeMy WebLinkAboutC14-164 Aquatics Associates First Amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY,COLORADO AND AQUATICS ASSOCIATES, INC. THIS FIRST AMENDMENT(`First Amendment")is effective as of the Aay of ,2014 by and between Aquatics Associates, Inc.,a Colorado Corporation (hereinafter"Contractor")and Eagle County, Colorado,a body corporate and politic(hereinafter "County"). RECITALS WHEREAS,County and Contractor entered into an agreement dated the 13th day of May,2013, for certain Services(the"Original Agreement");and WHEREAS,the Original Agreement contemplated that the Contractor would perform certain Services with compensation in an amount not to exceed $7,300; and WHEREAS,the term of the Original Agreement expires on the 13th day of May,2014,and the parties desire to extend the term for an additional year on the terms and conditions set forth herein. FIRST AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below,the parties agree as follows: 1. The Original Agreement shall be amended to extend the term to the 13th day of May, 2015 (the"Renewal Term"). 2. The Services to be performed during the Renewal Term are described on Exhibit Al attached hereto and incorporated herein by reference. 3. The compensation for the Services set forth in Exhibit Al shall not exceed$7,500. 4. Capitalized terms in this First Amendment will have the same meaning as in the Original Agreement.To the extent that the terms and provisions of the First Amendment conflict with,modify or supplement portions of the Original Agreement, the terms and provisions contained in this First Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered,modified and changed in this First Amendment,all terms and provisions of the Original Agreement shall remain in full force and effect,and are hereby ratified and confirmed in all respects as of the date hereof. Box 850 Gypsum, CO 81637 Ron.Siebert@eaglecountv.us From: Tami Schneck Sr.Aquatic Biologist tami@aquaticsassociates.com SUBJECT: Freedom Park Pond and Eagle River Preserve Pond—Seasonal Maintenance This is an updated cost proposal for 2014 (Exhibit A of agreement dated May 13, 2013). The total cost was increased slightly to$7,500 NTE (vs. $7,300 in 2013)which reflects 2014 product pricing. Labor and expenses have not changed from the rate schedule provided for the 2013 agreement. A current insurance cert is also attached. For the Freedom Park Pond,we recommend that you have a budget of$4,700 Not-to-Exceed for seasonal maintenance of the Freedom Park Pond. This cost is $200 higher than 2013 which reflects increases in product pricing for 2014. For the Eagle River Preserve Pond, we recommend that you have a budget of $2,800 Not-to- Exceed for seasonal maintenance of the Eagle River Preserve Pond system. This cost is the same as 2013. The scope of work remains the same as follows. AAI will provide seasonal aquatic vegetation control for the ponds at Freedom Park(FP)and the Eagle River Preserve(ERP)in Edwards, CO as requested. The two ponds would be maintained for the entire growing season from —late May through September time frame depending on weather conditions. Seasonal maintenance will include regular site visits through the growing season (at 3-4 week intervals) with chemical treatments performed on an as needed basis, which is the most cost-effective way to properly manage algae and weed growth so that growth never gets"out of hand". We are familiar with the maintenance needs and costs of the Freedom Park Pond having performed this work for Eagle County for the past seven years (2007-2013) and the Eagle River Preserve Pond in 2013 (first year).
