Between
Northwest Colorado Council of Governments (NWCCOG) and
Eagle County Government
Subject: Coordinated Para-Transit Scheduling Software Partnership
The purpose of this Memorandum is to set forth the general understanding between
Northwest Colorado Council of Governments (NWCCOG) and
Eagle County Government ("Agency") (referred to together as the "Parties") regarding
their respective roles and responsibilities and any assumptions tied to the NWCCOG
One-Call, One-Click Center project.
NWCCOG, Agency and other transit partners are working together to bring improved
transportation coordination and transit service to passengers in the area as a result of
the implementation of a regional One-Call, One-Click Center. Stakeholders of the area
are currently working together to identify their partner roles and responsibilities as a
member of the Regional Transportation Coordinating Council. Agency agrees to remain
a stakeholder of the RTCC and retain the option to become a "virtual agent" with the
RTCC for reservations and scheduling functions.
The parties agree to and understand the following as they relate to the Northwest
Colorado Council of Governments:
• NWCCOG procured an agreement with RouteMatch Software, Inc. to provide,
install, test, and support RouteMatch Demand, Mobile Data Terminals and
Automatic Vehicle Location Equipment as outlined in the Assignment of Rights
and Assumptions of Obligations Under the Software License and Services
Agreement to the Agency to be utilized on Eagle County's vehicles to enhance
their current transit operations and to participate in the coordination activities of
the future NWCCOG One-Call, One-Click Center, currently under development
and implementation.
• NWCCOG will provide for full payment for the above listed products and services
with the exception of those items outlined in the Agreement between Eagle
County, Colorado and RouteMatch Software Inc.

Further, the parties agree to and understand the following as they relate to Eagle
County:
• Agency will commit to providing a contribution to NWCCOG in the amount of the
local match requirement for the purchase of RouteMatch Demand and all related
hardware, software, and other equipment and services not to exceed $7,150.
Payment will be made in full at the time of execution of this agreement.
• Agency will commit to fully utilizing the installed MDC/AVL equipment and
corresponding software applications to be used as a tool to increase operational
efficiency, increase responsiveness to transportation consumers and enhance
customer service, increase reporting accuracy, and look for opportunities to
increase coordination activities; all goals of the NWCCOG One-Call, One-Click
Center.
• Agency will commit appropriate staff for initial project planning, project
conference calls and training for the MDC/AVL equipment. This training will
involve agency staff at various positions, at various times, to include managers,
dispatchers, schedulers, drivers, and any other identified staff needed to support
the MDC/AVL implementation. Agency staff will continue to be available during
the pilot phase of the project and commit to working with and collaborating with
NWCCOG and RouteMatch Software.
• Agency will be responsible for purchasing additional components as outlined in
the Agreement between Eagle County, Colorado and RouteMatch Software Inc.
• Agency will keep NWCCOG mobility management staff apprised of any ongoing
concerns over the quality of the RouteMatch Demand software functions/product
or the need for excessive calls to their customer support help desk.
• Agency will be diligent in following the manufacturer's instructions on the use
and care of any installed equipment and will maintain the equipment as
instructed, fully utilizing any support services or warranties provided during the
pilot project. Agency will report any equipment failures, warranty service and
maintenance records to NWCCOG upon request.
• Agency will cooperate with functions or activities that are impacted by the use of
the MDC/AVL equipment including coordination, project evaluation and reporting.
• Agency will assist other NWCCOG Regional Transportation Coordinating Council
members in training and support as they implement RouteMatch software and
join into the coordination project.
