Eighth Amendment EIGHTH AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY, COLORADO AND KRW CONSULTING, INC. r T S EIGHTH AMENDMENT ("Eighth Amendment")is effective as of the l�� day of , 2014 by and between KRW Consulting,Inc., a Colorado corporation (he einafter"Engineer"or"Consultant") and Eagle County, Colorado, a body corporate and politic (hereinafter"County"). RECITALS WHEREAS, County and Consultant entered into a Master Agreement for Professional Engineering Services dated the 21St day of February 2012, for certain Services (the"Original Agreement"); and WHEREAS,County and Consultant desire by this Eighth Amendment to expand the scope of Services and compensation as set forth in the Original Agreement. EIGHTH AMENDMENT NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as set forth below, the parties agree as follows: 1. The Original Agreement shall be amended to include the additional Services set forth in Exhibit 1,which is attached hereto and incorporated herein by reference. 2. Consultant shall complete the scope of work for the additional Services set forth in Exhibit 1 within eight (8) weeks of receipt a Notice to Proceed from the County's designated Project Manager. 3. The compensation for the additional Services set forth in Exhibit 1 shall not exceed $5,210.00 or a total maximum compensation under the Original Agreement and this Eighth Amendment of$426,269.00. 4. Capitalized terms in this Eighth Amendment will have the same meaning as in the Original Agreement. To the extent that the terms and provisions of this Eighth Amendment conflict with,modify or supplement portions of the Original Agreement, the terms and provisions contained in this Eighth Amendment shall govern and control the rights and obligations of the parties. 5. Except as expressly altered,modified and changed in this Eighth Amendment, all terms and provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified and confirmed in all respects as of the date hereof. 6. This Eighth Amendment shall be binding on the parties hereto,their heirs, executors, successors, and assigns. (KRW)is pleased to present this Scope of Work and Cost Estimate proposal for your review and consideration as it relates to the Eagle County(County)Closed Landfill Solar Photovoltaic (pV)Pn/jectie �hpme�cdonofa�nboenBneednof�m�topruvdedeyignexpe�ise,ingaUabon . , engineering provide experience and to assist with pre-construction services Proposal Specifics This proposal is based upon the County's desire to install a 200 MW to 250 MW solar PV array on the closed(Wolcott) landfill that will be compatible with an anticipated landfill gas extraction(LFGE)system that may be required at some point in the future In addition the solar array will be compatible with and in compliance with Colorado Department of Public Health and Environment(CDPHE)regulations and requirements,e.g.,subsurface penetrations, panel footing design,stormwater controls,etc. 1. Request for Qualifications(RFQ) • Create RFQ to procure an electrical/civil engineering firm with solar array design and installation experience to act as a partner with County and KRW to assist with pre-construction services. • Publish and solicit RFQ through various resources. 2. RFQ Evaluation and Engineering Firm Selection • Work with Eagle County Project Team to evaluate RFQ responses and select electrical/solar engineering firm mutually agreeable to KRW and County. The attached cost estimate is based upon the assumptions stated and our understanding of the project requirements and deliverables. All services provided by KRW will be billed on a time and materials basis. We will not exceed the estimated amount without justification and proper authorization by Eagle County.
