AGREEMENT BETWEEN EAGLE COUNTY
AND VVMC DIVERSIFIED SERVICES
d/b/a EAGLE CARE MEDICAL CLINIC
FOR THE PROVISION OF PRENATAL HEALTH CARE SERVICES
This Assignment("Assignment")is signed the /01)day of ai UV' , 2014 and is
effective as of February 27, 2014 (the"Effective Date").
RECITALS
WHEREAS, Eagle County, Colorado entered into an Agreement dated November 19, 2013
with VVMC Diversified Services d/b/a Eagle Care Medical Clinic("Eagle Care Medical
Clinic")to provide prenatal health services (hereinafter the "Agreement"); and
WHEREAS, on the Effective Date,Eagle Care Medical Clinic desires to assign its rights and obligations
under the Agreement to Mountain Family Health Centers ("MFHC"), a nonprofit Colorado corporation,
and MFHC desires to assume Eagle Care Medical Clinic's rights and obligations under the Agreement.
ASSIGNMENT
NOW,THEREFORE, in consideration of the foregoing and the promises set forth herein the
parties agree as follows:
1. Eagle County hereby consents to the assignment of the Agreement by Eagle Care
Medical Clinic to MFHC. Eagle Care Medical Clinic shall be and is hereby discharged
from any and all obligations and any liability associated with the Agreement from and
after the Effective Date. MFHC does hereby agree to assume all rights and obligations of
Eagle Care Medical Clinic under the Agreement from and after the Effective Date.
2. Eagle Care Medical Clinic shall submit a final invoice under the terms of the Agreement
for Clients served during the Period from January 1, 2014 through February 26, 2014.
Thereafter, the remaining balance (amount left after payment to Eagle Care Medical
Clinic) of the not to exceed amount set forth in paragraph III A of the Agreement shall be
available to, and MFHC may submit invoices, for eligible Clients for the period from the
Effective Date through December 31, 2014. In no event shall MFHC exceed the
remaining balance.
3. Any terms not defined in this Assignment shall have meanings set forth in the
Agreement.
4. The Agreement shall remain in full force and effect except as modified by this
Assignment.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement the day and year
first set forth above.
