FIRST AMENDMENT TO AGREEMENT BETWEEN
EAGLE COUNTY, COLORADO
AND
VISION SECURITY,LLC
,THIS FIRST AMENDMENT("First Amendment")is effective as of the I IM� day of
IMO'T y) , 2014 by and between Vision Security a Colorado limited liability company(hereinafter
"Consultant"or"Contractor") and Eagle County, Colorado, a body corporate and politic •
(hereinafter"County").
RECITALS
WHEREAS,County and Consultant entered into an agreement dated the 21st day of May,2013,
for certain Services (the"Original Agreement"); and
WHEREAS,the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed$26,699.00; and
WHEREAS,County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
1. The Original Agreement shall be amended to include additional Services as described
in Exhibit Al, concerning Low voltage,Non-Life Safety, Intercom Work which is
attached hereto and incorporated herein by reference.
2. The compensation for the additional Services will be at the hourly rate set forth in
Exhibit Al and shall not exceed$10,000.00 or a total maximum compensation under
the Original Agreement and this First Amendment of$36,699.00.
3. Capitalized terms in this First Amendment will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the First
Amendment conflict with,modify or supplement portions of the Original Agreement,
the terms and provisions contained in this First Amendment shall govern and control
the rights and obligations of the parties.
4. Except as expressly altered,modified and changed in this First Amendment, all terms
and provisions of the Original Agreement shall remain in full force and effect, and are
hereby ratified and confirmed in all respects as of the date hereof
5. This First Amendment shall be binding on the parties hereto,their heirs, executors,
successors, and assigns.

Per your request, following is the revised Vision Security Fee Schedule that has been updated to include
Low Voltage,Non-Life Safety and Intercom work.
Vision Security's Fee Schedule:Revised February 10,2014
Commercial Fire Alarm Monitoring: $30 per month, includes daily timer testing.
Commercial Fire Alarm Service: $110 per hour.
Commercial Fire Alarm After Hours Service: $165 per hour
Security Alarm Monitoring: $25 per month, includes weekly timer testing and monthy activity
reporting.
Security Alarm Service: $95 per hour.
Security Alarm After Hours Service: $142.50
Low Voltage,Non-Life Safety,Intercom Work:$95 per hour.
Alarm Monitoring billing is generated on a quarterly basis and is due in advance. Service billing is
generated on a monthly basis and is due upon receipt. Vision Security will be happy to tailor terms that
suit Eagle County's financial procedures.
Vision Security makes every effort to work with our clients to minimize service costs wherever and
whenever possible. For example, Vision Security can combine service calls whenever possible to
_reduce expenses. If desired, Vision Security can provide basic system training to specified personnel.
When your personnel has some basic knowledge of system operation,basic troubleshooting can often
eliminate the need for a service call.
