TIIIS SECOND ADDENDUM (-Second Addendum") is entered into this day
of rn _.._ , 2014 by and between GOVERNMENT TECHNOLOGY SYSTEMS,
LLC, a Colorado Limited Liability Company (hereinafter"Contractor'`) and Eagle County,
Colorado, a body corporate and politic (hereinafter"County").
RECITALS
WHEREAS, County and Contractor entered into an agreement dated the 22nd day of September
2006 for certain Services. whereby the County agreed to pay Consultant an amount not to exceed
$25.00 for each foreclosure filed through Contractor's System the -Original Agreement"): and
WHEREAS,the County and Contractor entered into an Addendum to the Original Agreement
dated the 1 8th day of May, 2010, whereby the County agreed to pay Contractor an amount not to
exceed $45.00 for each foreclosure filed through Contractor's System (the "First Addendum");
and
WHEREAS,AS, County and Contractor desire by this Second Addendum to expand the
compensation as set forth in the Original Agreement and the First Addendum.
SECOND ADDENDUM
NOW TI IEREFORE , in consideration of the foregoing and the mutual rights and obligations as
set forth below, the parties agree as follows:
The first sentence of Article 1I[, Section 3.1 of the Original Agreement shall be
deleted and replaced with the following:
The PT will pay a fee not to exceed $65.00 to GTS for each foreclosure tiled with
the PT through the System.
2. Capitalized terms in this Second Addendum will have the same meaning as in the
Original Agreement. To the extent that the terms and provisions of the Second
Addendum conflict with, modify or supplement portions of the Original Agreement,
the terms and provisions contained in this Second Addendum shall govern and control
the rights and obligations of the parties.
3.. Except as expressly altered, modified and changed in this Second Addendum, all
terms and provisions of the Original Agreement shall remain in full force and effect,
and are hereby ratified and confirmed in all respects as of the date hereof.
4, 'I his Second Addendum shall be binding on the parties hereto, their successors and
assigns.
IN WITNESS WHEREOF,the parties hereto have executed this Second Addendum to the
Original Agreement the day and year first above written,
