MEMORANDUM OF UNDERSTANDING
between
Vail Valley Medical Center
and
Eagle County,Colorado
This Memorandum of Understanding ("MOU') is made the 6th day of February,2014 by
and between Vail Clinic,Inc. doing business as the Vail Valley Medical Center
(hereinafter"VVMC") and Eagle County,Colorado a body corporate and politic
(hereinafter"County") or collectively the "Parties".
1. This MOU is intended to establish a coordinated and cooperative response by the
Parties in the event of an emergency.This MOU is not intended to have any legal effect
and is not intended to be legally binding.This MOU does not impose legal obligations on
either party.
2. The Vail Valley Medical Center's Emergency Management Program is designed
to preserve the hospital's operational mission capabilities during emergency and disaster
situations.The Vail Valley Medical Center strives to maintain appropriate preparedness
and response capabilities so as to continue the necessary provision of services and care to
patients regardless of the emergency or disaster.Through a hazard vulnerability
assessment of the potential emergencies that may occur within Eagle County,the services
and/or resources of Eagle County have been identified as critical for disaster response and
recovery operations that may need to occur within the Vail Valley Medical Center or any
of its ancillary facilities.
3. This MOU confirms the understanding of the Parties that in case of emergency or
crisis,Eagle County will provide the following items to VVMC if requested and
available:
• One Hospital Surge Capacity Trailer and any contents therein; and
• Such other items as deemed necessary for incident response and/or recovery
4. This MOU is not intended to suggest a donation by County of the foregoing
items,but a business relationship for a coordinated response and to address emergency
needs. As a result,it is the intention of VVMC to compensate County for all equipment,
materials,products and services utilized by VVMC and provided by County in an
emergency.Eagle County will direct bill VVMC for the actual cost of all equipment,
materials,products and services rendered.
5. The parties recognize that County is a governmental entity and cannot make any
financial obligations without a budget and appropriation by the Board of County
Commissioners.
6. In case of an emergency,County has provided the following names and numbers
to provide 24-hour access to the above referenced services / resources if the same
available:
• Eagle County Emergency Management(through Vail Dispatch)970-479-2201
7. In case of an emergency,VVMC has provided the following names and numbers
for 24-hour access and coordination with County:
• VVMC Administrator on Call,970-476-8862 or 970-476-2451
8. All other notice or communication under this MOU shall be as follows:

9. Eagle County shall safeguard the use of and access to information regarding any
elements of an emergency situation involving the Vail Valley Medical Center.It is
mutually agreed to not use the name of the other entity in any public information without
advance permission of the other. Notwithstanding the foregoing,VVMC acknowledges
that County is a public entity and may have an obligation to disclose information in
accordance with a court order or the Colorado Open Records Act. Disclosure pursuant to
a court order or the Colorado Open Records Act shall not be a violation of this MOU.
10. Any changes within either entity that could impact the ability of either party to
participate or perform under this MOU will be conveyed to the identified contacts as soon
as possible. All significant communications between the Parties shall be made as set
forth above.
11. This MOU may be amended at any time by signature approval of each entities'
respective designees.
12. Either entity may withdraw at any time from this MOU,by transmitting a signed
statement to that effect to the other entity. This MOU will be considered terminated
thirty (30) days of delivery of such notification.
