KRW Consulting,Inc.("Engineer")and Eagle County,Colorado("County")are parties to a
Master Agreement for Professional Engineering Services dated the 21st day of February 2012
("Agreement')and wish to amend the Agreement as follows:
A. Engineer has agreed to perform the Services set forth in Exhibit 1,which is attached
hereto and incorporated herein by reference.The Services set forth in Exhibit 1 shall be
performed in accordance with the terms of the Agreement.
B. Engineer has agreed to perform the services in Exhibit 1 by December 31,2014.
C. The compensation for said Services shall be billed in monthly progress payments in
accordance with the Agreement in an amount not to exceed$74,993.

D. In the'event of any inconsistency between the terms and conditions in the Agreement and this
Seventh Amendment;the Agreement shall control.In the event of any inconsistency between the
terms and conditions of the Agreement, Seventh Amendment and any exhibit,the terms of the
Agreement and Seventh Amendment shall contn)L Except.as expressly amended or modified
herein,the Agreement shall remain unmodified and in full force and effect
