PROJECT MEMORANDUM OF AGREEMENT

Type of Work: The project is to include preliminary engineering, construction and
construction engineering for the reconstruction of Red Dirt Bridge on Eagle County
Route 301. The bridge is currently one lane and 16 feet wide. The proposed project will
widen the bridge to two 12 feet lanes, with 4 feet shoulder to accommodate two-way
traffic.
This Agreement does not obligate(commit to)the expenditure of Federal funds nor does
it commit the parties to complete the project. Rather, this Agreement sets forth the
respective responsibilities as the project proceeds through the project development
process.
Parties to this Agreement: Eagle County(EC), Bureau of Land Management (BLM),
and Central Federal Lands Highway Division(CFLHD).
The Program Decision Committee approved this project on August 26, 2013.

A. PURPOSE OF THIS AGREEMENT
This Agreement documents the intent of the parties and sets forth the anticipated
responsibilities of each party in the development, construction, and future maintenance of
the subject project. The purpose of the Agreement is to identify and assign
responsibilities for the environmental analysis, design, right-of-way,utilities, acquisition
and construction as appropriate for this programmed project, and to ensure maintenance
of the facility for public use if improvements are made. The parties understand that any
final decision as to design or construction will not be made until after the environmental
analysis required under the National Environmental Policy Act(NEPA) is completed
(this does not prevent the parties from assigning proposed design criteria to be studied in
the NEPA process.) Any decision to proceed with the design and construction of the
project will depend on the availability of appropriations at the time of obligation and
other factors such as issues raised during the NEPA process, a natural disaster that
changes the need for the project, a change in Congressional direction, or other relevant
factor.
If Fed ral Lands Access Program (FLAP) funds are used for the development or
cons ction of this project,Eagle County, Colorado agrees to provide a matching share
equal o 17.21% of the total cost of the project, as detailed more fully in Section J below.
I:. AUTHORITY
This greement is entered into between the signatory parties pursuant to the provisions
of 23 .S.C. 204.
. JURISDICTION AND MAINTENANCE COMMITMENT
Ea!le Coun Colorado has jurisdictional authority to operate and maintain the existing
facilit and will operate and maintain the completed project at its expense.
I . FEDERAL LAND MANAGEMENT AGENCY COORDINATION
Eagle County, Colorado has coordinated project development with the Bureau of Land
Management The Bureau of Land Management support of the project is documented
in the Original project application. Each party to this agreement who has a primary role
in NEPA, design, or construction shall coordinate their activities with the Bureau of
Land Management.

E. PROJECT BACKGROUND/SCOPE
Located approximately 15.6 miles northeast of Dotsero, Colorado, Red Dirt Bridge is
located on Colorado River Road(CR 301)near the intersection with Red Dirt Road.
Colorado River Road provides access to public land and recreation including BLM
(Catamount Bridge Access), USFS (White River National Forest and Flat Tops
Wilderness), and the Colorado River, including multiple boat launch sites. It also is an
important emergency alternative route for US 131 (Steamboat Springs), US 6, and I-70.

PROJECT SCOPE:
The project includes the reconstruction of the Red Dirt Bridge which is on Colorado
River Road at approximately Milepost 15.6. Colorado River Road runs from Dotsero
adjacent to the Colorado River to SH 131. The County recently completed a similar
bridge downstream, 3-Islands Bridge, and has two other bridges on Colorado River Road
across the Colorado River in design upstream of this project, Catamount and Burns,
Bridges. The bridge is parallel to a Union Pacific Railroad Bridge immediately upstream.
There is a private driveway access on the south side of the bridge (east side of road) and
Red Dirt Creek Road, a public access, on the north side of the bridge (west side of the
road).
In addition to this Agreement, other agreements may be entered into between CFLHD
and Eagle County. Specifically, the Catamount Bridge Project may be combined with
the Red Dirt Bridge project, and delivered by CFLHD as one project. The Catamount
project will not be funded by FLAP funding, but through Eagle County with local, state
or other federal funding acquired by Eagle County. Given the possibility multiple
funding sources, extensive financial management will be required to account for specific
project cost(s). If this action is agreed upon, by both parties, an additional Reimbursable
Agreement will be executed specifically for that scope.

Bridg•. The existing 200 foot long 5-span steel bridge was constructed in the 1945. The
existi g bridge is a single lane 16 foot wide bridge. The proposed bridge will likely be a
3-span concrete bridge with a cross section of two 12 foot lanes with 4 foot wide
shoulders and appropriate bridge rails. The overall length of the bridge will depend on
the final alignment of the roadway/location of the bridge,but will likely be slightly
longer than the existing bridge. An identical width bridge(Burns Bridge)under design
by the County has a cross section of four BT-54 girders with 9'-4" spacing.

Road The project will be designed to Eagle County standards which classify this as a
major rural collector. County Standards refer to AASHTO. The ADT on the roadway is
less than 400 vehicles. The existing posted speed limit is 35 mph. Any transition curves
for the roadway should be designed to a 35 mph design speed at a minimum.

Specific areas of concern or areas of required work by functional discipline are as
follows:
Right of Way
Eagle County has a lease/agreement with Bureau of Land Management for full access
within the area. The railroad was constructed in the 1930's and there is right of way
documentation from 1934 granting a roadway easement adjacent to the railroad. This
agreement and limits of the easement and any need for a new easement or railroad
agreement needs to be better understood. There is also potential for a small private
individual acquisition.
Utilities
No utilities were identified within the roadway limits. There are utilities parallel
and within the railroad corridor, but they all appear outside of all project limits for
this project. (The county is investigating a possible irrigation in-take along the
river).
Environment and Permits
A Categorical Exclusion is anticipated for this project. A 404 permit will be
required for impacts to the wetlands adjacent to the river.
Survey
A full survey is required including hydraulic cross sections upstream and downstream of
the bridge.
Geotechnical
Field investigation will be required for foundation selection and design
recommendations. Assuming a 3-span bridge, a minimum of 5 borings to a depth of 50
to 100 feet are anticipated. The center boring would require drilling through the deck and

possibly a full road closure during the drilling effort due to lack of width for open lane on
the bridge.
Bridg /Highway Design
The e isting roadway alignment to the north is constrained by a tall vertical rock slope on
the w st side. The southwest side of the road is constrained by the river and the existing
bank. 'In this area roadway slopes are steep and drop off quickly. The east side of the road
is constrained to the east by the Union Pacific Railroad. It appears the roadway alignment
will n ed to shift west anywhere from 4 feet to 12 feet depending on the potential to close
Count Road 301 during construction. The final roadway alignment could impact the
numb r of girders for staging purposes.
Pave ents
A 4 to 6 inch thick new asphalt layer is assumed for the bridge approaches. In general
the existing pavements are in fair condition and there may be opportunity for recycling of
existing pavement as base course or for milling with a new top lift.
Hydr ulics
A full ydrologic/hydraulic model of the new bridge crossing will be required, along with
a full scour analysis. The recently completed analysis for the downstream 3-Islands
Bridg and upstream Burns Bridge will be helpful is setting the analysis.
Traf Control
If Co ty Road 301 were closed at Red Dirt Bridge the detour would be via I-70 to
Wolcott, then via SH 131 To Colorado River Road. It is 45 miles from Dotsero at
I-70 to SH 131/Colorado River Road. There are a few properties north of the Red
Dirt 'dge on Colorado River Road, but the majority are closer to SH 131. The
longe detour would be in the 50-60 mile range. The ability to close County Road
301, e en for a couple weeks, would enable the roadway alignment/bridge location
to match closest to existing.
Construction Package
The County is nearing an advertisement package for the Burns Bridge, and is near a 30%
design for the Catamount Bridge. There would be significant economies of scale if one
constriction package inclusive of all three bridges were advertised and awarded. All pre-
cast bridge girders would come from the Denver area. The bridges are similar designs
and one contractor would eliminate multiple contractor scenarios and provide flexibility
in constructing and sequencing the projects

Figures are estimated from assumption in the original Application, Scoping
Report, and Project Delivery Documents. Cost(s) are subject to escalation
increases, depending on formal programming year.

1.1. MATCHING SHARE REQUIREMENTS
Matching or cost sharing requirements may be satisfied following the obligation of funds
to the project by: allowable costs incurred by the State or local government, cash
donati Ins, the fair and reasonable value of third party in-kind contributions (but only to
the ex ent that the value of the costs would be allowable if paid for by the party
respo sible for meeting the matching share), including materials or services; however no
costs s r value of third party contributions may count towards satisfying the matching
share equirements under this agreement if they have or will be counted towards meeting
the m.tching share requirements under another federal award.
Costs :nd third party contributions counting toward satisfying a cost sharing or matching
requirement must be verifiable from the records of the party responsible for meeting the
match ng requirements. The records must demonstrate how the value of third party in
kind contributions was derived. Voluntary services sought to be applied to the matching
share ill be supported by the same methods that the party to this agreement uses to
suppo allocability of personnel costs. Any donated services provided by a third party
will b; valued at rates consistent with those ordinarily paid by employers for similar work
in the .ame labor market. Supplies furnished will be valued at their market value at the
time o donation. Donated equipment or space will be valued at fair rental rate of the
equip ent or space. All records associated with valuations or costs under section K shall
be ace-ssible and be maintained for three years following project close-out.
A Rei bursable Agreement (RA) will be executed to commit the match contribution

and initiate project delivery for CO FLAP 301(1) Red Dirt Bridge. The CFLHD is
limited to recovery of the matching share of actual costs incurred, as reflected in the
invoice provided by the CFLHD. The CFLHD shall bill for matching funds on a
monthly basis, for incurred cost(s) per month.
The CFLHD shall not incur costs which result in matching funds exceeding the
maximum cost stated in the Reimbursable Agreement without authorization by Eagle
County in the form of written modification.

L. CHANGES/AMENDMENTS/ADDENDUMS
The agreement may be modified, amended, or have addendums added by mutual
agreement of all parties. The change, amendment, or addendum must be in writing and
executed by all of the parties.
The types of changes envisioned include,but are not limited to, changes that significantly
impact scope, schedule, or budget; changes to the local match, either in type or
responsibility; changes that alter the level of effort or responsibilities of a party. The
parties commit to consider suggested changes in good faith. Failure to reach agreement
on changes may be cause for termination of this agreement.

A change in the composition of the project team members does not require the agreement
to.be amended.
It is the responsibility of the project team members to recognize when changes are needed
and to make timely notification to their management in order to avoid project delivery
delay

N. TERMINATION
This eement may be terminated by mutual written consent of all parties and 30-day
calen r notice. This agreement may also be terminated if either the NEPA process or
fundi g availability requires a change and the parties are not able to agree to the change.
Any termination of this agreement shall not prejudice any rights or obligations accrued to
the parties prior to termination. If Federal Access funds have been expended prior to
termination, the party responsible for the match agrees to provide a match in the
applicable percentage of the total amount expended on the project prior to the
termination.
