This Agreement to Amend and Extend("Agreement to Amend") amends the Contract dated
September 19,2013 ("Contract") between The Piney Valley Ranches Trust, ("Seller") and Eagle
County,Colorado, ("Buyer") relating to the purchase and sale of land and sale of conservation
easement for the following legally described real estate in the County of Eagle, Colorado:
Horn Ranch Property as more fully described in Exhibit A to the Contract("Property").
RECITALS
WHEREAS,there are multiple entities participating in the preservation of the Property including
Buyer, Seller, Great Outdoors Colorado and the Eagle Valley Land Trust; and
WHEREAS, the parties are working to ensure that the documents associated with the purchase
and preservation of the Property are acceptable to the Eagle Valley Land Trust and Great
Outdoors Colorado.
AMENDMENT
NOW THEREFORE, in consideration of the foregoing and for good and valuable consideration
as set forth in the Contract, the parties agree as follows:
1. Capitalized terms in this Agreement to Amend will have the same meanings as in the
Contract. To the extent that the terms and provisions of the Agreement to Amend conflict with,
modify or supplement portions of the Contract, the terms and provisions contained in this
Agreement to Amend shall govern and control the rights and obligations of the parties.
2. The Inspection Period set forth in paragraph 6 of the Contract shall be extended from
Midnight, Mountain Time,November 22,2013 to Midnight,Mountain Time,November 25,
2013.
3. All other terms and conditions of the Contract shall remain the same and in full force and
effect.
4. This Agreement to Amend may be signed in counterparts.
