EAGLE COUNTY, COLORADO
AND
CHRISTI COUCH FOR SENIOR EXERCISE CLASSES
THIS FIRST AMENDMENT ("First Amendment") is effective as of the .#`- day of
/la/ y , 2013 by and between Christi Couch, an individual with a mailing address of 101
Dakota Meadows Drive, Carbondale, CO 81623 (hereinafter"Consultant" or"Contractor") and
Eagle County, Colorado, a body corporate and politic (hereinafter"County").
RECITALS
WHEREAS, County and Consultant entered into an Agreement dated the day of
Am/4w , 20 /3 , for certain Services (the "Original Agreement"); and
WHEREAS,the Original Agreement contemplated that the Consultant would perform certain
duties with compensation in an amount not to exceed $5,700.00; and
WHEREAS,County and Consultant desire by this First Amendment to expand the scope of
Services and compensation as set forth in the Original Agreement.
FIRST AMENDMENT
NOW THEREFORE, in consideration of the foregoing and the mutual rights and obligations as
set forth below,the parties agree as follows:
1. Article I: Scope of the Original Agreement shall be deleted and replaced with the following:
A. The Exercise Specialist shall provide a senior-appropriate exercise class (the,
"Services") as set forth in Section B below.
B. Unless otherwise agreed upon by County,the Services shall be provided each
week during the term of this Agreement on the following days and times:
i. Provide a stretch class two times per week from 9:30a-10:30a on Tuesdays
and Thursdays at the El Jebel Community Center.
ii. Provide an aerobics class one time per week from 10:30a-11:30a on
Tuesdays at the El Jebel Community Center.
iii. Provide a Well and Wise class on Wednesdays 9:30a-10:30a at the El
Jebel Community Center
C. Contractor agrees that it will provide County with as much advanced notice as is
reasonably practicable whenever the Exercise Specialist will not be available on a particular date to
provide the Services.
2. Article III: Compensation, paragraph A of the Original Agreement shall be deleted and
replaced with the following:
A. Eagle County will pay the Contractor a fee of$20.00 per class she teaches, not to
exceed an annual amount of$5,700.00. Contractor shall submit monthly invoices to County for
Services provided during the prior month. Invoices will be paid through the County's usual bill
paying process within thirty(30) days of County's receipt of a complete and accurate invoice
from Contractor. Contractor shall provide County with supporting information as requested by
County.
3. Capitalized terms in this First Amendment will have the same meaning as in the Original
Agreement. To the extent that the terms and provisions of the First Amendment conflict with,
modify or supplement portions of the Original Agreement, the terms and provisions contained in
this First Amendment shall govern and control the rights and obligations of the parties.
4. Except as expressly altered, modified and changed in this First Amendment, all terms and
provisions of the Original Agreement shall remain in full force and effect, and are hereby ratified
and confirmed in all respects as of the date hereof.
5. This First Amendment shall be binding on the parties hereto,their heirs, executors,
successors, and assigns.
