ASSIGNMENT
OF
AGREEMENT BETWEEN EAGLE COUNTY
AND
EAGLE VALLEY ALLIANCE FOR SUSTAINABILITY

This Assignment("Assignment")is signed the day of (Jr -^I,ar, ,2013 and is
effective as of October 31,2013 (the"Effective Date").
RECITALS
WHEREAS, Eagle County,Colorado entered into an Agreement dated d
2013
with Eagle Valley Alliance for Sustainability("EVAS")to host and perform certain duties in
connection with the Energy Resource Center(hereinafter the"Agreement"); and
WHEREAS,on the Effective Date,EVAS.is transferring its assets to Walking Mountains, a
nonprofit Colorado corporation d/b/a Walking Mountains Science Center; and
WHEREAS,EVAS desires to assign its rights and obligations under the Agreement to and
Walking Mountains desires to assume EVAS's rights and obligations under the Agreement.
ASSIGNMENT
NOW,THEREFORE, in consideration of the foregoing and the promises set forth herein the
parties agree as follows:
1. Eagle County hereby consents to the assignment of the Agreement by EVAS to Walking
Mountains. EVAS shall be and is hereby discharged from any and all obligations and
any liability associated with the Agreement from and after the Effective Date. Walking
Mountains does hereby agree to assume all rights and obligations of EVAS under the
Agreement from and after the Effective Date.
2. Any terms not defined in this Assignment shall have meanings set forth in the
Agreement.
3. The Agreement shall remain in full force and effect except as modified by this
Assignment.
IN WITNESS WHEREOF,the parties hereto have executed this Agreement the day and year
