FIRST AMENDMENT TO AGREEMENT
BETWEEN
EAGLE COUNTY AND WAGNER EQUIPMENT, INC.
H S FIRST AMENDMENT ("First Amendment") is made and entered into this/
day of � `,,G , 2013, between Eagle County, Colorado a body corporate and politic
(hereinafter referred to as "County") and Wagner Equipment, Inc., a Colorado Corporation
organized and existing by virtue of the laws of the State of Colorado and with an office and
principal place of business at 2322 I-70 Frontage Road, Grand Junction, Colorado 81505
(hereinafter referred to as "Contractor").
WHEREAS, County and Contractor entered into an Agreement dated November 28,
2012, for certain on-call services related to scheduled service and preventive maintenance for the
emergency generator at the Eagle County Justice Center("Original Agreement"); and
WHEREAS, County and Contractor wish to extend the term of the Original Agreement
on the same terms and conditions as set forth in the Original Agreement.

NOW, THEREFORE, for good and valuable consideration the County and Contractor
agree to amend the Original Agreement as follows:
1. The term of the Original Agreement is hereby extended to November 28, 2014.
2. All terms and provisions of the Original A eement shall remain in full force and

effect during the modified term.
3. This First Amendment shall be binding on the parties hereto, their heirs,
executors, successors, and assigns.
