Contract of Commitment:
On behalf of my business, _ Eagle County Regional Airport ss name), I, Gregory S. Phillips _
(contact's name) am authorized to agree to the Vail ValleN,i Partnership's Business After Hours
Mixer Hosting Guidelines. I, _ Gregory S. Phillips (contact's name) agree to the Hosting
Guidelines and will host a Business After Hours Mixer on Thursday(,
October 10 , 2013 (month, day, and year of mixer) from 510 to 7:50 p.m. at
the airport terminal (location of mixer). By signing this contract I,
_ Gregory S. Phillips (contact's name), am responsible to host this mixer on the said
date and time, and cannot change the date or time or withdraw from hosting the mixer or
choose not to fulfill any other requirements of the Hosting Guidelines.
I, Gregory S. Phillips (contact's name), will be the main contact for the VVP's event
coordinator when planning and executing the above mixer.

Business After Hours Mixer
Hosting Guidelines
Thank you for your interest in hosting a Joint After Hours Business Mixer with the Vail Valley
Partnership (VVP). Mixers are a wonderful marketing opportunity for partners as they elevate
the host's presence in the Vail Valley business community. With average joint mixer attendance
of 40-50, the visibility your company will receive is immense. In addition to on-site visibility, the
Partnership actively promotes each mixer/host through local media outreach.
There must be at least 1 representative from the Joint Mixer Host at registration and check in.
Shall you choose to host a mixer; the following are guidelines the VVP asks all hosts to abide by:
Date and Time
• The joint mixer host will secure the time, date and location of the venue.
Venue Requirements
• The mixer host must show written proof that the intended venue has a maximum occupancy
of at least 70 people. If an outdoor venue is selected for a mixer, the host must have an
alternative, adequate space available on-site in case of inclement weather.
• The mixer venue has adequate, complimentary parking within a four (4) minute walk of the
venue, if not on-site.
• The venue must have adequate restroom facilities and trash receptacles.
• There must be a designated area for coat check at the mixer venue if needed.
• The host must provide a table and two (2) chairs at the entrance to the mixer for the
Partnership to register guests (an eight (8) foot table is preferable). The VVP will provide all
registration table supplies.
• The host is responsible for mixer preparation and breakdown.
• The mixer is not open to the public. Only members of the Partnership and the joint Chamber
organization members will be allowed to attend the mixer.
Costs
• The mixer host is responsible for the planning and expense of the mixer, including all food
and beverage expenses.
• The host is to provide food and beverages for up to 60+ people. Hearty appetizers, beer,
wine, water and additional non-alcoholic beverages are to be provided for the duration of
the mixer.
• The VVP will provide two (2) drink tickets to each mixer guest at the door.
• The mixer host must provide at least one giveaway. The giveaway(s), or a signed certificate
for the giveaway(s), should be available on-site for the winner(s) to take with them.
• Mixers may be co-hosted in order to share the associated costs. Please let the Event
Manager know all businesses involved.

Marketing Benefit
• The VVP will provide the host with copies of the business cards collected at the mixer, if the
host is a VVP member: Mixer hosts may use these contacts for follow-up direct marketing.
Hosts are not permitted to share the business cards with anyone outside of their business or
sell them under any circumstances.
• The Partnership will include the mixer in the News & Views weekly e-newsletter to the
organization's entire partnership at least twice before the event. Any further mixer
promotion, i.e. radio, television or eblasts, will be subject to opportunities presented by
these outlets to the VVP and are not guaranteed, but are possible.
• The mixer host will be given a two (2) minute opportunity to address event attendees and to
draw the giveaway winner(s).

ADDENDUM TO AGREEMENT FOR BUSINESS AFTER HOURS MIXER
HOSTING AGREEMENT BETWEEN VAIL VALLEY PARTNERSHIP AND,
EAGLE COUNTY,COLORADO
This Addendum is intended to supplement the Business After Hours Mixer Hosting
Agreement entered into between Vail Valle Partnership("VVP")and Eagle County,
Colorado(the"County")dated September 2.."' i 2013(the"Agreement")and shall be
binding in all respects as if included in said Agreement.
1. Expense of Mixer. In the event food and beverage vendors volunteer to provide
food and beverages adequate for all anticipated attendees for the duration of the mixer,
the County will not be responsible for providing food or beverages for the mixer. In the
event no food or beverage vendors volunteer to provide food and/or beverages for the
mixer,or such vendors do not provide an adequate quantity for all anticipated attendees
for the duration of the mixer,the County will provide food and/or beverages as needed.
2. TABOR. The County is a governmental entity and all obligations beyond the
current fiscal year are subject to funds being budgeted and appropriated. •
Notwithstanding anything to the contrary contained in this Agreement,no payment shall
be made for any services provided after December 31 of any year without prior approval
of a budget adopted in accordance with the provisions of Title 30,Article 25, C.R.S.,
Title 32,Article 1,C.R.S., and the Local Government Budget Law(Title 29,Article 1,
Part 1,C.R.S.).
3. Termination. Notwithstanding any provision to the contrary contained in the
Agreement,either party may terminate this Agreement,in whole or in part,for any
reason,with or without cause upon seven(7)days'written notice to the other,
4. Indemnification. VVP shall,to the fullest extent permitted by law,indemnify,
hold harmless and defend County and its officials,boards,officers,principals and
employees from all losses,costs,claims,damages and Iiabilities,including reasonable
attorney's fees and expenses for which County or any of its officials,boards,officers,
principals and employees may become subject to,insofar as any such losses,claims,
damages or liabilities arise out of,directly or indirectly,this Agreement or are based upon
any performance or nonperformance by VVP and VVP shall reimburse County for any
and all legal and other expenses incurred by it in connection with investigating or
defending any such loss,claim,damage,liability or action.
5. No Waiver of Governmental Immunity, The County shall have all protections
available to it under Colorado law and the County does not waive or intend to waive the
limitations on liability which are provided to it under the Colorado Governmental
Immunity Act,C.R.S. §24-10-101 at seq.
