AND COMMUNITY HEALTH SERVICES
FOR THE PROVISION OF PRENATAL HEALTH CARE SERVICES
THIS FIRST AMENDMENT ("Amendment") is made and entered into this day of At� 2013,
between Eagle County, a body corporate and politic(hereinafter referred to as "County") and Cunity
Health Services,Inc. a private non-profit Colorado corporation(hereinafter referred to as"Contractor").
WHEREAS, County and Contractor entered into an Agreement dated December 4, 2012 (Eagle
County Ref#C12-390) ("Original Agreement"); and
WHEREAS, County desires to modify the scope of work identified in the Original Agreement
and the compensation to be paid to Contractor; and
WHEREAS, the Contractor is willing to perform the revised scope of services under the same
terms and conditions of the Original Agreement and this Amendment.
NOW THEREFORE, in consideration of the terms and conditions of the Original Agreement
and this Amendment, the sufficiency of which is hereby acknowledged, County and Contractor agree that
this Amendment shall replace and supersede those section(s) of the Original Agreement as modified
herein.
1. Article I - SCOPE A. shall be modified to reduce services from 53 Clients to 40
Clients.
2. Article III— Compensation A. shall be reduced from an amount not to exceed$29,150
to an amount not to exceed $22,000 for the total cost of all Services under the
Original Agreement and this Amendment. Contractor shall not exceed $22,000,
absent an amendment signed by both parties.
3. County and Contractor agree that, except as expressly altered, modified and changed in this
Amendment, all terms and provisions of the Original Agreement shall remain in full force
and effect during the term, and hereby are ratified and confirmed in all respects as of the date
hereof.
4. If any conflict exists between the provisions this Amendment and the Original Agreement,
the provisions this Amendment shall control.
5. This Amendment shall be binding on the parties hereto,their heirs,executors, successors, and
assigns.
