THIS Lease Amendment is made and entered into this 1 day of ; 2013 between Eagle
County, by and through its Board of County Commissioners (hereinafter referred to as
"Landlord") and the Western Eagle County Metropolitan Recreation District, a quasi-municipal
corporation and political subdivision of the State of Colorado (hereinafter referred to as
"Lessee").
Landlord and Lessee entered into a Lease Agreement dated February 23, 1993 ("Original
Lease") for the property described as approximately 22 acres located at the Fairgrounds for the
construction of recreational fields and attendant improvements.
The Original Lease expires on September 30, 2013. Landlord and Lessee are desirous of
continuing said Lease for an additional twenty (20) year term pursuant to the terms of the
Original Lease and this Lease Amendment.
In consideration of the terms and conditions of the Original Lease, the sufficiency of which is
hereby acknowledged, Landlord and Lessee agree that this Amendment shall replace and
supersede the section of the Original Lease as stated hereunder.
WITNESSETH, Term,Fourth Paragraph shall be deleted in its entirety and replaced with the
following effective upon the execution of this First Amendment:
"TO HAVE AND TO HOLD the same for and during a term of Twenty(20) years commencing
upon the date of this Lease Amendment and expiring on July 23, 2033. Notwithstanding the
foregoing,Landlord may relocate the improvements elsewhere on the Fairgrounds property of
equal acreage during the term of this Lease at its expense and Lessee agrees to work
cooperatively with such relocation efforts."
Landlord and Tenant agree that, except as expressly altered, modified and changed in this
Amendment, all terms and provisions of the Original Lease shall remain in full force and effect,
and hereby are ratified and confirmed in all respects as of the date hereof.
If any conflict exists between the provisions of this Amendment and the Original Lease, the
provisions of this Amendment shall control.
This Amendment shall be binding on the parties hereto, their heirs, executors, successors, and
assigns.

above written.
