BETWEEN
EAGLE COUNTY, COLORADO
and
THE BOARD OF GOVERNORS OF THE COLORADO STATE UNIVERSITY SYSTEM
ACTING BY AND THROUGH COLORADO STATE UNIVERSITY FOR THE
BENEFIT OF CSU EXTENSION
This Memorandum of Understanding (MOU) is entered into by Eagle County, Colorado a body
corporate and politic acting by and through its Department of Health and Human Services
( "HHS ") and The Board of Governors of the Colorado State University System acting by and
through Colorado State University for the benefit of CSU Extension ( "CSU ").
PURPOSE
The purpose of this MOU is to define the working relationship between HHS and CSU in
providing services as outlined in the Colorado Department of Public Health and the Environment
Office of Health Disparities (OHD) grant.
RECITALS
WHEREAS, HHS wants to reduce health disparities in the Latino population of Eagle County
through healthy nutrition education; and
WHEREAS, CSU has represented that it has the expertise and skill to assist with this endeavor;
and
WHEREAS, HHS and CSU intend by this Agreement to set forth the scope of the
responsibilities of CSU in connection with the services (as defined below) and related terms and
conditions to govern the relationship between HHS and CSU in connection with the services.
UNDERSTANDING
NOW THEREFORE, the parties understand and agree as follows:
A. SERVICES PROVIDED BY CSU. CSU agrees to provide the following services (I
through IV) (hereinafter "Services "):
I. Coordinate ECO -TV Spanish language cooking show
a. Develop recipes /themes for each cooking show
b. Purchase food for cooking show
c. Work with media company to develop script
d. Include cooking, technique, and nutrition tips where appropriate
e. Work with ECO -TV Communications team to determine best schedule for filming
f. Mentor cooking show host in terms of nutrition education, food safety, and technique

g. Ensure appropriate equipment is available
h. Be on -site to film 12, 30- minute episodes
i. Ensure episodes begin airing on ECO TV in January 2013
II. Expanded Food and Nutrition Program ( "EFNEP "):
a. Ensure EFNEP educators are available
b. Provide curriculum and evaluation
c. Retain a copy of evaluation materials for Soy Sano's evaluator's purposes
III. Plant a Row (PAR) Campaign (A program of the Eagle County Department of Human
Services):
a. Work with Food Policy Council and PAR growers and volunteers to ensure food
safety
IV. Provide Monthly updates to Healthy Communities Unit/ Soy Sano Project Coordinator
B. TERM OF AGREEMENT.
This MOU is effective upon the last date of signature hereto and expires June 30, 2013. The
MOU may be amended or renewed upon mutual written agreement of the parties hereto. This
MOU may be terminated by either party, with or without cause, upon fifteen (15) days advance
written. In the event of such termination, CSU shall be compensated for all Services performed
prior to the date of termination.
C. COMPENSATION.
CSU will submit a report and invoice to HHS by the 5 of each month. The invoice will include
all costs associated with the OHD grant projects as defined above. Contracted amount may not
exceed $21,669 for the Term of the agreement. Invoices shall include monthly cost with
personnel, operating supplies. Payment will be by internal transfer from Health and Human
Services grant funds to the County Finance Department on behalf of CSU Extension. Total
contract amount of $21,669 includes the following costs:
Personnel: $ 15,053
EFNEP program supplies: $3,696
ECO -TV Cooking Show raw food: $1,917
ECO -TV Cooking Show kitchen supplies: $ 993

Notwithstanding anything to the contrary contained in this Memorandum of Understanding, HHS shall
have no obligations under this Memorandum of Understanding after, nor shall any payments be made for
any period after December 31 without an appropriation therefore by Eagle County in accordance with a
budget adopted by the Board of County Commissioners in compliance with Article 25, Title 30 of the
Colorado Revised Statutes, the Local Government Budget Law (C.R.S. § 29 -1 -101 et seq.) and the
TABOR Amendment (Colorado Constitution, Article X, Sec. 20).

E. APPLICABLE LAW. This MOU shall be subject to the laws of the State of Colorado,
and to the rules and regulations promulgated thereunder, whether now in force or
hereafter enacted or promulgated; and nothing herein shall be construed as in any way
affecting or waiving the jurisdiction, responsibility, or existing rights of any signatory
party to this MOU.
F. GOVERNMENTAL IMMUNITY. The parties shall be responsible to the fullest extent
allowed under the law for their own negligence, and the negligence of their employees
and authorized volunteers acting within the scope of their actual authority. It is expressly
understood and agreed that nothing contained in this Agreement shall be construed as an
express or implied waiver by either party of its governmental and sovereign immunities,
as an express or implied acceptance by either party of liabilities arising as a result of
actions which lie in tort or could lie in tort in excess of the liabilities allowable under the
Colorado Governmental Immunity Act, C.R.S. 24 -10 -101 et seq., as a pledge of the full
faith and credit of the State of Colorado, or as the assumption of any of the parties of a
debt, contract or liability of each other in violation of Article XI, Section 1 of the
Constitution of Colorado. The parties are liable for breach of contract in the same
manner as any private party would be under Colorado law under the same or similar
circumstances.
G. INDEPENDENT CONTRACTOR. It is expressly acknowledged and understood by the
parties hereto that nothing contained in this Memorandum of Understanding shall result
in, or be construed as establishing, an employment relationship between HHS and CSU.
CSU shall be, and shall perform as, independent contractors.
