BETWEEN EAGLE COUNTY, COLORADO
and
VENTURONI SURVEYS AND RESEARCH, INC
This Agreement ( "Agreement ") dated as of this /Z'4- day of r�hruct ✓ J , 20/3, is
between the County of Eagle, State of Colorado, a body corporate and politic, ( "County "), and
Venturoni Surveys and Research, Inc. a Colorado corporation with a principal place of business at 422
Idlewild Drive, Dillon, Co 80435 ( "Contractor ").
WHEREAS, the County, through its Public Health Department, desires to contract with a
Contractor to aid Eagle County in the evaluation of a three year project to reduce health disparities
among the Latino population in Eagle County (the " Estoy Sano Project "); and
WHEREAS, Contractor has represented that it has the experience and knowledge in the subject
matter necessary to carry assist the County with the Estoy Sano Project ; and
WHEREAS, County wishes to hire Contractor to perform the tasks associated with the services
outlined in Section 1.1 hereunder; and
WHEREAS, County and Contractor intend by this Agreement to set forth the scope of the
responsibilities of the Contractor in connection with the services and related terms and conditions to
govern the relationship between Contractor and County in connection with the services.
WHEREAS, the Contractor is being retained as a sub - contractor to County under a grant
from the State of Colorado and the Contractor shall comply with any and all grant requirements
imposed by the State on Eagle County or its sub - contractors.
Agreement
Therefore, based upon the representations by Contractor set forth in the foregoing recitals, for
good and valuable consideration, including the promises set forth herein, the parties agree to the
following:
1. Services Provided:
1.1 The Contractor will provide all services, labor, personnel and materials to perform and
complete the services set forth in County's Request for Bids, attached hereto as Exhibit A and
incorporated herein by this reference, and Contractor's Proposal, attached hereto as Exhibit B and
incorporated herein by this reference. (hereinafter called the "Services" or "Contracting Services ").
In the event of any conflict between the contents of this Agreement and Exhibits A or B, this
Agreement shall control. The Services are generally described as:
1. Develop and conduct a process and impact evaluation for the Estoy Sano Project.
2. Attend planning meetings with Latino health leaders, ECPH and other
stakeholders to define culturally appropriate evaluation tools and methods for tool
dissemination.
3. Create an Estoy Sano evaluation logic model for the scope of the Project.
4. Create and disseminate culturally appropriate evaluation tools.
5. Produce annual Estoy Sano Project evaluation reports.

1.2 The Contracting Services shall be performed within the time frames set forth in Exhibit A..
1.3 e Contractor agrees that Contractor will not knowingly enter into any Contracting

1.4 ontractor has given the County a proposal for performing the Services and represented that it
has the expertise and personnel necessary to properly and timely perform the Services.
2. erm of Agreement
2.1 's Agreement shall commence on the date first set forth above and, subject to the provisions
f Section 2.2 hereof, shall continue in full force and effect until June 30, 2013.
Notwithstanding the foregoing, subject to continued funding by the Colorado Department of
blic Health and Environment, the Agreement shall renew on the same terms and conditions
ntained herein for an additional 2 one year terms on July 1 of each year upon written notice
t Contractor by County. The final renewal term will expire on June 30, 2015.
2.2 This Agreement may be terminated by either party for any reason with 15 days written notice,
with or without cause, and without penalty whatsoever therefore.

i 3.3 e Contractor will maintain general liability and automobile insurance each with limits not less
$1,000,000 and unemployment and workman's compensation insurance on his/her behalf,

4. muneration:
4.1 F r the Contracting Services provided hereunder, County shall pay to the Contractor as follows:
C ntractor shall submit monthly invoices reflecting its hourly rate of $85.00 per hour and
i tifying the Contracting Services performed by the fifth working day of the following month.
e total compensation due Contractor for the period ending June 30, 2013 shall not exceed
$ ,000, which amount shall be fully expended by June 30, 2013. Contractor shall be

compensated at the same hourly rate and in an amount not to exceed $10,000 for the second year,
and not to exceed $12,000 for the final year that Contracting Services are performed. The full
contract amount from commencement of the Agreement through June 30, 2015 shall not exceed
$31,000. Contractor will not be entitled to bill at overtime and/or double time rates for work done
outside of normal business hours unless specifically authorized to do so by County. Fees for any
additional services will be as set forth in an executed addendum between the parties. Fees will
be paid within thirty (30) days of receipt of a proper and accurate invoice from Contractor
respecting Contracting Services. The invoice shall include a description of services performed.
Upon request, Contractor shall provide County with such other supporting information as
County may request.
42 County will not withhold any taxes from monies paid to the Contractor hereunder and
Contractor agrees to be solely responsible for the accurate reporting and payment of any taxes
related to payments made pursuant to the terms of this Agreement.
4.3 Notwithstanding anything to the contrary contained in this Agreement, no charges shall be made
to the County nor shall any payment be made to the Contractor in excess of the amount for any
work done without the written approval in accordance with a budget adopted by the Board in
accordance with provisions of the Colorado Revised Statutes. Moreover, the parties agree that
the County is a governmental entity and that all obligations beyond the current fiscal year are
subject to funds being budgeted and appropriated.
5. Ownership of Documents:
Contractor will promptly furnish and disclose to County all documents (including
electronic files) materials, ideas, designs, techniques, inventions, discoveries,
improvements, information, creative works, and any other works discovered, prepared or
developed (either partially or wholly) by or for Contractor in the course of or resulting
from the provision of Services under this Agreement (collectively with any works,
information or other items delivered to the Company and all intellectual property rights
and applications relating to any of the foregoing, the "Work Product. ") upon request by
the County and before final payment will be made. All right, title and interest in the
Work Product, other than Prior Works, vests in County and is deemed to be a work made
for hire; and, to the extent it is not considered a work made for hire, Contractor hereby
assigns (and to the extent necessary, has caused its employees, contractors and others to
assign) to County all right, title and interest in and to the Work Product.)
6. Indemnification:
6.1 Within the limits allowed by law, Contractor shall indemnify County for, and hold and defend
the County and its officials, boards, officers, principals and employees harmless from, all costs,
claims and expenses, including reasonable attorney's fees and costs, arising from claims of any
nature whatsoever made by any person in connection with this Agreement, the negligent acts or
omissions of, or presentations by the Contractor in violation of the terms and conditions of this
Agreement. This indemnification shall not apply to claims by third parties against the County
to the extent that the County is liable to such third party for such claim without regard to the
involvement of the Contractor.
7. Contractor's Professional Level of Care and Representations:
7.1 ontractor shall be responsible for the completeness and accuracy of the Contracting Services,
eluding all supporting data and other documents prepared or compiled in performance of the
ervices, and shall correct, at its sole expense, all significant errors and omissions therein.

manner and in accordance with the standard of care, skill and diligence applicable to
ontractors, with respect to similar services, in this area at this time.
7.2 ontractor acknowledges that it is being retained as a sub - contractor to Eagle County
der a grant agreement from the state of Colorado. Contractor represents and warrants
t at it shall at all times during the term of this Agreement comply with the terms and
conditions imposed by the State of Colorado under the grant agreement.
8. No Assignment:
The parties to this Agreement recognize that the Contracting Services to be provided pursuant to
this Agreement are professional in nature and that in entering into this Agreement County is
rel upon the professional services and reputation of Contractor and its approved
subcontractors. Therefore, neither Contractor nor its approved subcontractors may assign its
interest in this Agreement or in its subcontract, including the assignment of any rights or
delegation of any obligations provided therein, without the prior written consent of County,
which consent County may withhold in its sole discretion. Except as so provided, this
gree shall be binding on and inure to the benefit of the parties hereto, and their respective
successors and assigns, and shall not be deemed to be for the benefit of or enforceable by any
third party. Unless specifically stated to the contrary in any written consent to an assignment,
no assignment will release or discharge the assignor from any duty or responsibility under the
Agreement.

9.2 Notices shall be deemed given on the date of delivery; on the date the facsimile is
transmitted and confirmed received or, if transmitted after normal business hours, on the next
business day after transmission, provided that a paper copy is mailed the same date; or three
days after the date of deposit, first class postage prepaid, in an official depository of the U.S.
Postal Service.
10. Jurisdiction and Confidentiality:
10.1 This Agreement shall be interpreted in accordance with the laws of the State of Colorado and
the parties hereby agree to submit to the jurisdiction of the courts thereof. Venue shall be in
the Fifth Judicial District for the State of Colorado.
10.2 The Contractor and County acknowledge that, during the term of this Agreement and in the
course of the Contractor rendering the Contracting Services, the Contractor and County may
acquire knowledge of the business operations of the other party not generally known and
deemed confidential. The parties shall not disclose, use, publish or otherwise reveal, either
directly or through another, to any person, firm or corporation, any such confidential knowledge
or information and shall retain all knowledge and information which he has acquired as the
result of this Agreement in trust in a fiduciary capacity for the sole benefit of the other party
during the term of this Agreement, and for a period of five (5) years following termination of
this Agreement. Any such information must be marked as confidential. The parties
recognize that the County is subject to the Colorado Open Records Act and nothing herein
shall preclude a release of information that is subject to the same.
11. Miscellaneous:
11.1 This Agreement constitutes the entire Agreement between the parties related to its subject
matter. It supersedes all prior proposals, agreements and understandings.
112 This Agreement is personal to the Contractor and may not be assigned by Contractor.
11.3 This Agreement does not and shall not be deemed to confer upon or grant to any third party any
right enforceable at law or equity arising out of any term, covenant, or condition herein or the
breach thereof.
12. Prohibition on Public Contracts for Services:
If Contractor has any employees or subcontractors, Contractor shall comply with C.R.S. § 8-
17.5 -101, et seq., regarding Illegal Aliens — Public Contracts for Services, and this Contract. By
execution of this Contract, Contractor certifies that it does not knowingly employ or contract
with an illegal alien who will perform under this Contract and that Contractor will participate in
the E -verify Program or other Department of Labor and Employment program ( "Department
Program ") in order to confirm the eligibility of all employees who are newly hired for
employment to perform work under this Contract.
A. Contractor shall not:
(i) Knowingly employ or contract with an illegal alien to perform work under
this contract for services; or
(ii) Enter into a contract with a subcontractor that fails to certify to the
Contractor that the subcontractor shall not knowingly employ or contract
with an illegal alien to perform work under the public contract for
services.
B. Contractor has confirmed the employment eligibility of all employees who are
newly hired for employment to perform work under this Contract through
participation in the E- verify Program or Department Program, as administered by
the United States Department of Homeland Security. Information on applying for

C. The Contractor shall not use either the E- verify program or other Department
Program procedures to undertake pre - employment screening of job applicants
while the public contract for services is being performed.
D. If the Contractor obtains actual knowledge that a subcontractor performing work
under the public contract for services knowingly employs or contracts with an
illegal alien, the Contractor shall be required to:
(i) Notify the subcontractor and the County within three days that fY Y Y

Contractor has actual knowledge that the subcontractor is employing or
contracting with an illegal alien; and
(ii) Terminate the subcontract with the subcontractor if within three days of
receiving the notice required pursuant to subparagraph (i) of the paragraph
(D) the subcontractor does not stop employing or contracting with the
illegal alien; except that the Contractor shall not terminate the contract
with the subcontractor if during such three days the subcontractor provides
information to establish that the subcontractor has not knowingly
employed or contracted with an illegal alien.
E. The Contractor shall comply with any reasonable request by the Department of
Labor and Employment made in the course of an investigation that the department
is undertaking pursuant to its authority established in C.R.S. § 8 -17.5- 102(5).
F . If a Contractor violates these prohibitions, the County may terminate the contract
for a breach of the contract. If the contract is so terminated specifically for a
breach of this provision of this Contract, the Contractor shall be liable for actual
and consequential damages to the County as required by law.
G. The County will notify the office of the Colorado Secretary of State if Contractor
violates this provision of this Contract and the County terminates the Contract for
such breach.

Request for Bids
I. Project Objective
Eagle County is soliciting bids from Consulting Agencies to aid Eagle County in the evaluation of a three year project (Soy
Sano) to reduce health disparities among the Latino population in Eagle County. The Soy Sano Project is aimed at
reducing chronic disease and obesity through healthy eating initiatives. The efforts are focused on direct and
indirect strategies within nutrition education, nutrition awareness in the media, healthy food access and healthy food
access policy.
The objective of the request is to select a highly- qualified evaluator to provide guidance and shape a comprehensive
evaluation strategy to achieve goals, objectives and tasks as outlined in Section II- Key Deliverables below.
Eagle County Public Health (ECPH) is soliciting bids from consulting agencies to provide the following services:
o Develop and conduct a process and impact evaluation for the Soy Sano Project
o Attend planning meetings with Latino health leaders, ECPH and other stakeholders to define
culturally appropriate evaluation tools and methods for tool dissemination.
o Create a Soy Sano evaluation logic model for the scope of the Project.
o Create and disseminate culturally appropriate evaluation tools.
o Produce annual Soy Sano Project evaluation reports.
IL Key Deliverables
Eagle County will execute the following deliverables with assistance from the consulting agency and community
partners.
Task One- Attend planning meetings with Latino Health Leadership Group, ECPH, and other stakeholders
Methodology: The Contractor will attend meetings with stakeholders to gain feedback on creating and disseminating
culturally appropriate evaluation tools for each Soy Sano program.
Task Two- Create a Soy Sano logic model
Methodology: The Contractor will review the proposal submitted to CDPHE Office of Health Disparities and meet with
the ECPH Team to create a synthesized Project logic model.
Task Three- Create and disseminate culturally appropriate evaluation tools
Methodology: The Contractor will create the following tools: 1) Go, Slow, Whoa- pre /post knowledge and perception
change assessment including direct observation, interviews, and surveys, 2) ECO -TV 18 Cooking and La Nueva Radio
Shows - focus group questionnaire, knowledge gained survey, attitude /behavior change assessment, 3) Healthy Food
Access- food bank staff perceptions and priorities interview
Task Four- Produce annual Soy Sano Project evaluation reports
Methodology: Compile, analyze, and synthesize evaluations of each program of the Soy Sano Project to determine reach
and effectiveness of Project as a whole.
The evaluation of the Project will span from November 1, 2012 -June 30, 2015.

Linda Venturoni formed Venturoni Surveys & Research, Inc. (VSR) in June 2006. VSR was
created to provide meaningful input from local constituencies to community planning processes.
From 1981 to 2006, Linda Venturoni worked for the Northwest Colorado Council of
Governments (NWCCOG). She performed community surveys, data analysis, special studies,
needs assessments, and trend analysis for 27 member governments in the north central
mountain region of Colorado. She worked with NWCCOG for 25 years, a time of
unprecedented growth and challenges for mountain resort communities.
The company has developed a survey process to explore community values, growth
preferences, employee housing needs, shopping patterns, feedback on local services, ratings of
community goals and objectives, specific input on proposed ballot initiatives, and assessments of
community character.
Survey results are used to prioritize projects and funding, develop local initiatives, make
decisions on specific planning and implementation strategies, target local improvements, •
improve services, solve specific problems, and understand how the changing demographics of
the community affect short and long -term planning efforts.
The surveys are designed for easy input and can be answered on the Internet or by mail.
Telephone surveys are also available. Survey results are presented in an interesting format using
graphics that clearly display trends and related information. Interactive slides allow the viewer
to click on various options and see the charts change to reflect the new variables.
Linda Venturoni coordinated the projects listed below. She is experienced at taking a project
from start to finish, working with community task forces to define the intended product,
organizing timelines, producing final products, and interpreting, reporting, and presenting
results. She also provides ongoing support to projects in the form of data storage and access,
and extended analysis of survey results.

Linda Venturoni
President
Linda Venturoni formed Venturoni Surveys & Research, Inc.
(VSR) in June 2006. From 1981 to 2006, Linda Venturoni

Linda holds a Master of Arts degree from the University of Northern Colorado and a Bachelor
of Science degree from Drexel University in Philadelphia.
Linda specializes in helping her clients find solutions to their problems by obtaining valid
feedback from their constituent groups. She utilizes surveys to gather information that can be
analyzed and tabulated into specific answers to your questions. She places special emphasis on
values. By understanding what motivates people to live in your community, or support certain
projects or services, communities can implement more effective planning processes.
Linda's research projects, especially her work on the "Study of the Social and Economic Effects
of Second Homes" have been cited in many publications, including the New York Times,
Denver Post, High Country News, ColoradoBiz Magazine, USA Today, US News & World
Report, and many local newspapers.
Linda has presented findings from her research and survey work at many different conferences,
workshops and meetings. Her areas of expertise include affordable housing issues, employer
assisted housing programs, needs assessments, demographics, senior citizen services, adult
housing market studies, cost of living, benchmark reports, community surveys, and the myriad
of issues affecting mountain resort communities.

Linda has been a planning commissioner on the Snake River Planning Commission, Colorado
delegate to the White House Conference on Aging, member of the Colorado Human Services
Advisory Committee and is a member of the American Association of Public Opinion Research.
Linda lives with her husband Steve, daughter Leah, and sheltie puppy Colby in Summit County,
Colorado.

Kathy Chandler -Henry, President
About the Firm
Black Diamond Research (BDR) is based in Eagle, Colorado, and
specializes in primary research, data analysis, and group facilitation.
BDR provides consulting services in Eagle County and throughout
Colorado.
Started in 1994, BDR works with public and private clients in the areas of public opinion
research, project evaluation, market analysis, data research and analysis, group facilitation, and
strategic planning. Kathy Chandler -Henry, the owner and principal researcher, has a
Professional Researcher Certification (expert level), and extensive training in survey research
and group facilitation. Ms. Chandler -Henry worked at Colorado Mountain College for 23 years
as the Director of Institutional Research.
BDR works directly with clients to determine project design and desired outcomes. Most of

Black Diamond Research has completed the following representative projects in the recent
past:
Facilitation:
• Aspen to Parachute Dental Alliance: Strategic planning retreat to review program
outcomes and plan for the future of this newly- formed non - profit organization.
• Advocate Safehouse Project: Planning sessions to determine capital, program and staffing
goals.
• Board of County Commissioners: Annual goal- setting /strategic planning retreats for the
Board of County Commissioners (Eagle County). Results from the retreat are used by
County Directors to complete their Countywide Strategic Plans for the following year.

• Greater Eagle Fire Protection District: Annual strategic planning retreats for Board
members and officers. Outcomes included Action Plans for each year, and a
commitment to continue strategic planning efforts annually.
• Eagle -Vail Metro District /Homeowners' Association: Joint sessions between members of the
two governing boards in Eagle Vail to discuss future plans and revenue streams for the
community.
• EcoTransit: Planning retreat for EcoTransit Board members and the Eagle County Board
of County Commissioners, and staff from both organizations. Facilitated dialog about
increasing demands for service and declining revenues.
• Blue Ribbon Housing Panel: Six -month series of countywide meetings culminating in
creation of the Housing Action Team, a collaborative public - private effort to provide
affordable housing in Eagle County.
Survey Research:
• Economic Development Decade 2: Survey to elicit suggestions for economic development
strategies in Eagle County (part of Governor Hickenlooper's "Bottom -Up" Economic
Development Planning).
• Climate Survey: Annual paper and web -based survey of all Eagle County School District
students and parents to identify potential areas for improvement.
• Culture of Safety Survey: Survey of Valley View Hospital employees to assess the
organizational culture related to safety issues.
• Annual Workforce Survey: Annual web -based survey of Eagle County employers to assess
workforce demands and challenges for the year ahead.
• Town of Snowmass Village: Employee housing surveys.
• Pitkin County: Exit polling and transportation surveys.
• Colorado Mountain News Media: Web- based, focus group, and traditional surveys for
both advertisers and readers.
• Colorado Mountain College: Student satisfaction and community demand surveys, Housing
Needs Assessment (2010).
Focus Groups:
• Continuum of Care Retirement Center: Facilitated five focus groups in early 201 1 to assess
the demand for CCRC services and facilities in Eagle County.
• Factory and Army Surplus: Conducted a series of focus groups in 2012 to gather data for
rebranding this popular outdoor store in Glenwood Springs.

• RED Development: Conducted a series of focus groups in fall 2010 to gather community
feedback regarding a potential 100 -acre development east of Eagle, Colorado.
• Valley View Hospital Cancer Center: Led a series of focus groups asking patients and
families about their experiences with cancer treatments at Valley View Hospital, and
with treatments at other cancer centers (in preparation for the development of a new
Valley View Cancer Center).
• Colorado Mountain News Media: Facilitated focus groups with advertisers and readers to
gather feedback for potential improvements at several daily and weekly newspapers.
Analysis and Report Writing:
• Town of Eagle: Revision of the Eagle Area Community Plan.
• Economic Council of Eagle County: Creation of Quarterly Economic Indicator reports,
special research reports (e.g., Housing Affordability), and economic impact data analysis
and modeling.
• Early Childhood Partners: Pre -and post- survey creation and analysis for program
evaluation.
• Continuum of Care Retirement Center: Demand analysis and reporting on proposed
CCRC Project.

Project Narrative
The Venturoni Surveys & Research, Inc. team has extensive experience in project evaluation.
We are knowledgeable about designing effective models for the collection of data. It is
important to build evaluation tools into the design of the project to accurately measure and
quantify project outcomes. We utilize both quantitative and qualitative methodologies to gather
data, and have software systems to design and analyze Internet and paper surveys. Through
extensive experience with focus groups, we have incorporated keypad voting techniques to add
a quantitative aspect to a form of data collection that is essentially qualitative in nature.
The Venturoni Surveys & Research team will provide the following services during the three -
year project:
• Develop and conduct a process and impact evaluation for the Soy Sano Project.
• Attend planning meetings with Latino health leaders, ECPH and other
stakeholders to define culturally appropriate evaluation tools and methods for
tool dissemination.
• Create a Soy Sano evaluation logic model for the scope of the Project.
• Create and disseminate culturally appropriate evaluation tools.
• Produce annual Soy Sano Project evaluation reports.
For Year One of this project we propose the following:
I. Design the evaluation model for the three year project:
a. Meet with the stakeholder groups to discuss the goals and objectives for each of
the components:
i. Nutrition Education
ii. Nutrition Awareness in the Media
iii. Healthy Food Access
iv. Healthy Food Access Policy
b. Through discussions with the stakeholder groups and experts in the field,
determine:
i. What are we trying to accomplish?
ii. How can we measure it?
iii. What is the best timeline for taking the measurements? (i.e., pre- and
post- testing)

iv. How do we define the sample group? (Le., who is included in the group
to be measured and how do we reach them ?)
v. What are the best methodologies to utilize? (i.e., surveys, focus groups,
etc.)
2. Establish a timeline for accomplishing the program evaluation:
a. Pre - testing (establishing the baseline)
b. Post - testing (measuring changes related to the program initiatives)
c. Data Analysis
d. Production of annual evaluation reports
Costs
The cost to complete this project evaluation for the first year is $9,000. Costs will vary for the
second and third year of the project depending on the design of the evaluation model. In
general, Internet surveys can be accomplished at a relatively low cost, paper surveys are more
expensive, and focus groups can be costly too. It may be possible to offset some costs by hand
distribution of paper surveys and using volunteers to enter the data. There may be ways to
offset focus group costs by using volunteers to recruit participants. We anticipate that years 2
and 3 will take more time because more of the project evaluation measurements will occur in
these years. The figures below for years 2 and 3 are estimates at this point.
