EAGLE COUNTY, COLORADO
AND
COLORADO OPEN LANDS
This First Amendment ( "Amendment ") between the EAGLE COU IY, COLORADO and
Colorado Open Lands ( "Land Trust") is made to be effective on the I day of ii\ V ,
2013.
RECITALS
WHEREAS, Eagle County and Land Trust entered into an Agreement dated August 28,
2012 for completing the Nottingham/Red Dirt Creek conservation easement project (the
"Original Agreement "); and
WHEREAS, the Original Agreement contemplated that the Land Trust would perform
certain duties that required up to $32,660; and
WHEREAS, Eagle County and Land Trust desire by this Amendment to expand the duties
and compensation set forth in the Original Agreement.
AMENDMENT
NOW THEREFORE, in consideration of the mutual rights and obligations as set forth
below, the parties agree as follows:
1. Section 1.1 of the Original Agreement shall be amended to include additional services
as described in Exhibit A, which is attached hereto and incorporated herein by
reference.
2. Section 4.1 of the Original Agreement shall be amended to reflect an additional three
thousand four hundred and fifteen dollars ($3,415) in compensation for a total
maximum contract amount of thirty six thousand and seventy five dollars ($36,075).
3. Eagle County and Land Trust agree that, except as expressly altered, modified and
changed in this Amendment, all terms and provisions of the Original Agreement shall
remain in full force and effect, and are hereby ratified and confirmed in all respects as
of the date hereof.
4. If any conflict exists between the provisions this Amendment and the Original
Agreement, the provisions this Amendment shall control.
5. This Amendment shall be binding on the parties hereto, their heirs, executors,
successors, and assigns.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement
the day and year first above written.

Due the complexity of the Nottingham /Red Dirt Creek Open Space acquisition, Colorado Open Lands
incurred additional legal expenses associaied with the project in the amount of $3,415.
