HomeMy WebLinkAboutC12-412 Cardiff Corporation First Amendment FIRST AMENDMENT TO AGREEMENT BETWEEN EAGLE COUNTY AND CARDIFF CORPORATION d /b /a CARDIFF CLEANING SERVICES Oil THIS FIRST AMENDMENT ( "First Amendment ") is made and entered into this I day of December, 2012, between Eagle County, by and through its Board of County Commissioners (hereinafter referred to as "County ") and Cardiff Corporation, a Colorado Corporation d/b /a Cardiff Cleaning Services organized and existing by virtue of the laws of the State of Colorado and with an office and principal place of business at 0197 County Road 160, Glenwood Springs, Colorado 81601 (hereinafter referred to as "Contractor "). WHEREAS, County and Contractor entered into an Agreement dated December 22, 2011, for certain on -call services related to Cleaning Services ( "Original Agreement"); and WHEREAS, County and Contractor wish to further extend the term of the Original Agreement and desire to amend the compensation due Contractor for the cleaning services. NOW, THEREFORE, County and Contractor agree to amend the Original Agreement as follows: 1. The term of the Original Agreement is extended to December 31, 2013. 2. Paragraph 4.1 shall be amended to reflect increased compensation during the new term as reflected in Exhibit A -1 which is attached hereto and incorporated herein by reference. Paragraph 4.1 shall be deleted and replaced with the following: "4.1 For the Services to be provided hereunder, County will pay Contractor the amounts provided in Exhibit A -1. The maximum amount of compensation shall not exceed Eleven Thousand Seven Hundred Twenty Eight and 00 /100Dollars ($11,728.00) without a signed amendment to the Agreement." 3. All terms and provisions of the Original Agreement shall remain in full force and effect during the modified term. 4.
