STREETMEDIAGROUP, LLC
This Agreement ( "Agreement ") dated as of this day of ' 'j11r`/, 2012, is
between the County of Eagle, State of Colorado, a body corporate and po 'tic, and StreetMediaGroup
LLC, a duly qualified Colorado corporation ( "Concessionaire ").
WHEREAS, Eagle County Regional Transportation Authority ( "Authority ") is an arm of Eagle
County. It uses a fleet of public transit buses owned by the County. Authority has the right to grant
advertising privileges for interior advertising spaces and exterior wrap advertising subject to the terms
and conditions hereinafter set forth; and
WHEREAS, TAP MEDIA LLC, in response to a Request for Proposal (the "RFP "; Exhibit
A hereto, incorporated herein by this reference) issued by the Authority, submitted to the
Authority a proposal (the "Proposal "; Exhibit B hereto, incorporated herein by this reference) in
which it represented, among other things, that it had the experience and knowledge in the subject
matter of the RFP necessary to carry out the concessions outlined in Section 1 hereof; and
WHEREAS, following tentative acceptance of the Proposal by the Authority, the
Concessionaire named herein assumed the rights, obligations and operations TAP MEDIA LLC
and asked that it be substituted for TAP MEDIA LLC as the Concessionaire hereunder; and
WHEREAS, Authority, upon investigation and discussion with the principal of TAP
MEDIA LLC and confirmation with the Colorado Secretary of State of the legal formation of
Concessionaire as a Colorado corporation, has determined that the new entity named as
Concessionaire herein (StreetMediaGroup LLC) is in substance and legal effect the successor in
interest of TAP MEDIA LLC and qualified for award of this Agreement as if it had made the
original submission of the Proposal in its own name, and Concessionaire, by entering into this
Agreement, affirms and guarantees to the Authority that this determination is correct; and
WHEREAS, Authority wishes to grant to Concessionaire the exclusive right and privilege for the
solicitation and sale of commercial advertising and permission to use advertising space on ECRTA
Buses for the purposes and subject to the limitations set forth herein.
WHEREAS, Authority and Concessionaire intend by this Agreement to set forth the scope of
the Agreement between Eagle County and Concessionaire in connection with the services and related
terms and conditions to govern the relationship between Concessionaire and Authority in connection
with the Agreement.
Agreement
Therefore, based upon the representations by Concessionaire set forth in the foregoing recitals,
for good and valuable consideration, including the promises set forth herein, the parties agree to the
following:

1. Advertising Rights
1.1 Authority hereby grants to Concessionaire the exclusive right and privilege for the solicitation
and sale of high quality commercial advertising and permission to use the interior and exterior
advertising space on the ECRTA Buses identified by ECRTA (the "Concession "). All costs
incurred in connection with this Concession, including but not limited to solicitation, design,
preparation, installation of commercial advertising in the designated advertising spaces shall be
paid by Concessionaire. Concessionaire acknowledges and understands that Authority
reserves the right to use 6 interior bus spaces and 3 exterior bus spaces for advertising use by
Eagle County. All advertising copy and displays shall be of first quality, and shall conform in
all respects to federal, state and local laws and regulations. If there is no advertising sold for
the display, public service advertisements or other displays appropriate for tourist information
about the area served by the ECRTA Buses shall be used until the space is sold, as approved
by Authority. However, paid advertising shall take precedence at all times, with the
exception of the 6 interior and 3 exterior spaces mentioned above. Concessionaire shall
exercise diligence and exert its maximum effort in the sale of all advertising display space.
1.2 All advertising installed by Concessionaire shall be subject to approval of the Authority with
respect to subject, character, size, and style. The Authority shall have the right to reject and
prohibit the installation of or compel the removal of any advertising material deemed by it, in
its reasonable discretion, to be not suitable for display on ECRTA Buses.
1.3 The Concessionaire agrees that Concessionaire will not knowingly enter into any
arrangements with third parties that will conflict in any manner with the Concessionaire
Services.
1.4 Concessionaire shall have full control of the rates and prices to be charged for advertising and
the terms, conditions and manner of payment to Concessionaire by advertisers. Concessionaire
shall take all steps necessary to collect any monies due it, including attorney's fees, costs and
expenses.
1.5 Concessionaire shall prepare at its sole cost, submit to the Authority for review, and
thereafter print, distribute and make available to the Authority a color brochure with an
ECRTA system map and specific route schedules, and Concessionaire shall be entitled to
sell advertising space in the brochure. Copies for the Authority shall be in such number
as the Authority may request in writing from time to time not to exceed 50,000 copies or
$5,000 annually unless otherwise arranged. The Authority retains the right to modify the
bus schedules and Concessionaire shall include a supplemental route schedule change
sheet in all undistributed copies of the brochure."
2. Term of Agreement
2.1 This Agreement shall commence on the agreement date and, subject to the provisions of Section
2.2 hereof, shall continue in full force and effect for a period of forty eight (48) months, or until
the Agreement is otherwise terminated in accordance with Section 2.2 herein. This Agreement
may be renewed for up to three (3) - twenty four (24) month periods upon a written amendment
to this Agreement signed by both parties.
2.2 The Authority may terminate this Agreement by giving Concessionaire 180 days prior

written notice. Upon such termination, all advertising shall be removed from all ECRTA
by Concessionaire at Concessionaire's sole cost and expense. Further, Concessionaire
shall be responsible for the refund of any revenues received from affected advertisers.
Upon termination of this Agreement, the Authority will be paid any amounts due to
Authority under this Agreement at the date of termination.
3. Independent Contractor:
3.1 Concessionaire acknowledges that nothing in this Agreement shall be deemed to make
Concessionaire an agent, employee, partner, joint venture or representative of Authority.
Concessionaire shall at all times have the status of an independent contractor without the
power, right or authority to impose contractual, tort or other liability upon the Authority,
its employees, officers, agents and volunteers.
3.2 The Concessionaire shall not have the authority to, and will not make any commitments or
enter into any agreement with any party on behalf of Authority without the written consent of
the Eagle County Board of County Commissioners.
4. Maintenance and Operation:
4.1 The Concessionaire shall, without cost to the Authority, install in the Concession Space all
fixtures for the customary operation of the advertising displays ( "Displays ") authorized by
this agreement and outlined in Exhibit A.
4.2 All Displays of any nature shall be subject to the Authority's approval in its sole
discretion. The Authority may require the Concessionaire to remove advertising that may
be deemed offensive, controversial, immoral or inappropriate for the community.
4.3 Concessionaire shall pre - arrange with Authority staff the dates and times that its staff will
be present on Eagle County property, including the ECRTA Buses, for installation,
maintenance and other purposes under this Agreement.
4.4 All Displays will be maintained by Concessionaire in good condition and in complete
repair, at Concessionaire's cost.
5. Payment of Concession Fee:
5.1 For right and privilege to provide the Concessions provided hereunder, Authority shall be
compensated on a monthly basis 51% of the gross advertising receipts for said month as set forth
in Exhibit A. Payment shall be received on or before the 15 of each following month for
each and every month of this agreement. The payment shall include a monthly financial
statement and listing of advertisers including gross revenue to Concessionaire and percentage
compensation breakout to Authority. Assessment of interest on past due amounts as
provided in Section 5.3 hereof shall be determined as if such payment became due on
March 31. 2013.
Concessionaire is obligated to pay ECRTA a Minimum Annual Guaranteed (MAG)
payment of $101,000 for each year of the agreement. Therefore, if the monthly
percentage payments of 51% do not total more than the MAG at each Annual Anniversary

Date of October 2 Concessionaire shall be obligated make payment to the Authority for
the deficit difference between the required MAG and the total percentage of revenue paid
in aggregate to the Authority each year. Deficit payment is due by the 15 of November
after each October 2nd Anniversary Date.
5.2 The term "Gross Revenue" shall mean the gross advertising revenue received by
Concessionaire from advertisers for the display of their advertisements on ECRTA Buses.
5.3 Concessionaire shall furnish to the Authority a true and accurate operating statement of its
gross advertising receipts, for the previous months during the term of this Agreement for
the purpose of determining the Concessions Fee due to the Authority. Such operating
statement shall be delivered by Concessionaire to the Authority on a monthly basis, or in
the event of expiration or earlier termination of this Agreement, such statement shall be
delivered to the Authority on the 15 day of the next month after the effective date of
expiration or the earlier termination of this Agreement.
5.3 All sums payable hereunder shall be made without notice or demand, at the following:

All sums shall be made in legal tender of the United States. Any check given to the Authority
shall be received by its subject to collection, and Concessionaire agrees to pay any charges,
fees, or costs incurred by the Authority for such collection, including reasonable
attorney's fees.
5.3 Interest on past due amounts shall be assessed at 10% of the monthly revenue after the
26 of the month.
6. Indemnification:
6.1 Within the limits allowed by law, Concessionaire shall indemnify Authority for, and hold and
defend the Authority and its officials, boards, officers, principals and employees harmless from,
all costs, claims and expenses, including reasonable attorney's fees, arising from claims of any
nature whatsoever made by any person in connection with the negligent acts or omissions of, or
presentations by, the Concessionaire in violation of the terms and conditions of this
Agreement. This indemnification shall not apply to claims by third parties against the
Authority to the extent that the Authority is liable to such third party for such claim without
regard to the involvement of the Concessionaire.
7. Concessionaire's Professional Level of Care:
7.1 Concessionaire shall be responsible for the completeness and accuracy of the Advertising
Services, including all supporting data and other documents prepared or compiled in
performance of the Services, and shall correct, at its sole expense, all significant errors and
omissions therein. Concessionaire shall perform the Advertising Services in a skillful,

professional and competent manner and in accordance with the standard of care, skill and
diligence applicable to concessionaires, with respect to similar services, in this area at this
time.
8. No Assignment:
The parties to this Agreement recognize that the Concessions to be provided pursuant to this
Agreement are professional in nature and that in entering into this Agreement Authority is
relying upon the professional services and reputation of Concessionaire . Therefore,
Concessionaire may not assign its interest in this Agreement, including the assignment of any
rights or delegation of any obligations provided therein, without the prior written consent of
Authority, which consent Authority may withhold in its sole discretion. Except as so provided,
this Agreement shall be binding on and inure to the benefit of the parties hereto, and their
respective successors and assigns, and shall not be deemed to be for the benefit of or
enforceable by any third party. Unless specifically stated to the contrary in any written consent
to an assignment, no assignment will release or discharge the assignor from any duty or
responsibility under the Agreement.
9. Notices:
9.1 Any notice and all written communications required under this Agreement shall be given in
writing by personal delivery, facsimile or U.S. Mail to the other party at the following
addresses:

9.2 Notices shall be deemed given on the date of delivery, on the date the facsimile is
transmitted and confirmed received or, if transmitted after normal business hours, on the next
business day after transmission, provided that a paper copy is mailed the same date; or three
days after the date of deposit, first class postage prepaid, in an official depository of the U.S.
Postal Service.
10. Jurisdiction and Confidentiality:
10.1 This Agreement shall be interpreted in accordance with the laws of the State of Colorado and
the parties hereby agree to submit to the jurisdiction of the courts thereof. Venue shall be in
the Fifth Judicial District for the State of Colorado.
10.2 The Concessionaire and Authority acknowledge that, during the term of this Agreement and in
the course of the Concessionaire rendering the Advertising Services, the Concessionaire and

Authority may acquire knowledge of the business operations of the other party not generally
known deemed confidential. The parties shall not disclose, use, publish or otherwise reveal,
either directly or through another, to any person, firm or corporation, any such confidential
knowledge or information and shall retain all knowledge and information which he has acquired
as the result of this Agreement in trust in a fiduciary capacity for the sole benefit of the other
party during the term of this Agreement, and for a period of five (5) years following termination
of this Agreement. Any such information must be marked as confidential. The parties
recognize that the Authority is subject to the Colorado Open Records Act and nothing
herein shall preclude a release of information that is subject to the same.
11. Miscellaneous:
11.1 This Agreement constitutes the entire Agreement between the parties related to its subject
matter. It supersedes all prior proposals, agreements and understandings.
112 This Agreement is personal to the Concessionaire and may not be assigned by the
Concessionaire.
11.3 This Agreement does not and shall not be deemed to confer upon or grant to any third party any
right enforceable at law or equity arising out of any term, covenant, or condition herein or the
breach thereof.
11.4 Concessionaire represents that it is now, or prior to use shall be, the owner of or fully
authorized to use any and all words, designs, service marks, trademarks, names and
slogans used by it in its operations hereunder or in any way connected with this
Agreement. Concessionaire agrees to save and hold Eagle County, its agents, directors,
officers, servants and employees free and harmless of and from any loss, liability, cost,
expense, suit, or claim for damages in connection with any actual or alleged infringement
of any patent, trademark, servicemark or copyright, or claim of unfair competition, or any
other claim arising out of the operations of Concessionaire hereunder or in any way
connected with this Agreement.
11.5 No waiver of default by Eagle County of any of the terms, covenants and conditions
hereof to be performed, kept and observed by Concessionaire shall be construed as or
operate as a waiver by Eagle County of any subsequent default of any of the terms,
covenants, and conditions herein contained to be performed, kept and observed by
Concessionaire.
12. Default
If either one of the parties to this Agreement (a) fails to perform in accordance with the terms,
covenants, and conditions of this Agreement or is otherwise in default of any of the terms of this
Agreement, after giving 20 day's notice to the other party of the alleged default, and upon said
party in default having failed to cure said breach within said 20 days, or (b) voluntarily files a
petition in bankruptcy or is declared bankrupt, or makes a general assignment for the benefit of
its creditors, or is placed under a general receivership, the other party shall have the option to
termination this agreement immediately and pursue any remedy available at law or in equity.
13. Prohibition on Public Contracts for Services:

If Concessionaire has any employees or subcontractors, Concessionaire shall comply with C.R.S.
§ 8- 17.5 -101, et seq., regarding Illegal Aliens — Public Contracts for Services, and this Contract.
By execution of this Contract, Concessionaire certifies that it does not knowingly employ or
contract with an illegal alien who will perform under this Contract and that Concessionaire will
participate in the E -verify Program or other Department of Labor and Employment program
( "Department Program ") in order to confirm the eligibility of all employees who are newly hired
for employment to perform work under this Contract.
A. Concessionaire shall not:
(i) Knowingly employ or contract with an illegal alien to perform work under
this contract for services; or
(ii) Enter into a contract with a subcontractor that fails to certify to the
Concessionaire that the subcontractor shall not knowingly employ or
contract with an illegal alien to perform work under the public contract for
services.
B. Concessionaire has confirmed the employment eligibility of all employees who
are newly hired for employment to perform work under this Contract through
participation in the E- verify Program or Department Program, as administered by
the United States Department of Homeland Security. Information on applying for

C. The Concessionaire shall not use either the E -verify program or other Department
Pro procedures to undertake pre - employment screening of job applicants
while the public contract for services is being performed.
D. If the Concessionair obtains actual knowledge that a subcontractor performing
work under the public contract for services knowingly employs or contracts with
an illegal alien, the Concessionaire shall be required to:
(i) Notify the subcontractor and the Authority within three days that the
Concessionaire has actual knowledge that the subcontractor is employing
or contracting with an illegal alien; and
(ii) Terminate the subcontract with the subcontractor if within three days of
receiving the notice required pursuant to subparagraph (i) of the paragraph
(D) the subcontractor does not stop employing or contracting with the
illegal alien; except that the Concessionaire shall not terminate the
contract with the subcontractor if during such three days the subcontractor
provides information to establish that the subcontractor has not knowingly
employed or contracted with an illegal alien.

E. The Concessionaire shall comply with any reasonable request by the Department
of Labor and Employment made in the course of an investigation that the
department is undertaking pursuant to its authority established in C.R.S. § 8 -17.5-
102(5).
F. If a Concessionaire violates these prohibitions, the Authority may terminate the
contract for a breach of the contract. If the contract is so terminated specifically
for a breach of this provision of this Contract, the Concessionaire shall be liable
for actual and consequential damages to the Authority as required by law.
G. The Authority will notify the office of the Secretary of State if Concessionaire
violates this provision of this Contract and the Authority terminates the Contract
for such breach.
14. Insurance.
At all times during the Tim of this Agreement, Concessionaire agrees to carry and maintain in full forte and effect at
its sole cost and expense, the following insurance policies with insurance companies satisfactory to Authority. Such
policies shall include a provision requiring a minimum of30 days' notice to Authority of any change or cancellation
A Comprehensive general liability insurance in the once format in an amount of $1,000,000 per
occurrence, including the following coverages: personal injury, broad form property damage and
contractual liability.
B. Comprehensive automobile liability insurance on all vehicles used in comhection with the
Agreement in an amount of $1, 000,000 combined single limits for bodily injury and property
damage, per occurrence.
C. Worm's Compensation insurance in accordance with the provisions of the Worker's
Compensation Act ofthe State ofColorado.
Concessionaire shall provide Authority with certificates of insurance evidencing the policies listed above execution of
this Agreement. Eagle County shall be named as additional named insured as its respective interest may appear for all
comprehensive general liability and comprehensive automobile liability insurance.

EXCLUSIVE RIGHTS FOR EAGLE COUNTY REGIONAL
TRANSPORTATION AUTHORITY
BUS ADVERTISING
REQUEST FOR PROPOSAL
1. OBJECTIVE OF SOLICITATION
The objective of this Request for Proposals is to furnish general information for the
purpose of soliciting proposals from qualified Bidders for the exclusive right and
privilege of placing approved advertising materials, of the type herein
described, on the interior and exterior of Eagle County Regional Transportation
Authority (ECRTA) buses at such locations on the bus as may be approved by
ECRTA.
The term of the agreement will be for a period of 48 months with three 24 month
renewal periods upon the approval of both parties starting on September 1,
2012.
2. GENERAL REQUIREMENTS FOR ADVERTISING
a. At all times during the performance of this Contract, Contractor shall
strictly observe and conform to all applicable federal, state and local
laws, rules, regulations and orders that have been or may hereafter be
established.
b. Contractor shall be solely and completely responsible for the
fabrication of bus advertising panels, both exterior and interior, and to
deliver any such panels to the ECRTA facility at 3289 Cooley Mesa
Road at least seven (7) ECRTA working days prior to any contractual
placement of advertising on any ECRTA bus.
c. Contractor shall bear all costs relating to the arrangement for and
preparation of bus advertising for ECRTA buses. The Contractor shall be
responsible for the placement of all advertising on ECRTA buses and for
removing outdated ads from buses.
d. ECRTA reserves the right to review and approve or disapprove all
advertising content, copy, design, and colors to be displayed in ECRTA
buses based on aesthetic considerations within the sole discretion of
ECRTA.
e. Contractor shall bear all costs relating to the operation of the overall
project.

EXHIBIT A
f. The parties acknowledge that ECRTA objectives for the advertising
program to be carried out through the performance of the resulting
Agreement are to:
• Generate revenue for ECRTA through the placement of advertising
on bus interiors and exteriors.
• Maintain a neutral position on political, religious, and ideological
matters.
• Limit advertising to advertising that proposes a legitimate
commercial transaction and that will promote healthful, family -
oriented products and services appropriate for citizens of all ages.
• Contractor shall be solely and completely responsible for the
content of all bus advertisements and is prohibited from displaying
noncommercial advertising, with the exception of ads placed by
ECRTA, or the following types of commercial advertising:
1. Advertising that primarily conveys a political, religious,
ideological or other non - commercial message;
2. Advertising that promotes illegal activities or transactions;
3. Advertising that is misleading or deceptive, or that constitutes
a public nuisance;
4. Advertising of products or services available to adults only by
law;
5. Advertising of any product or service primarily related to
sexual or violent activities or practices, or advertising of any
product or service in a manner that is sexually suggestive or
that displays or suggests violence or is inappropriate for
minors; and
6. Any advertising reasonably determined to be inconsistent
with the above - stated objectives of the advertising program.
g. Contractor shall pay for any and all space used by Contractor for any
advertising purpose, and any such use must conform to all other
requirements of the contract.
h. ECRTA reserves 6 interior bus spaces and 3 exterior bus spaces for
advertising use by Eagle County Government at no charge to the
Contractor for the production of signs or the installation of signs.
3. ON -SITE VISITATION

An on -site visitation is required before submitting a proposal. For an on -site
inspection please contact Transit Director Kelley Collier at
keiley.collier@eaglecounty.us or 970 - 328 -3533. Any proposal submitted without
an on -site visitation by a qualified principal from the contracting company may
be grounds for disqualification by ECRTA. The fact that a Bidder supplies a
proposal after an on -site visitation is confirmation that the Bidder is
knowledgeable about the site conditions and understands all the requirements
of this solicitation.
Bidders are expected to fully familiarize themselves with the types and amounts
of advertising space available on all pertinent vehicles and with all other details
in connection with this RFP and with their proposal.
4. PROPOSAL FORMAT
All respondents are required to include the following information in the submittal
as a minimum.
4.1 Proposed Compensation Plan Form- Fill out and return as part of your
submission.
4.2 Qualifications and Experience - Provide relevant information regarding
previous experience related to developing a similar Bus Advertising
Program, to include the following (Please limit this to a maximum of two
pages!):
• Brief Company History including time in business.
• Names and location of a minimum of three similar projects.
• Name, address, and phone number of public agency reference(s)
overseeing the above - mentioned advertising efforts.
• Samples (preferably a minimum of three via a web link or "pdf" files) of
work products for similar projects.
4.3 List of Project Personnel - This list should include the identification of the
contact person with primary responsibility for this contract, the personnel
proposed for this contract, and any supervisory personnel, including
partners and /or subcontractors, and their individual areas of responsibility.
4.4 The Bidder shall have demonstrated annual revenues exclusively from
transit advertising of at least $100,000 for each of the last 3 years. The
successful Bidder shall also provide upon award an irrevocable letter of
credit or performance bond in the amount equal to no less than one
year's minimum guarantee. This letter of credit or performance bond may

be waived by ECRTA if ECRTA determines the successful Bidder is capable
of successfully fulfilling the contract.
All proposals shall be sealed in mailing envelopes and clearly marked SEALED
PROPOSAL FOR TRANSIT ADVERTISING. The name of the Bidder must be written
on the outside of the envelope.
Written proposals, three (3), will be received at the ECRTA office, 3289 Cooley
Mesa Road, Gypsum, CO 81637. Proposals will be received before 5:00 p.m.
(MST), August 17, 2012 and identified as Request for Proposal Bus Advertising. If
delivered, they are to be sent to 3289 Cooley Mesa Road Gypsum, CO 81637. If
mailed, the address is P.O. Box 1070, Gypsum, CO 81637.
5. ALTERATIONS AND CORRECTIONS
Any alterations, erasures, additions to or omissions of required information, any
changes in the specifications or in the proposed schedule are made at the sole
risk of the Bidder and such alterations and corrections may result in the rejection
of the proposal, unless such alterations and corrections are authorized by the
specifications.
6. OPERATING CONTRACT
The successful Bidder will be required, within ten (10) days after receiving written
notice to do so, to enter into a Contract. A draft copy of the contract is
attached and is considered a part of these specifications. The Contract will be
subject to all the provisions contained within these documents.
7. REQUIRED INSURANCE
Throughout the contract period the successful Bidder shall obtain and maintain,
at the successful Bidder's sole cost and expense, general commercial liability
insurance coverage in the minimum amount of $1,000,000 per occurrence and
per person.
8. COMPENSATION
The Bidder shall state as part of its proposal its minimum annual guarantee, and
percentage of annual gross receipts for each term year that will be paid to
ECRTA, for each year of this agreement including any amounts that may be
applied against gross revenue prior to the percentage split. The Bidder shall
commit to pay ECRTA on a monthly basis 1/12th of the minimum annual
guarantee, with the annual total equal to the agreed upon total annual

compensation due to ECRTA and any percentage of gross revenue above and
beyond the minimum annual guarantee. Bidder guarantees to pay ECRTA the
first calendar day of the month, or thirty (30) days after execution of the
Agreement whichever is later, and each month thereafter throughout the lease
term.

9. BIDDER EVALUATION
Proposals will be evaluated on the basis of the following: (1) Bidders absolute
qualifications (2) the highest proposed payment; (3) the Bidder's experience
and performance in selling similar advertising space; (4) the Bidder's references
from other transit providers with which they are doing business; (5) the
qualifications of the principals and lead personnel; and (6) the sufficiency of the
Bidder's financial resources and ability of the Bidders to perform the contract or
provide the service.
10. ACCEPTANCE OF PROPOSAL

ECRTA will choose the proposal deemed most acceptable and qualified by the
ECRTA selection committee. ECRTA reserves the right to reject any or all
proposals.
11. RECORDS
A monthly financial statement and listing of advertisers in a form acceptable to
ECRTA shall be furnished by the successful Bidder with each monthly payment.
The successful Bidder shall maintain records of all transactions and make such
records available to ECRTA within a reasonable amount of time upon written
notification.
12. ECRTA RIGHTS AND DISCLAIMER
ECRTA reserves the right to reject any and all proposals, to waive any
informalities and /or irregularities in the proposals, to re- advertise, to negotiate
with any party for identified services, to put identified or other services out to bid,
or to otherwise proceed to provide any identified or other service in the best
interest of ECRTA in its sole discretion. Any Proposal received as a result of this
request is prepared at Bidder's expense and becomes County property.
Proposals and all ideas contained therein shall not be deemed proprietary with
respect to ECRTA and may be used by ECRTA in any manner deemed in its best
interest. ECRTA may, at its sole discretion, modify or amend any and all
provisions herein.
ECRTA will not pay for any information herein requested, nor is it liable for any
costs incurred by any responses hereto.
ECRTA reserves the right to extend the Request for Proposals date if needed. All
changes and /or clarifications will be posted on the Eagle County website at
www.eaglecounty.us /rfp.

From questions stemming from on -site meeting, ECRTA issues the below
clarification items:
• ECRTA is open to including bike rack frames in proposals
• ECRTA prefers direct mount advertisements but is open to frame
mounted
• Existing logos will need to be removed by contractor prior to
placing side advertisements where portions of the logo would be
visible
• Photos will not count towards the 2 page maximum of qualifications
and experience
• ECRTA is open to exploring digital interior advertisement but does
not have the equipment to do so at this time
